InstructionstoTenderersGeneral

1.DescriptionofWorks(sketch)

Alltenderersshallhaveequalaccessforsupplyofdomesticlabourandmaterial.

TheContractorshallmakehisownarrangementsfortheprocurementoflocallabour,materials,transportationandotherservices.

TheEmployerwillassisttheContractorinlocatingpotentialnumberofsuppliersforlocallabour,materials.TheEmployerwillalsoassisttheContractorinmakinghisownarrangementforsupplyoffuelandexplosives.

2.SourceofFunds

3.EligibilityandQualificationRequirements

3.1Thistenderisopentoallpre-qualifiedtenderersfromeligiblesourcecountriesasdefinedunderthe"GuidelinesforProcurement"of.

3.2AllgoodsandservicestobesuppliedunderthisContractshallhavetheiroriginineligiblesourcecountries,andallexpendituresmadeundertheContractwillbelimitedtosuchgoodsandservices.

3.3Theoriginofgoodsandservicesisdistinctfromthenationalityofthetenderer.

3.4Tobeeligibleforawardofcontract,tenderersshallhaveprovidedevidencesatisfactorytotheEmployeroftheireligibilityunderClause3.1above,andoftheircapabilityandadequacyofresourcestoeffectivelycarryouttheContract.Tothisend,theEmployerand_______Companymay,atanytimepriortoawardofcontract,requesttendererstoamplifyorupdatepreviouslysubmittedpre-qualificationdata.

AllTenderssubmittedshallincludethefollowinginformation:

(a)Copiesoforiginaldocumentsdefiningtheconstitutionorlegalstatus,placeofregistrationandprincipalplaceofbusinessofthecompany,firmorpartnershipor,ifajointventure,ofeachpartytheretoconstitutingthetenderer;

(b)ThequalificationsandexperienceofkeypersonnelproposedforadministrationandexecutionoftheContract,bothonandoffsite,intheformatprescribedinScheduleV;

(c)MajoritemsofconstructionalplantandequipmentproposedforuseincarryingouttheContractintheformatprescribedinScheduleIV;

(d)Alistofproposedsub-contractorsintheformatprescribedinScheduleVI;

(e)Informationregardinganycurrentlitigationinwhichthetendererisinvolved;

(f)Thedetailsoftheconstructionmethodsproposed.

3.5ForthepurposesofClause3.4,tendererswhohavebeenpre-qualifiedmayupdateandaugmenttheinformationsuppliedwiththeirapplicationforpre-qualification,and,inparticular,shallgiveparticularsofworkinhandatthedateoftendering.

3.6Tenderssubmittedbyajointventureoftwoormorefirmsaspartnersshallcomplywiththefollowingrequirements:

(a)Thetender,andincaseofasuccessfultendertheFormofAgreement,shallbesignedsoastobelegallybindingonallpartners;

(b)OneoftheJointVenturemembersshallbenominatedassponsor;andthisauthorizationshallbeevidencedbysubmittingapowerofattorneysignedbylegallyauthorizedsignatoriesofallthemembersofthejointventure;

(c)ThejointventuresponsorshallbeauthorizedtoincurliabilitiesandreceiveinstructionsforandonbehalfofanyandallmembersofthejointventureandtheentireexecutionoftheContractincludingpaymentshallbedoneexclusivelywiththejointventuresponsor;

(d)AllmembersofthejointventureshallbeliablejointlyandseverallyfortheexecutionoftheContractinaccordancewiththeContractterms,andarelevantstatementtothiseffectshallbeincludedintheauthorizationmentionedunder(b)aboveaswellasintheFormofTenderandtheFormofAgreement(incaseofasuccessfultender);and

(e)Acopyoftheagreemententeredintobythejointventurepartnersshallbesubmittedwiththetender.

3.7Domestictenderersorcombinationsorjointventuresofdomesticandforeigntenderersapplyingforeligibilityfortheapplicationofa_____%marginofpreferenceinthecomparisonoftheirtenderwithothertendersshallsupplyallinformationrequiredtosatisfythecriteriaforeligibilityasdescribedinClause29oftheseInstructions.

4.CostofTendering

ThetenderershallbearallcostsassociatedwiththepreparationandsubmissionofhistenderandneithertheEmployernorhisagent___________Companywillinanywayberesponsibleorliableforthosecosts,regardlessoftheoutcomeofthetenderingprocess.

5.SiteVisit

5.1ThetendererisadvisedtovisitandexaminetheSiteoftheWorksandthesurroundingsandtoobtainforhimselfonhisownresponsibility,allinformationthatmaybenecessaryforpreparingthetenderandenteringintoacontract.Thecostsofvisitingthesiteshallbeatthetenderer'sownexpense.

5.2Arrangementsforavisittosite,includingtransportationandaccommodation,willbemadebytheEmployerorhisagent_________Companyandwillbeadvisedtotenderersatthepre-tendermeeting,detailsofwhicharegiveninClause16oftheseInstructionstoTenderers.

5.3ThetendererandanyofhisrepresentativeswillbegrantedpermissionbytheEmployerorhisagent___________companytoenteruponitspremisesandlandsforthepurposeofsuchinspectionbypriorarrangement,butonlyupontheexpressconditionthatthetendererandhisrepresentatives,willreleaseandindemnifytheEmployerorhisagent___________Companyanditspersonnelfromandagainstallliabilityinrespectthereofandwillberesponsibleforpersonalinjury(whetherfatalorotherwise),lossofordamagetopropertyandanyotherloss,damage,costsandexpenseshowevercaused,which,butfortheexerciseofsuchpermission,wouldnothavearisen.

6.6Thetendererisexpectedtoexaminecarefullyallinstructions,conditions,forms,terms,specificationsanddrawingsinthetenderdocuments.FailuretocomplywiththerequirementsoftheInstructionstoTendererswillbeatthetenderer'sownrisk.Tenderswhicharenotsubstantiallyresponsivetotherequirementsofthetenderdocumentsmayberejected.

6.7Thefourvolumesofthetenderdocumentshavebeencollatedandboundbymechanicalmeansandtenderersshouldchecktoensurethattheycontainallpages(whicharenumberedconsecutively)andthatallsupplementsreferredtoarealsoincluded.

7.ClarificationofTenderDocuments

7.1AProspectivetendererrequiringanyclarificationofthetenderdocumentsmaynotify___________inwritingorbytelexatthefollowingaddress:__________.

8.AmendmentofTenderDocuments

8.1Priortothedeadlineforsubmissionoftenders,theEmployermay,foranyreason,whetheratitsowninitiativeorinresponsetoaclarificationrequestedbyaprospectivetenderer,modifythetenderdocumentsbytheissueofanAddendum.

8.2TheAddendumwillbesentinwritingorbyfaxore-mailtoallpre-qualifiedtendererswhohavepickedupthetenderdocumentsandwillbebindinguponthem.Prospectivetenderersshallpromptlyacknowledgereceiptthereofbyfaxore-mailto____________.

8.3InordertoaffordprospectivetenderersreasonabletimeinwhichtotakeanAddendumintoaccountinpreparingtheirtenders,theEmployerorhisagent_________may,attheirdiscretion,extendthedeadlineforthesubmissionoftendersinaccordancewithClause19hereof.

PreparationofTenders

9.LanguageofTender

9.1ThetenderandallcorrespondencerelatingtothetenderexchangedbythetendererandtheEmployerorhisagent__________shallbein.SupportingdocumentsandprintedliteraturefurnishedbythetendererwiththetendermaybeinanotherlanguageprovidedtheyareaccompaniedbyanappropriateEnglishtranslationofpertinentpassages.

Forthepurposeofinterpretationofthetender,theEnglishversionshallprevail.

10.DocumentsComprisingtheTender

10.1Thetendertobepreparedbythetenderershallcontainthefollowing:

TheFormofTenderandAppendixthereto;

TheTenderSecurity;

ThepricedBillofQuantities;

TheSchedulesofSupplementaryInformation;

Theinformationoneligibilityandqualifications;

Alternativeoffers,ifany;andanyotherinformationrequiredtobesubmittedinaccordancewiththeseInstructions.

TheForms,BillofQuantitiesandSchedulesprovidedinVolume3ofthesedocumentsshallbeusedwithoutexception(subjecttoextensionsoftheSchedulesinthesameformat,andtotheprovisionsofClause14.2hereofregardingthealternativeformsoftendersecurity).

10.2AlldocumentsissuedforthepurposeoftenderingasdescribedinClause6.1andaddendaissuedinaccordancewithClause8shallbedeemedincorporatedinthetender.TenderdocumentsnotrequiredtobesignedandsubmittedinaccordancewithClauses17and18shallbereturnedtotheofficeofissuebeforetheexpiryofthetendervalidityperiod,butmustnotbeenclosedwiththeTender.

10.3TenderersshallsubmitwiththeirtenderapreliminaryprogramintheformatrequiredbyClause14oftheConditionsofContract.

10.4ThesuccessfultendererwillberequiredtoreviseoraugmenthisProgramassetoutintheContract.

11.TenderPrices

11.1Unlessexplicitlystatedotherwiseinthetenderdocuments,theContractshallbeforthewholeoftheWorks______asdescribedinClause1hereof,basedontheschedulesofunitratesandamountssubmittedbythetenderer.

11.2ThetenderershallfillinratesandamountsforallitemsofworkdescribedintheBillofQuantities,whetherquantitiesarestatedornot.ItemsagainstwhichnorateoramountisenteredbythetendererwillnotbepaidforbytheEmployerwhenexecutedandshallbedeemedcoveredbytheotherratesandamountsenteredintheBillofQuantities.

11.3Allduties,taxesandotherleviespayablebytheContractorundertheContract,orforanyothercause,asatthedate________dayspriortothedateforsubmissionoftendersshallbeincludedintheratesandamountsandtotaltendersumsubmittedbythetenderer,andtheevaluationandcomparisonoftendersbytheEmployershallbemadeaccordingly.

11.4TheratesandamountsenteredbythetenderershallbesubjecttoadjustmentduringtheperformanceoftheContractinaccordancewiththeprovisionsoftheConditionsofContract.ThetenderershallcompleteScheduleIII-PriceAdjustmentProvisionsandshallsubmitwithhistendersuchothersupportinginformationasisrequiredunderClause70oftheConditionsofContract.

12.CurrenciesofTenderandPayment

12.1TheunitratesandpricesshallbequotedbythetenderentirelyinRMB.AtendererexpectingtoincurexpendituresinothercurrenciesforinputstotheWorkssuppliedfromoutsideChina(referredtoas"theforeigncurrencyrequirements")shallindicateinScheduleIof"ForeignCurrencyRequirements"thepercentageoftheTenderPrice(excludingProvisionalSums)neededbyhimforthepaymentofsuchforeigncurrencyrequirementseither(i)entirelyinthecurrencyofthetenderer'shomecountryor,atthetenderer'soption,(ii)entirelyinUSdollars,alwaysprovidedthatatendererexpectingtoincurexpendituresinacurrencyorcurrenciesotherthanthosestatedin(i)and(ii)aboveforaportionoftheforeigncurrencyrequirements,andwishingtobepaidaccordingly,shallsoindicatethepercentageportioninhistender.ThepercentageportionindicatedshallremainfixedforthedurationoftheContract.TheamountsinvariouscurrenciescalculatedonthebasisofthepercentagesindicatedintheTenderandbyuseoftheexchangeratesindicatedinclause12.2hereinafter,shallbeusedforthepurposeofconversionandcomparisonoftenderspursuanttoClause7.

12.2TheratesofexchangetobeusedbythetendererforcurrencyconversionshallbethegoverningsellingratespublishedbytheBankofChinaonthedate______daypriortothelatestdateforthesubmissionoftenders.Ifexchangeragesarenotsopublishedforcertaincurrencies,thetenderershallstatetheratesusedandthesource.Forthepurposeofpayments,theexchangeratesusedintenderpreparationshallapplyforthedurationoftheContract.

12.3ThetotalamountofforeignandlocalcurrenciesexpectedtoberequiredbytenderersshallbesubstantiatedinSchedulesIandI(A)-ForeignCurrencyandLocalCurrencyRequirements,andtheannexthereto,Tenderersshalldescribethemannerinwhichsuchforeignandlocalcurrenciesareexpectedtobeused,relatingspecifically,butnotlimitedto:

(b)Socialcharges,insurancepremiumsandmedicalcarerelatedtosuchstaff,andtravelexpensesbetweenChinaandthecountryoforigin;

(c)Alistoftheimportedmaterials,bothtemporaryandpermanent,requiredfortheWorks;

(d)Depreciationandusageofplantandequipment,includingspareparts,requiredfortheWorks;

(e)Insuranceandfreightchargesforimportedmaterials,plantandequipment,includingspareparts;and

(f)Overheadexpenses,feesandfinancialchargesincurredoutsideChina.

LocalCurrency

(g)Locallabour;

(h)Localmaterials;

(i)Otherservices,and;

(j)Overheadexpenses,feesandfinancialchargeswithinChina.

12.4TenderersmayberequiredbytheEmployertoclarifytheirforeigncurrencyrequirements,andtoprovidesatisfactoryproofthattheamountsincludedintheunitratesandinScheduleIarereasonableandresponsivetoclause12.1hereof.

12.5ThetendershallcompleteScheduleII-EstimatedContractPaymentsandshallsubstantiatethetabulationofthisSchedulebyattachingatableindicatinganticipatedmajorquantitiesofworkperformedoverthedurationoftheWorks.

13.TenderValidity

13.1Thetendershallremainvalidandopenforacceptanceforaperiodofsixcalendarmonthsfromthespecifieddateoftenderclosing.

13.2Inexceptionalcircumstances,priortoexpiryoftheoriginaltendervalidityperiod,theEmployerorhisagent____________mayrequestthetenderersforaspecifiedextensiontotheperiodofvalidity.Therequestandtheresponsestheretoshallbemadeinwritingorbyfaxore-mail.Atenderermayrefusetherequestwithoutforfeitinghistendersecurity.Atendereragreeingtotheextensionwillnotberequirednorpermittedtoalterhistender,butwillberequiredtoextendthevalidityofhistendersecuritycorrespondingly.TheprovisionsofClause14hereofregardingdischargeandforfeitureoftendersecurityshallcontinuetoapplyduringtheextendedperiod.

14.TenderSecurity

14.1Thetenderershallfurnish,aspartofhistender,atendersecurityinRMBinanamountofnotlessthan_____%oftheTenderSum.

14.2Thetendersecurityshall,atthetenderer'soption,beintheformofacertifiedcheque,abankdraft,anirrevocableletterofcreditoraguaranteefromeither:

(a)BankofChina;

(b)AnyofitscorrespondentbankabroadthroughBankofChina;

(c)AnyotherChineseorforeignbankoperatinginChina;

(d)AnyotherforeignbankdeterminedbytheTendererinadvanceofsubmissionofbidstobeacceptableto___________.

Orabondissuedbyaninsurancecompanyorbondingcompanylikewiselocated.Theformatofthebankguaranteeorbondshallbeinaccordancewithoneofthesampleformsincludedinthesedocuments;otherformatsmaybepermittedsubjecttothepriorapprovaloftheEmployerorhisagent__________.Lettersofcredit,bankguaranteesandtenderbondsshallbevalidforonecalendarmonthbeyondthevalidityofthetender.

14.3IntheeventofatendereragreeingtoaspecifiedextensionoftendervalidityinaccordancewithClause13oftheInstructionstoTenderers,thetenderershallprovideanextensioninthevalidityofthetendersecurityofonecalendarmonthbeyondthevalidityoftheextendedtender.

14.4Anytendernotaccompaniedbyanacceptabletendersecuritywillberejectedby_________asnon-responsive.

14.5Thetendersecuritiesofunsuccessfultendererswillbedischargedorreturnedaspromptlyaspossible,butnotlaterthan______daysaftertheexpirationoftheperiodoftendervalidityprescribed.

14.6ThetendersecurityofthesuccessfultendererwillbedischargedorreturneduponthetendererexecutingtheContractandfurnishingtherequiredperformancesecurity.

14.7Thetendersecuritymaybeforfeited:

(a)Ifatendererwithdrawshistenderduringtheperiodoftendervalidity;or

(b)Inthecaseofthesuccessfultenderer,ifhefailsto:

(i)SigntheAgreement;or

(ii)Furnishthenecessaryperformancesecurity.

15.AlternativeOffers

15.1Thetenderershallsubmitabasictenderwhichcompliesfullywiththerequirementsofthetenderdocuments.Thetenderermay,athisoption,andinadditiontothebasictender,offertendersincorporatingalternativestoanyofthefollowingitemsnowspecified:

(a)AdvanceLoanforMobilization

AninterestfreeadvanceloanwillbemadeavailabletoassisttheContractorbeforecommencingconstructionoftheWorks.Offersmaybemadeforsuchaloanofupto________%oftheTenderSum.EvaluationwillbemadeoftheassociatedcostsorsavingaccruingtotheEmployerinaccordancewithClause28.

(b)(Writtenasspecificconditions).

15.2Alternativesmaybesubmittedinadditiontobasictender.Inorderforalternativestobeconsideredintheprocessoftenderevaluation,eachalternativeshallbeaccompaniedbyadetailedpricebreakdownindicatingthetenderer'sestimateoftheadditionalorreducedcostinpresentvaluetotheEmployer(refertoclause28.3hereof)comparedtothebasicTenderSum.Comparisonandevaluationwillbedoneforthebasicofferandalternativesofthelowestevaluatedtendererwillbegivendueconsideration.IfthealternativeoffersweretobeacceptedbytheEmployer,thesewillbeincorporatedintotheContract.Alternativeofferswhicharenotpriced,orwhicharenotsubstantiatedinsufficientdetail,willberejected.

15.3Offersoftechnicalalternativesshallbeaccompaniedbyallinformationnecessaryforacompleteevaluation,includingdesigncalculations,drawings,methodstatementsandspecificationsformaterialsandworkmanshipwherethealternativeisnotcoveredbytheSpecification,togetherwithabreakdownofthealternativepricesandtheTotalAlternativeContractSum.

15.4Onlythosealternativeofferswhichappeartoprovideadditionalfinancial,economicortechnicalbenefitsoverthebasicofferwillbeconsideredbytheEmployerintenderevaluation(refertoClause28).

16.Pre-TenderMeeting

16.1Thetendererorhisofficialrepresentativeisadvisedtoattendapre-tendermeetingwhichwillconveneon______________at___________atthe___________.

16.2ThepurposeofthemeetingwillbetoclarifyissuesandtoanswerquestionsonanymatterthatmayberaisedatthatstageandtoallowtendererstoinspecttheSiteandtoexamineconditions.

16.3Tenderersarerequestedtosubmitanyquestionsinwritingorbytelexortelegram,toreach__________notlaterthanoneweekbeforethemeeting.

16.4Minutesofthemeeting,includingcopiesofthequestionsraisedandresponsesgiven,willbefurnishedexpeditiouslytoallthoseattendingthemeeting,andsubsequentlytoallpre-qualifiedtendererswhohavepickedupthetenderdocuments.Anymodificationofthetenderdocumentslistedinclause6.1hichmaybecomenecessaryasaresultofthepre-tendermeetingshallbemadebytheEmployerorhisagent___________exclusivelythroughtheissueofanAddendumpursuanttoClause8,andnotthroughtheminutesofthepre-tendermeeting.

17.FormatandSigningofTenders

17.1ThetenderershallprepareoneoriginalandtwoduplicatecopiesofthedocumentscomprisingthetenderasdescribedinClause10.1hereof,boundwithintheVolume3,andclearlymarked"OriginalTender"and"DuplicateTender"asappropriate.Intheeventofanydiscrepancybetweenthem,theoriginalshallprevail.

17.2TheoriginalandtwoduplicatecopiesofthetendershallbetypedorwritteninindelibleinkandshallbesignedbyapersonorpersonsdulyauthorizedtobindthetenderertotheContract.ProofofauthorizationshallbefurnishedintheformofawrittenPowerofAttorneythatshallaccompanythetender.Allpagesofthetenderwhereentriesoramendmentshavebeenmadeshallbeinitialedbytheauthorizedpersonorpersonssigningthetender.
