ProfessionalSubcontractAgreement

ThisProfessionalSubcontractAgreement("Agreement")ismadeandenteredintoasof[InsertDate],andbetween[InsertNameofPrimeContractor]("PrimeContractor"),withaprincipalplaceofbusinessat[InsertAddress],and[InsertNameofSubcontractor]("Subcontractor"),withaprincipalplaceofbusinessat[InsertAddress].

Recitals:

WHEREAS,PrimeContractorisundercontractwith[InsertNameofClient/Owner]("Client")toperformcertnservicesand/orsupplycertngoodsinconnectionwiththe[InsertProjectName]project(the"Project");and

WHEREAS,Subcontractorhasthenecessaryqualifications,experience,andresourcestoperformaportionoftheservicesand/orsupplyaportionofthegoodsrequiredfortheProject;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementssetforthherein,thepartiesagreeasfollows:

1.ScopeofWork:Subcontractorshallperformtheservicesand/orsupplythegoodsdescribedinExhibitAattachedhereto(the"ScopeofWork"),inaccordancewiththetermsandconditionsofthisAgreement.SubcontractorshallpletetheScopeofWorkinaprofessionalandworkmanlikemanner,inpliancewithallapplicablelaws,regulations,andindustrystandards.

2.Compensation:InconsiderationfortheperformanceoftheScopeofWork,PrimeContractorshallpaySubcontractorthepensationsetforthinExhibitBattachedhereto.Paymenttermsshallbeasfollows:[InsertPaymentTerms].

3.TermandTermination:ThisAgreementshallmenceon[InsertStartDate]andshallcontinueuntiltheearlierof[InsertEndDate]orthepletionoftheScopeofWork,unlessterminatedearlierinaccordancewiththetermsofthisAgreement.EitherpartymayterminatethisAgreementupon[InsertNoticePeriod]writtennoticetotheotherpartyforanyreasonornoreason.Upontermination,Subcontractorshallbeendtopaymentforallworkperformedandexpensesincurreduptothedateoftermination.

4.Confidentiality:SubcontractoracknowledgesthatitmayhaveaccesstoconfidentialinformationofPrimeContractorand/orClientduringthecourseofperformingtheScopeofWork.SubcontractoragreestoholdsuchconfidentialinformationinstrictconfidenceandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentofPrimeContractorand/orClient.

5.Indemnification:Subcontractorshallindemnify,defend,andholdharmlessPrimeContractorandClientfromandagnstanyandallclms,losses,damages,liabilities,penalties,punitivedamages,expenses,reasonablelegalfees,andcostsofanykindoramountwhatsoever,whichresultfromorariseoutoftheperformanceoftheScopeofWorkSubcontractororitsemployees,agents,orsubcontractors.

6.Insurance:Subcontractorshallmntnprehensivegeneralliabilityinsurance,professionalliabilityinsurance,andworkers'pensationinsuranceinamountssufficienttocoveritsobligationsunderthisAgreementandshallprovidePrimeContractorwithevidenceofsuchinsuranceuponrequest.

7.RelationshipoftheParties:NothinginthisAgreementshallbeconstruedtocreateapartnership,jointventure,oragencyrelationshipbetweentheparties.SubcontractorisanindependentcontractorandshallhavenoauthoritytobindPrimeContractororClientinanyway.

8.GoverningLaw:ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[InsertJurisdiction].

9.DisputeResolution:AnydisputesarisingoutoforrelatedtothisAgreementshallberesolvedthrough[InsertDisputeResolutionMechanism(e.g.,negotiation,mediation,arbitration)].

10.EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.

4.Confidentiality:SubcontractoracknowledgesthatitmayhaveaccesstoconfidentialinformationofPrimeContractorand/orClientduringthecourseofperformingtheScopeofWork.SubcontractoragreestoholdsuchconfidentialinformationinstrictconfidenceandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentofPrimeContractorand/orClient.

5.Indemnification:Subcontractorshallindemnify,defend,andholdharmlessPrimeContractorandClientfromandagnstanyandallclms,losses,damages,liabilities,penalties,punitivedamages,expenses,reasonablelegalfees,andcostsofanykindoramountsoever,whichresultfromorariseoutoftheperformanceoftheScopeofWorkSubcontractororitsemployees,agents,orsubcontractors.

6.Insurance:Subcontractorshallmntnprehensivegeneralliabilityinsurance,professionalliabilityinsurance,andworkers'pensationinsuranceinamountssufficienttocoveritsobligationsunderthisAgreementandshallprovidePrimeContractorwithevidenceofsuchinsuranceuponrequest.

7.RelationshipoftheParties:NothinginthisAgreementshallbeconstruedtocreateapartnership,jointventure,oragencyrelationshipbetweentheparties.SubcontractorisanindependentcontractorandshallhavenoauthoritytobindPrimeContractororClientinanyway.
