DEFINITIONS

Forthecontextofthiscontract,thefollowingtermsshallhavethedefinitionsasbelow:

BuildingOwner:Alllegalownersand/orIncorporatedOwnersofthePremises

Employer:ChinaMerchantAmericoldLtd

Contractor:Theperson,firmorcompanyappointedtocarryouttheWorksofthiscontractincludinghisheirs,executorsoradministrators.

Premises:HutchisonLogisticsCentre,ContainerPort4,KwaiChung

TheWorks:AllworksrequiredasstipulatedinthecopeofWorks,Specification,DrawingsandScheduleofRatesinrelationtothisContract.

INSPECTIONOFSITE

TheContractorisrequiredtovisi(thesiteandverifytheexactscope,natureandqualityoftheWorksincludingallrelevantinformationincludedinthisdocumentandallowallnecessaryforthecarryingoutoftheWorksintheTendersum.SitevisitcanbearrangedbyadvanceappointmentwiththeProjectManager.

TIMEFORCOMPLETION

TheanticipatedDateforCommencementandDateforCompletionoftheWorksarelateNovember2023andbeforeEndofFebruary2023)butissubjecttowrittenconfirmationbytheEmployer.NoadjustmenttotheContractSumwillbemadeifthedateisdifferent.

TheWorksistobecompletedwithir~90calendardays>romandincludingtheDateofCommencementoftheWorks."-

WorkinghoursshallfollowtherelevantclausesstatedintheScopeofWork.Thecontractorshallalloweverythingnecessaryincludingovernightandovertimeworktocomplywithsuchworkinghoursrestrictionandnoclaimforextratimeorcostshallberaisedinthisrespect.

TheProjectManagerwillissueaCertificateofPracticalCompletionuponthesatisfactorycompletionoftheWorks.

LIQUIDATEDANDASCERTAINEDDAMAGES

LiquidatedandAscertainedDamagesintheamountofHK$20,000.00percalendardayfornon-completionoftheWorkswithinthetimeforcompletionasstatedinClause3shallbeappliedtothisContract.

TheEmployer’sinterestinanyamountssoretainedshallbefiduciaryasbene

ShouldtheContractor'sworkcannotcomplywiththeperformancerequirementstatedinthecontractdocuments,theEmployerisentitledtodeductanymoneydueorbecomeduetothecontractor.

6)DEFECTSLIABILITYPERIOD

TheDefectsLiabilityPeriodfortheWorksshallbetwelvemonthscommencingfromthedateofcompletionoftheWorks.

DuringtheDefectsLiabilityPeriod,theContractorwill,ifcalleduponsotodo,keephisworkinrepairormakegoodanyfaultyworkathisownexpensewithinaperiodspecifiedbytheEmployer.ShouldtheContractorfailtoperformanyremedialworkswithinthetimespecifiedbytheEmployer,theEmployerreservestherighttocarryouttherectificationworkshimselfanddeductsuchcostsfromanypaymentduetotheContractor.

EMPLOYER'SANDBUILDINGOWNER'SINDEMNITY

TheContractorshallbeliablefroandshallfullyindemnifytheEmployerandtheBuildingOwneragainstanyexpenses,liability,loss,claim,orproceedingswhatsoeverarisingunderanystatuteoratcommonlawinrespectofpersonalinjurytoorthedeathofanypersonwhomsoeverarisingoutoforinthecourseoforcausedbythecarryingoutoftheWorks,expecttotheextentthatthesamewasduetoanyactorneglectoftheEmployer,theBuildingOwnerorofanypersonforwhomtheEmployerandtheBuildingOwnerisresponsible.

TheContractorshallbeliableforandshallfullyindemnifytheEmployerandtheBuildingOwneragainstanyexpense,liability,loss,claimorproceedingsinrespectofanylossordamagewhatsoevertoanypropertyrealorpersonal(includingtheexistingstructuretogetherwithallthecontentsthereofownedbytheBuildingOwner&/orEmployerorforwhichtheyareresponsiblefor)insofarassuchlossordamagesarisesouroforinthecourseoforbyreasonofcarryingoutoftheWorks,excepttotheextentthatthesamewasduetoanyactorneglectoftheEmployer,theBuildingOwneroranypersonforwhomtheEmployerandtheBuildingOwnerisresponsible.

FromthecommencementtothecompletionoftheWorkstheContractorshalltakefullresponsibilityforthecareofanyworkcontainedthereinandinthecasethatanydamage,lossorinjuryshallhappentoanyworkcontainedthereinortoanypartthereoffromanycausewhatsoever,theContractorshallathisowncostrepairandmakegoodthesame.

INSURANCEAGAINSTINJURYTOPERSONSANDPROPERTY

WithoutlimitingtheContractor'sobligationsandresponsibilitiesofindemnifyingtheEmployerandBuildingOwnerunderClause7oftheseConditions,theContractorshalleffectandmaintainforthebenefitofandinthejointnamesoftheEmployer,BuildingOwner,theContractorandSub-contractorsofanytieraThirdPartyLiabilityInsurance

tocovertheliabilityinrespectofpersonalinjuriesordeathsarisingoutoforinthecourseoforcausedbythecarryingouttheWorks,and

tocovertheliabilityinrespectoflossordamagetoanypropertyrealorpersonal(includingtheexistingstructurestogetherwithallthecontentsthereofownedbytheBuildingOwner&/orEmployerorforwhichtheyareresponsiblefor)arisingoutoforinthecourseoforbyreasonofthecarryingoutoftheWorks.

NotwithstandingthattheliabilitytoindemnifytheEmployerandtheBuildingOwnerisabsolute,thelimitoftheThirdPartyLiabilityInsurancePolicyshallnotbelessthanHK$20,000,000.00peranyoneaccidentandunlimitedintheaggregateforanyoneperiodofinsurance.Suchinsurancepolicyshallcontaina"CrossLiabilityClause"andshallbeplacedwithinsurerstobeapprovedbytheEmployer,suchapprovalshallnotbeunreasonablywithheld.

TheContractorshallbearthecostofallexcesses(deductibles),exclusionsorlimitationsapplyingunderthesaidpolicy/policies(insofarastheyconcernrisksforwhichheisresponsibleunderthetermsoftheContract)whetherinrespectofclaimsmadeagainsttheEmployer,theBuildingOwner,theContractor,itssub-contractorsofanytierortheiremployeesoragent.TheEmployermaydeductanyamountspayablebytheContractorunderthisclausefromanymoniesdueorwhichmaybecomeduetotheContractor.TheContractorshallnottakeoromittotakeanystepthetakingorcommissionofwhichmayresultinanyinsurancepolicyorthecoverundersuchpolicybecomingvoidorabletovoid.

IftheContractorconsiderstheabovementionedlimitofindemnityforanyoneaccidentisinadequatetocoverthesecontractualobligationsheisatlibertytotakeoutapolicywithanincreasedlimitofindemnitybutanyadditionalpremiumordifferentialinpremiumshallbeathisownexpense.

AllinsurancesasrequiredundertheseConditionsaretobetakenoutwithacompanytobeapprovedinwritingbytheEmployerandthepoliciestogetherwiththepremiumreceiptaretobedepositedwiththeEmployerpriortocommencementoftheWorks.AsandwhenheisreasonablyrequiredsotodobytheEmployertheContractorshallproduceforinspectionbytheEmployerdocumentaryevidencethattheinsurancesrequiredbytheseConditionsareproperlymaintained,butonanyoccasiontheEmployermay(butnotunreasonablyorvexatiously)requiretohaveproducedforhisinspectionthepolicyorpoliciesandreceiptsinquestion.

TheinsurancepolicyshallcovertheperiodfromcommencementoftheContractuntilexpirationoftheDefectLiabilityPeriodorsatisfactorycompletionofmakinggoodofalldefectswhicheveristhelater.

INSURANCEOFTHEWORKSAGAINSTFIREETC.

WithoutlimitingtheContractor'sobligationsandtheresponsibilitiesofindemnifyingtheEmployerandtheBuildingOwnerunderClause7oftheseConditions,theContractorshalleffectandmaintainforthebenefitofandinthejointnamesoftheEmployer,theBuildingOwner,theContractorandhissubcontractorsofanytiera"Contractor'sAllRisks"insurancecoveringlossordamagetotheWorksuptothefullreinstatementvaluethereofallworkexecutedandallunfixedmaterialsandgoodsdeliveredto,placeonoradjacenttotheWorksbutexcludingplant,toolsandequipmentownedorhiredbytheContractororanysub-contractor.

ThesaidinsurancepolicyshallalsobeextendedtocoverthecostofRemovalofdebris.TheamountsuchcovershallbeatthediscretionoftheContractorbutshallnotbelessthan1%oftheContractSum.

TheContractorshallbearthecostofallexcesses(deductibles),exclusionsorlimitationsapplyingunderthesaidpolicy(insofarastheyconcernrisksofwhichheisresponsibleunderthetermsoftheContract)whetherinrespectofclaimsmadeagainsttheContractorand/ortheEmployerand/ortheBuildingOwnerandshouldmakedueallowancethereforeinthistender.

TheEmployermaydeductanyamountspayablebytheContractorunderthisclausefromanymoniesdueorwhichmaybecomeduetotheContractor.

TheContractorshallnottakeomittotakeandcauseitssub-contractorsnottotakeoromittotakeanystepthetakingoromissionofwhichmayresultinanyinsurancepolicyorthecoverundersuchpolicybecomingvoidorvoidable.

IftheContractorconsiderstherequiredinsurancepolicyisinadequatetocoverthesecontractualobligationsheisatlibertytotakeoutapolicywithanincreasedlimitofindemnifybutanyadditionalpremiumordifferentialinpremiumshallbeathisownexpense.

AllinsurancesasrequiredundertheseConditionsaretobetakenoutwithacompanytobeapprovedinwritingbytheEmployerandthepoliciestogetherwiththepremiumreceiptaretobedepositedwiththeEmployerpriortocommencementoftheWorks.

TheinsuranceoftheWorksshallcovertheperiodfromthecommencementoftheContractuntilthecompletionoftheWorksplus12monthsDefectLiabilityPeriod.

Intheeventofanyincidentoccurring,theContractorshall,uponrequestprovidecopiesofhissubstantiatedclaimsagainsttheinsurancecompanyandanysubsequentagreementrelatingtosettlementoftheclaimtotheEmployer.

Ifthereisaloss,injuryordamagetotheWorks,theContractorwithduediligenceshallrestoreworkdamaged,replaceorrepairanyunfixedmaterialsorgoodswhichhavebeendestroyedorinjuredremoveanddisposeofanydebrisandproceedwiththecarryingoutandcompletionoftheWorks.AllmoniesreceivedfromsuchinsurancesinrespectoftheWorksinsuredunderthisclauseshallbeusedforthepurposesofreinstatement,rebuilding,placement,repairorcompletionoftheWorks.TheContractorshallnotbeentitledtoanypaymentinrespectoftherestorationofworkdamaged,thereplacementandrepairofanyunfixedmaterialsorgoods,andtheremovalanddisposalofdebrisotherthanthemoniesreceivedunderthesaidinsurancepolicy.

INSURANCEAGAINSTINJURYTOWORKMEN

TheEmployerandtheBuildingOwnershallnotbeliablefororinrespectofanydamagesorcompensationpayableunderanystatue,ordinanceoratcommonlaw,inrespectoforinconsequenceofanyaccident,illness,orinjurytoanyemployeeorotherpersonintheemploymentoftheContractorand/orhisSubcontractorsandtheContractorshallindemnifyandkeeptheEmployerandtheBuildingOwnerfullyindemnifiedagainstallsuchdamagesorcompensation,

claims,demands,proceedings,costs,chargesandexpenseswhatsoeverinrespectoforinrelationthereto.

WithoutlimitingtheContractor'sobligationsandresponsibilities,theContractorshalleffectandmaintainsuchinsurancepoliciesasarenecessarytocoverallliabilitiesinrespectofallemployeeandotherpersonswhomaybeemployedbyhimorhisSub-contractorsinconnectionwiththeWorksinaccordancetothelateststatutoryrequirements,ordinanceorcommonlaw.TheEmployees'CompensationInsurancepoliciesaretobetakenoutwithacompanytobeapprovedinwritingbytheEmployerandthepoliciesandreceiptsaretobedepositedwiththeEmployerpriortocommencementoftheWorks.Thepoliciesmustbeextendedtoincludean'IndemnitytoPrincipal'(theEmployerandtheBuildingOwner)ClauseandshallbeplacedwithinsurerstobeapprovedbytheEmployer,suchapprovalshallnotbeunreasonablywithheld.

InrespectofpersonsemployedbyanySub-contractor,theContractor'sobligationtoinsureunderClause(b)shallbesatisfiediftheSub-contractorhimselfshallhaveeffectedsuchinsuranceendorsedwithan"IndemnitytoPrincipalContractor"Clause.TheContractorshallrequiresuchSub-contractortoproducewhenrequiredallsuchpoliciesandpremiumreceiptforEmployer'sapproval.

ShouldtheContractormakedefaultininsuringorincontinuingtoinsureasprovidedinClauses9oftheseConditionstheEmployermayhimselfinsureagainstanyriskwithrespectofwhichthedefaultshallhaveoccurredandmaydeductasumequivalenttotheamountpaidinrespectofpremiumsfromanymoniesdueortobecomeduetotheContactor.

Itisexpresslystatedthatnoself-employedworkershallbeallowedtobeengagedfortheWorks.

STATUTORYOBLIGATION

TheWorksshallbecarriedoutinaccordancewiththestandardsetbytheArchitecturalServicesDepartmentorotherwisetobeapprovedbytheEmployerandProjectManager.TheWorksshallbecarriedoutinconformitywiththerulesandregulationsstipulatedbytheGovernmentAuthorities.Inallcases,theBuildingOwner,theEmployandProjectManageroritsagentsreservestherighttorejectanymaterialorworkmanshipwhichinitsopinionarenotsupplied,installedorcompletedtoitssatisfaction.

VARIATIONS

TheContractorshallcomplywithinstructionsissuedbytheProjectManagerwhichmayincludetheaddition,omissionorsubstitutionofanyworks,thealterationofthekindorstanderofanyworks,materialsorgoodsexecutedwhichinopinionoftheEmployerorProjectManagerarenotcarriedoutinaccordancewiththeconditionsofcontact.ThesubsequentcostandtimeimplicationwillbeadjustedaccordinglyandistheEmployandProjectManager.

WATERANDELECTRICITYSUPPLIES

TheContractshallbeentitledtousewaterandelectricitysuppliesfromsupplypointsavailableonthesitebuttheEmployertherighttochangeforanyelectricityorwaterconsumedbytheContractshallberesponsibleforallconnectionsandthemaintenanceoftheconnectionsofthesupplyteeoffpoints,ifnecessary,andsubsequentremovalcostuponcompletionofworksincludingallnecessaryforthecarryingoutoftheWorks,removaloncompletionandmarkinggoodallworksdistributed.

AVOIDANCEOFINSURANCEDUETOTHEWORKS

Allnoisyworksshallcomplywiththegovernmentregulations.Worksshallbecarriedoutinsuchamannersoastocauseonlyminimumdisturbance,interferenceandnuisancetotheuser/occupants/tenantsaround.Ifworkoutsidenormalworkinghourisrequired,theContractorshallobtainapproval/permitfromtheEmployerandProjectManagerpriortohisworksandallowallcostsinthisrespectinhistender.

TheEmployorProjectManagershallhavetherighttoinstructtheContractortostoporchangethesequenceofoperationand/ormethodofworkisintheopinionoftheEmployandProjectManager,causingunduenoise,smellorotherdisturbanceorinconveniencestothecaptionedpremises.NoadditionalcostorextensionoftimeshallbeallowedtotheContractorforcompliancewithsuchinstruction.TheContractorshallbearallcosts,claims,proceedings,etc.duetocomplaints/disturbance/inconvenienceetc.fromtheresidentsofthePremises.

PROGRAMMEOFWORKS

TheContractorshallsubmitthedetailworkprogrambycalendardaywithbelowitem:

-A&Aworksubmissionandapproval(ifnecessary)

-Production&deliveryofsandwichPUinsulationpanel

-Production&deliveryofcoolers&condensingunits

-InstallationofsandwichPUinsulationDane

-Installationofcoolers&condensingunits

-InstallationofFSsprinklersandrelatedpipework

-InstallationofsteelstructureforsandwichPUinsulatedpane

-Electricalinstallations

-Submissionandapprovaloflayoutto/fromEmployerandBuildingOwner

-Testing&Commissioningforallinstallations

-Issuanceofallstatutoryrequirements

TERMINATIONOFTHECONTRACT

TheEmployerisentitledtoterminatethecontractathissolediscretion.TheContractorshallremovefromtheWorksanytemporarybuildings,plant,tools,equipment,materialsandgoodsbelongingtoorhiredbyhimexcludingalltheitemspaidortobepaidbytheEmployer.TheEmployerisrequiredtopaytheContractorthevalueoftheworksproperlycarriedoutbytheContractor.TheEmployerisentitledtodeductanyamountdueorbecomeduetotheContractorduetocost

incurredortobeincurredbythetermination.TheEmployershallnotentertainanyclaimraisedortoberaisedbythebytheContractorforlossofprofitand/orextraexpensesincurredduetothetermination.

DESIGN,MATERIALANDWORKMANSHIP

TheContractorshallsubmitsamples,catalogue,specification,testreport,jobreferenceetc.asrequestedforallmaterialstobeusedintheWorksforEmployer'sorProjectManager'sapprovalshallbeattheContractor'ssoleriskandifsuchworkisdisapprovedsubsequently,theContractorshallremovesuchworkimmediatelyathisownexpenses.

Shouldanydiscrepanciesfoundinthecontractdocuments,theProjectManager'sjurisdictionistreatedasfinalandconclusive.

TESTS

TheContractorshallcarry-outallnecessarytestingonsiteuponcompletionoftheWorksatnoextracost.

AS-BUILTDRAWINGSANDRECORDS

TheContractorshallsubmitcatalogueshopdrawings,as-builtrecords,trainingexercises,operationandmaintenancemanual,etc.totheEmployerandProjectManageruponcompletionoftheWorks.

CONTRACTOR'SOBLIGATION

ThisContractisutilizingaDesignandBuildformofbuildingprocurement.TheGeneralSpecificationandTechnicalSpecificationconsistoftheprojectbriefillustratingtheoutlinespatialarrangementsandfinishedappearance.Theseindicate
