[ContractingParty2ContactInformation](“Buyer”).(Eacha“Party”andcollectivelythe“Parties”)RECITALSWHEREAS,SupplierisengagedinthebusinessofexportinggoodsandiswillingtoselltheGoodstoBuyer;WHEREAS,BuyerdesirestopurchasetheGoodsfromSupplier;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thePartiesheretoagreeasfollows:1.Goods1.1Description.TheGoodsshallmeanthe[descriptionofgoods]asspecifiedintheScheduleattachedhereto(the“Schedule”).1.2Quantity.ThetotalquantityofGoodstobepurchasedBuyerfromSupplieris[quantity](the“Quantity”).1.3Quality.TheGoodsshallconformtothequalitystandardssetforthintheSchedule.2.Delivery2.1DeliveryofGoods.SuppliershalldelivertheGoodstoBuyerat[deliverylocation],onorbeforetheDeliveryDate(asdefinedinclause2.3).2.2DeliveryDate.TheDeliveryDateshallbe[date],orsuchotherdateasthePartiesmayagreeuponinwriting.2.3shippingterms.TheshippingtermsfortheGoodsshallbe[shippingterms(e.g.,FOB,CFR,CIF,etc.)],asspecifiedintheSchedule.3.PriceandPaymentTerms3.1Price.ThepurchasepriceoftheGoodsshallbe[price]per[unitofmeasurement](the“UnitPrice”),totaling[totalprice]fortheQuantity(the“TotalPrice”).3.2PaymentTerms.BuyershallmakepaymentfortheGoodstoSupplierwithin[numberofdays]afterthedateoftheinvoiceissuedSupplier,inaccordancewiththepaymenttermssetforthintheSchedule.4.InspectionandAcceptance4.1Inspection.Upondelivery,BuyershallhavetherighttoinspecttheGoodstoconfirmtheirconformitywiththetermsofthisContract.4.2Acceptance.IftheGoodsconformtothetermsofthisContract,BuyershallissueanacceptancecertificatetoSupplierwithin[numberofdays]afterthedeliverydate.5.Warranties5.1QualityWarranty.SupplierwarrantsthattheGoodsshallconformtothequalitystandardssetforthintheScheduleandbefreefromanydefectsinmaterialsandworkmanship.5.2TitleWarranty.SupplierwarrantsthatithasgoodtotheGoodsandthattheGoodsarefreefromanyliensandencumbrances.6.LiabilityandIndemnification6.1Liability.SuppliershallbeliableforanybreachofitsobligationsunderthisContract,includingbutnotlimitedto,anyfailuretodelivertheGoodsinaccordancewiththetermshereof.6.2Indemnification.SuppliershallindemnifyandholdharmlessBuyerfromandagainstanyandalllosses,damages,claims,liabilities,andexpenses(includingattorney’sfees)arisingoutoforinconnectionwiththebreachofthisContractSupplier.7.TermandTermination7.2Termination.ThisContractmaybeterminatedeitherPartyuponwrittennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithin[numberofdays]afterreceiptofwrittennoticethereof.8.GoverningLawandDisputeResolution8.1GoverningLaw.ThisContractshallbegovernedandconstruedinaccordancewiththelawsof[governingjurisdiction].8.2DisputeResolution.AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedarbitrationinaccordancewiththerulesofthe[arbitrationinstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.9.EntireAgreementThisContractconstitutestheentireagreement一、附件列表：1.货物描述表（Schedule）

6.验收证书二、违约行为及认定：1.供应商未能按照约定时间、地点、质量标准交付货物，或货物存在缺陷。

2.供应商未能提供合法的产权证明，货物存在权利瑕疵。

3.买方未能按照约定时间支付货款。

4.买方未能在约定的时间内对货物进行验收，或拒绝接受符合合同约定的货物。

5.任何一方违反合同约定的其他义务。三、法律名词及解释：1.供应商（Supplier）：指合同中提供货物的一方。

2.买方（Buyer）：指合同中购买货物的一方。

3.货物（Goods）：指合同中约定由供应商向买方交付的物品。

4.交付（Delivery）：指供应商按照合同约定，将货物运送到买方指定的地点。

5.质量标准（QualityStandards）：指合同中约定的货物质量要求。

6.违约（Breach）：指任何一方未履行合同约定的义务。四、执行中遇到的问题及解决办法：1.供应商延迟交货：买方可以要求供应商支付延迟交货的违约金，或根据合同约定选择解除合同。
