BANKINGAGREEMENT

ThisBankingAgreement(the"Agreement")ismadeandenteredintoonthedateof[InsertDate],byandbetween[InsertBankName],a[InsertJurisdiction]corporationwithitsprincipalplaceofbusinessat[InsertBankAddress](hereinafterreferredtoas"Bank"),and[InsertCustomerName],a[InsertJurisdiction][InsertTypeofEntity,e.g.,corporation,partnership,individual],withanaddressat[InsertCustomer'sAddress](hereinafterreferredtoas"Customer").

1.AccountOpeningandMaintenance

1.1TheBankagreestoopenandmaintainthefollowingtypesofaccountsfortheCustomer:[InsertAccountTypes,e.g.,checking,savings,etc.].

1.2CustomershallprovideallnecessarydocumentationandinformationrequiredbytheBankfortheopeningandmaintenanceoftheaccounts.

2.Deposits

2.1CustomermaymakedepositsintotheaccountsopenedunderthisAgreementinaccordancewiththeBank'spoliciesandprocedures.

2.2TheBankshallcredittheCustomer'saccountswiththeamountsdeposited,subjecttoverificationandclearance.

3.Withdrawals

3.1CustomermaywithdrawfundsfromtheaccountsinaccordancewiththeBank'spoliciesandprocedures.

3.2TheBankreservestherighttorefuseanywithdrawalrequestthatmayresultintheCustomer'saccountsbeingoverdrawn.

4.Interest

4.1TheBankshallpayinterestonthebalancesoftheCustomer'saccountsaspertheBank'scurrentinterestrateschedule,whichissubjecttochangefromtimetotime.

4.2InterestshallbecalculatedonthedailycollectedbalanceandshallbecreditedtotheCustomer'saccountsonamonthlybasis.

5.FeesandCharges

5.1TheBankmaychargefeesforservicesrenderedinconnectionwiththeaccounts,asdetailedintheBank'scurrentfeeschedule.

5.2Customershallberesponsibleforallfeesandchargesincurredinconnectionwiththeaccounts,andtheBankmaydebitsuchamountsfromtheCustomer'saccounts.

6.OverdraftProtection

6.1TheBankmayofferoverdraftprotectionservicestotheCustomer,subjecttotheBank'sapprovalandthetermsandconditionsofsuchservices.

6.2Customeracknowledgesthatoverdraftprotectionisaprivilegeandnotaright,andtheBankreservestherighttodiscontinuesuchservicesatanytime.

7.Security

7.1Customershallmaintaintheconfidentialityofallaccountnumbers,passwords,andothersecurityinformationrelatedtotheaccounts.

7.2TheBankshallusecommerciallyreasonableeffortstoprotectthesecurityoftheaccounts,butCustomeracknowledgesthattheBankshallnotbeliableforunauthorizedaccesstotheaccountsunlesssuchaccessisdirectlycausedbytheBank'snegligence.

8.Termination

8.1EitherpartymayterminatethisAgreementupon[InsertNoticePeriod,e.g.,30days]writtennoticetotheotherparty.

8.2Upontermination,alloutstandingobligationsoftheCustomershallbecomeimmediatelydueandpayable,andtheBankshallclosetheCustomer'saccounts.

9.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertJurisdiction].

10.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriorandcontemporaneousagreements,whetheroralorwritten.

11.Amendments

NoamendmenttothisAgreementshallbeeffectiveunlessitisinwritingandsignedbybothparties.

12.Notices

AllnoticesrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedgivenwhendeliveredpersonallyorbyovernightcourierservice,orthree(3)daysafterbeingsentbycertifiedmail,postageprepaid,totheaddressessetforthaboveortosuchotheraddressaseitherpartymaydesignateinwriting.

INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasofthedatefirstabovewritten.
