股票代持协议的签订注意事项合同编号：__________stocknomineeagreementThisStockNomineeAgreement(this“Agreement”)isenteredintoasof__________(the“EffectiveDate”),andbetween____________________(the“Nominee”)and____________________(the“Stockholder”).1.Nominee’sAppointment1.1Nominee’sConsent.TheNomineehereagreestoactasnomineeandagentfortheStockholderinholdingandvotingthesharesofstockin____________________(the“Company”)designatedinScheduleA(the“NominatedShares”)andtoenterintothisAgreementinaccordancewiththetermsandconditionssetforthherein.1.2Shareholder’sRepresentationsandWarranties.TheStockholderrepresentsandwarrantstotheNomineethat:(a)OwnershipofNominatedShares.TheStockholderistherecordowneroftheNominatedSharesandhasgoodandmarketablethereto,freeandclearofanyliens,encumbrances,orclaimsofanynature,exceptforthoseliens,encumbrances,orclaimsthatarecreatedthisAgreement.(b)ValidIssuance.TheNominatedShareswerevalidlyissued,arefullypaidandnonassessableandwerenotissuedinviolationofanypreemptiverights,rightsoffirstrefusal,orothersimilarrights.(c)Authority.TheStockholderhasthefullright,power,andauthoritytoenterintothisAgreementandtocarryoutthetermsandconditionshereof.2.DutiesandResponsibilitiesoftheNominee2.1HoldingandVotingofNominatedShares.TheNomineeshallholdtheNominatedSharesinnomineecapacityfortheStockholderandshallvotetheNominatedSharesinsuchmannerastheStockholdermayfromtimetotimedirectinwriting.TheNomineeshallnotsell,transfer,assign,hypothecate,orotherwiseencumberordisposeofanyoftheNominatedShares,exceptasdirectedtheStockholderinwriting.2.2ExerciseofVotingRights.TheNomineeagreestovotetheNominatedSharesinaccordancewiththeStockholder’sinstructionswithrespecttothematterssetforthinScheduleB(the“VotingMatters”).TheNomineeagreestodelivertotheStockholderortheStockholder’sdesigneeasignedproxycardorotherappropriateinstrumentwithrespecttotheNominatedShares,authorizingtheStockholderortheStockholder’sdesigneetovotetheNominatedSharesinaccordancewiththetermsofthisAgreement.2.3Deliveryofcertificates.TheNomineeagreestodelivertotheStockholderortheStockholder’sdesigneetheoriginalsharecertificatesrepresentingtheNominatedShares(the“Certificates”)promptlyuponreceiptthereof.3.RepresentationsandWarrantiesoftheStockholder3.1OwnershipofNominatedShares.TheStockholderrepresentsandwarrantstotheNomineethattheStockholderistherecordowneroftheNominatedSharesandhasgoodandmarketablethereto,freeandclearofanyliens,encumbrances,orclaimsofanynature,exceptforthoseliens,encumbrances,orclaimsthatarecreatedthisAgreement.4.Indemnification4.1IndemnificationStockholder.TheStockholderagreestoindemnifyandholdharmlesstheNominee,itsaffiliates,andtheirrespectivedirectors,officers,employees,andagents(each,an“IndemnifiedParty”)againstanylosses,claims,damages,liabilities,judgments,fines,penalties,interest,andreasonableexpenses(includingreasonableattorneys’feesanddisbursements)incurredanyIndemnifiedPartyinconnectionwithanyaction,suit,orproceeding(each,a“Proceeding”)towhichanyIndemnifiedPartymaybeapartyorthreatenedinconnectionwiththeNominatedSharesorthisAgreement,excepttotheextentthatsuchlosses,claims,damages,liabilities,judgments,fines,penalties,interest,andreasonableexpensesarefoundafinal,nonappealablejudgmenttohaveresultedfromthegrossnegligenceorwillfulmisconductoftheNominee.4.2IndemnificationNominee.TheNomineeagreestoindemnifyandholdharmlesstheStockholderagainstanylosses,claims,damages,liabilities,judgments,fines,penalties,interest,andreasonableexpenses(includingreasonableattorneys’feesanddisbursements)incurredtheStockholderinconnectionwithanyProceedingtowhichtheStockholder一、附件列表：ScheduleA:designatedsharesofstockin____________________(the“Company”)ScheduleB:VotingMatters二、违约行为及认定：FailuretoholdandvotetheNominatedSharesinaccordancewiththeStockholder’sinstructions.Sale,transfer,assignment,hypothecation,orotherencumbranceordisposaloftheNominatedShareswithouttheStockholder’swrittendirection.FailuretodelivertheoriginalsharecertificatesrepresentingtheNominatedSharespromptlyuponreceipt.三、法律名词及解释：VotingMatters:mattersforwhichtheStockholderrequirestheNomineetovotetheNominatedShares.四、执行中遇到的问题及解决办法：Problem:TheNomineereceivesaproxyorvotinginstructionfromathirdpartyfortheNominatedShares.Solution:TheNomineeshouldimmediatelyforwardtheproxyorvotinginstructiontotheStockholderfordirection.Problem:TheStockholderrequirestheNomineetovotetheNominatedSharesonamatternotlistedinScheduleB.Solution:TheStockholderandNomineeshouldagreeonthevotinginstructionsandupdateScheduleBaccordingly.Problem:TheStockholderwishestosellortransfertheNominatedShares.Solution:TheStockholdershouldprovidewritteninstructionstotheNominee,whowillthentransferthesharesinaccordancewiththeinstructions.五、所有应用场景：Nomineeswhoarewillingtoactasagentsforstoc
