NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation,providedthattheaffectedPartypromptlynotifiestheotherPartyoftheexistenceandnatureofsuchcause.7.GoverningLawandJurisdiction

ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthecourtsof[JurisdictionCourt].8.EntireAgreement
