消防安全检测授权

消防安全检测授权合同编号：__________partiestothiscontract(hereinafterreferredtoas"PartyA"and"PartyB")haveenteredintothisContractinaccordancewiththeprinciplesofvoluntariness,equality,fairnessandhonesty.BothpartiesagreetoabidethetermsofthisContractandfulfilltheirrespectiverightsandobligationshereunder.Article1:ScopeofWork1.1PartyAauthorizesPartyBtoconductfiresafetyinspectionsandrelatedservicesforPartyA'spremises(hereinafterreferredtoasthe"Premises")locatedat:Address:___________________________1.2ThescopeofservicesprovidedPartyBtoPartyAshallinclude,butnotbelimitedto,thefollowing:(1)Firesafetyequipmentinspectionandmaintenance;(2)Firealarmsystemtestingandmaintenance;(3)Firefightingequipmentinspectionandmaintenance;(4)Firesafetytrainingforpersonnel;(5)Firesafetyauditandevaluation;(6)Otherfiresafetyrelatedservicesasagreedbothparties.Article2:DurationandTermination2.1ThisContractshalltakeeffectfromthesigningdateandshallbevalidforaperiodofone(1)year.TheContractshallautomaticallyrenewforasubsequentone(1)yearterm,unlesseitherpartyprovideswrittennoticeofitsintentionnottorenewatleastthirty(30)dayspriortotheexpirationofthecurrentterm.2.2eitherpartymayterminatethisContractatanytimewithwrittennoticetotheotherparty,providedthattheterminatingpartyshallbeliableforanyoutstandingobligationsunderthisContract.Article3:PaymentTerms3.1PartyAagreestopayPartyBthefeesfortheservicesrenderedassetforthintheServiceAgreementattachedheretoasExhibitA(the"ServiceAgreement").3.2ThepaymenttermsfortheservicesprovidedPartyBtoPartyAshallbeasfollows:(1)PartyAshallpayPartyB50%ofthetotalfeeupontheexecutionofthisContract;3.3PartyAshallmakeallpaymentstoPartyBinaccordancewiththepaymenttermssetforthinthisArticle,andanylatepaymentsshallbesubjecttoalatepaymentpenaltyof1.5%permonthontheoutstandingamount.Article4:RepresentationsandWarranties4.1PartyArepresentsandwarrantstoPartyBthat:(1)PartyAisalegalentitydulyformedandexistingunderthelawsofthejurisdictionofitsincorporationororganization;(2)PartyAhasallnecessarylicenses,permitsandauthorizationstocarryonitsbusinessaspresentlyconductedandascontemplatedtobeconductedunderthisContract;4.2PartyBrepresentsandwarrantstoPartyAthat:(1)PartyBisalegalentitydulyformedandexistingunderthelawsofthejurisdictionofitsincorporationororganization;(2)PartyBhasallnecessaryqualifications,experience,licenses,permitsandauthorizationstoprovidetheservicescontemplatedunderthisContract;Article5:Confidentiality5.1Bothpartiesagreetomaintaintheconfidentialityofallconfidentialinformation(hereinafterreferredtoas"ConfidentialInformation")disclosedeitherpartytotheotherinconnectionwiththisContract,exceptforinformationthat:(2)IsindependentlydevelopedthereceivingpartywithoutaccesstotheConfidentialInformation;(3)Isrightfullyreceivedthereceivingpartyfromathirdpartywithoutobligationofconfidentiality.5.2ThereceivingpartyshallnotusetheConfidentialInformationforanypurposeotherthantheperformanceofthisContract,andshallnotdisclosetheConfidentialInformationtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.Article6:Indemnification6.1PartyAagreestoindemnifyandholdharmlessPartyB,itsofficers,directors,employees,agentsandrepresentatives(hereinafterreferredtoas"IndemnifiedParties")fromandagainstanyandalllosses,damages,liabilities,claims,suits,judgments,fines,penalties,interest,costsandexpenses(includingreasonableattorneys'feesandexpenses)arisingoutoforinconnectionwith:一、附件列表：1.服务协议（ServiceAgreement）2.消防设施清单（FireSafetyEquipmentList）3.消防设施维护记录（FireSafetyEquipmentMaintenanceRecords）4.消防安全评估报告（FireSafetyAssessmentReport）5.消防培训资料（FireSafetyTrainingMaterials）6.消防应急预案（FireEmergencyResponsePlan）二、违约行为及认定：1.PartyA未按约定时间支付服务费用，或未支付足额服务费用。2.PartyB未按约定时间完成消防检测及维护服务，或服务未达到约定的质量标准。3.PartyA未按约定提供准确的Premises信息，或未及时通知PartyB有关Premises的变更。4.PartyB未按约定保密PartyA的ConfidentialInformation，未经许可披露给第三方。5.任何一方未履行合同项下的其他义务。三、法律名词及解释：1.消防检测授权（FireSafetyInspectionAuthorization）：授权另一方对指定的消防设施进行检测、维护和管理。2.服务费用（ServiceFees）：为提供消防检测及相关服务而收取的费用。3.违约行为（BreachofContract）：违反合同约定的行为。4.违约责任（BreachLiability）：因违约行为而需要承担的法律责任。5.保密信息（ConfidentialInformation）：合同执行过程中涉及的一方未公开的敏感信息。四、执行中遇到的问题及解决办法：1.问题：PartyA未能及时支付服务费用。解决办法：发送催款通知，如果在合理期限内仍未支付，则PartyB可以暂停提供服务，并有权要求支付逾期付款的利息。2.问题：PartyB未能按约定时间完成服务。解决办法：PartyA可以要求PartyB支付逾期罚款，或根据合同约定有权解除合同。3.问题：PartyA未提供准确的Premises信息。解决办法：PartyB可以要求PartyA立即提供准确信息，并在必要时暂停服务直到信息准确无误。4
