英文版航空采购合同合同编号：__________parties1.1.partya(hereinafterreferredtoas"buyer")1.2.partyb(hereinafterreferredtoas"seller")contractobject2.1.thecontractobjectofthiscontractistheairtransportationservicesprovidedthesellertothebuyer.contractperiod3.1.thiscontractshallbeeffectivefromthedateofsigningandshallexpireautomaticallyaftertheperformanceofallobligationsunderthiscontract.paymentterms4.1.thebuyershallmakepaymentfortheairtransportationservicesprovidedthesellerwithin30daysafterthedateoftheinvoiceissuedtheseller.deliveryandacceptance5.1.thesellershallprovidetheairtransportationservicesinaccordancewiththetermsofthiscontractandthespecificationsandrequirementsofthebuyer.5.2.thebuyershallinspectandaccepttheairtransportationservicesprovidedthesellerinaccordancewiththetermsofthiscontractandthespecificationsandrequirementsofthebuyer.breachofcontract6.1.ifeitherpartyfailstoperformanyofitsobligationsunderthiscontract,suchpartyshallbeliablefortheresultinglossesandexpenses.6.2.ifeitherpartybreachesthiscontract,theotherpartymayterminatethiscontractandclaimdamages.disputesettlement7.1.anydisputesarisingoutoforinconnectionwiththiscontractshallbesettlednegotiationsbetweentheparties.7.2.ifthepartiesfailtosettlethedisputesthroughnegotiations,eitherpartymaysubmitthedisputestothepeople'scourtwithjurisdictionovertheplacewherethesellerislocated.confidentiality8.1.duringthetermofthiscontract,thepartiesshallkeepconfidentialanybusinessinformationoftheotherpartythatisnotgenerallyknowntothepublic.8.2.theconfidentialityobligationsunderthisarticleshallsurvivetheexpirationorterminationofthiscontract.otherprovisions9.1.thiscontractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,betweentheparties.9.2.thiscontractmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.9.3.theheadingsinthiscontractareforconvenienceonlyandshallnotbeusedtointerpretorconstrueitsprovisions.9.5.thiscontractshallbegovernedandconstruedinaccordancewiththelawsofthepeople'srepublicofchina.一、附件列表：航空运输服务合同供应商资质证明文件买家需求说明书运输路线和时间表价格清单和报价单保险单据付款凭证服务验收报告二、违约行为及认定：卖家未按合同约定时间提供服务或提供的服务不符合约定质量标准的，视为违约。买家未按合同约定时间支付款项的，视为违约。任何一方违反合同保密条款，泄露对方商业秘密的，视为违约。任何一方未履行合同中其他条款的，视为违约。三、法律名词及解释：航空运输服务：指卖家按照合同约定，为买家提供货物从起点到终点的运输服务。违约：指合同一方或双方未履行合同约定的义务。商业秘密：指不为公众所知悉，具有商业价值并经当事人采取保密措施的信息。合同终止：指合同双方同意结束合同关系，不再履行合同义务。四、执行中遇到的问题及解决办法：问题：卖家延迟提供服务或服务不符合质量标准。解决办法：买家可以要求卖家在合理时间内补正或赔偿损失。问题：买家延迟支付款项。解决办法：卖家可以要求买家支付逾期利息或合同违约金。问题：合同保密信息泄露。解决办法：泄露方应承担违约责任
