购销合同英文版合同编号：__________parties1.seller2.buyeragreement1.thiscontract(hereinafterreferredtoas"contract")ismadeandenteredintoasof__________(the"effectivedate"),andbetween:2.thepartiesheretohereagreeasfollows:articles1.productandquantity1.1sellershallsupplytobuyerthefollowingproducts(the"products")inthequantitiesandatthepricessetforthinthescheduleattachedhereto(the"schedule"):[insertschedulehere]1.2thebuyershallpurchasefromthesellertheproductsinthequantitiesandatthepricessetforthintheschedule.2.delivery2.1sellershalldelivertheproductstothebuyeratthedeliverylocationspecifiedintheschedule("deliverylocation")onorbeforethedeliverydatespecifiedintheschedule("deliverydate").2.2ifthesellerfailstodelivertheproductstothebuyerthedeliverydate,thesellershallbeliabletothebuyerforanyresultingdamagesorlosses,andshallpaytothebuyeralatedeliveryfeeequalto[insertpercentage]ofthetotalpurchasepriceforeachdayofdelay.3.payment3.1thebuyershallpaythesellerthetotalpurchasepricefortheproductssetforthintheschedule(the"totalpurchaseprice")wiretransfertotheseller'sdesignatedbankaccountwithin[insertnumber]daysafterthedateoftheinvoiceissuedtheseller.3.2ifthebuyerfailstopaythetotalpurchasepricewithinthetimespecifiedinsection3.1,thesellershallbeendtointerestontheunpaidbalanceatarateof[insertpercentage]perannum,calculatedfromtheduedateuntilthedateofpayment.4.qualityandwarranty4.1sellerwarrantsthattheproductsconformtothespecificationssetforthinthescheduleandarefreefromanydefectsinmaterialsandworkmanship.4.2iftheproductsdonotconformtothespecificationsoraredefective,thesellershall,atitsownexpense,repairorreplacethenonconformingordefectiveproducts,orrefundthepurchasepriceforsuchproducts,within[insertnumber]daysafterreceiptofthebuyer'swrittennoticeofsuchnonconformityordefect.5.inspectionandacceptance5.1upondelivery,thebuyershallhavetherighttoinspectandtesttheproductstoconfirmtheirconformitytothespecificationssetforthintheschedule.5.2ifthebuyerdiscoversanynonconformityordefectintheproducts,thebuyershallprovidethesellerwithwrittennoticethereofwithin[insertnumber]daysafterdelivery.6.ForceMajeure7.Confidentiality7.1Thepartiesheretoagreetomaintaininconfidenceandnotdisclosetoanythirdpartyanyconfidentialinformationoftheotherpartythatisdisclosedorobtainedunderthiscontract,exceptasmayberequiredlaworregulation.8.GoverningLawandDisputeResolution8.1Thiscontractshallbegovernedandconstruedinaccordancewiththelawsofthecountry/stateof____________________.9.EntireAgreement9.1Thiscontractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.9.2Thiscontractmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.INWITNESSWHEREOF,thepartieshaveexecutedthiscontractasoftheeffectivedatefirstabovewritten._____________________________seller一、附件列表：1.产品规格书2.交付时间表3.发票4.付款凭证5.产品质量证明文件二、违约行为及认定：1.卖方未能按照约定时间交付产品2.卖方交付的产品不符合约定规格或存在缺陷3.买方未能按照约定时间支付货款4.买方未按时进行产品验收5.因不可抗力导致合同无法履行三、法律名词及解释：1.卖方：指根据合同约定，负责供应产品的法人或其他组织。2.买方：指根据合同约定，负责购买产品的法人或其他组织。3.产品：指合同中约定的卖方应供应给买方的商品。4.交付地点：指合同中约定的买方接收产品的地点。5.交付日期：指合同中约定的卖方交付产品的日期。6.总价：指合同中约定的买方应支付的产品购买价格。7.不可抗力：指合同执行过程中，因不可预见、不可避免且无法克服的客观情况，导致合同无法履行或部分履行的情况。四、执行中遇到的问题及解决办法：1.卖方延迟交付产品：解决办法：买方有权要求卖方支付延迟交付违约金，并要求卖方在约定时间内补交产品。2.产品不符合约定规格或存在缺陷：解决办法：买方有权要求卖方免费修理、更换或退还不符合约定规格或存在缺陷的产品。3.买方延迟支付货款：解决办法：卖方有权要求买方支付延迟付款的利息，并有权
