蔬菜采购协议书合同编号：__________vegetableprocurementagreementthisvegetableprocurementagreement(hereinafterreferredtoasthisagreement)ismadeandenteredintoonthedatehereinaftersetforthandbetween:partya:____________________(hereinafterreferredtoas"seller")partyb:____________________(hereinafterreferredtoas"buyer")withrespecttothesaleandpurchaseofvegetablesasdescribedherein.article1definitions1.1inthisagreement,thefollowingtermsshallhavethemeaningsassignedtothembelow,unlessthecontextotherwiserequires:(a)"agreement"meansthisvegetableprocurementagreement,includingallschedulesandannexeshereto,asamendedfromtimetotime;(b)"vegetables"meansthevegetablesdescribedinscheduleahereto;(c)"deliverydate"meansthedateonwhichthevegetablesshallbedeliveredthesellertothebuyer;(d)"price"meansthepriceperunitofvegetablesassetforthinschedulebhereto;(e)"quantity"meansthetotalquantityofvegetablestobepurchasedthebuyerunderthisagreement;(f)"termsofpayment"meansthetermsofpaymentforthevegetablesassetforthinschedulechereto;(g)"deliverylocation"meansthelocationfordeliveryofthevegetablesassetforthinscheduledhereto;(h)"forcemajeure"meansanyeventorcircumstancebeyondthereasonablecontrolofaparty,whichpreventsapartyfromperformingitsobligationsunderthisagreement;(i)"laws"meansallapplicablelaws,regulations,rules,andordinancesofanygovernmentalauthorityhavingjurisdictionoverthepartiesorthesubjectmatterofthisagreement;article2saleandpurchaseofvegetables2.1theselleragreestosell,andthebuyeragreestobuy,thevegetablesinaccordancewiththetermsandconditionssetforthinthisagreement.2.2thesellerrepresentsandwarrantsthatthevegetablesconformtothespecificationssetforthinscheduleaheretoandarefreefromanyliensandencumbrances.2.3thebuyeragreestoacceptdeliveryofthevegetablesatthedeliverylocationonthedeliverydate.2.4thebuyeragreestopaythepriceforthevegetablesinaccordancewiththetermsofpaymentsetforthinschedulechereto.article3deliveryofvegetables3.1thesellershalldeliverthevegetablestothebuyeratthedeliverylocationonthedeliverydate.3.2thesellershallensurethatthevegetablesareproperlypackedandprotectedduringtransportationtopreventdamageorloss.3.3thebuyershallbeendtorejectanyvegetablesthatdonotconformtothespecificationssetforthinscheduleaheretooraredamagedorlostduringtransportation.article4priceandpayment4.1thepriceforthevegetablesshallbeassetforthinschedulebhereto.4.2thebuyershallmakepaymentforthevegetablesinaccordancewiththetermsofpaymentsetforthinschedulechereto.4.3thebuyershallnotbeendtodeductanyamountfromthepaymentduetothesellerunderthisagreementexceptasprovidedinthisagreement.article5performanceandbreach5.1eachpartyshallperformitsobligationsunderthisagreementinatimelyandmannerconsistentwiththetermsofthisagreement.5.2ifeitherpartyfailstoperformanyofitsobligationsunderthisagreement,theotherpartymaygivewrittennoticetothedefaultingpartyspecifyingthenatureofthedefault.Ifthedefaultisnotcuredwithinareasonableperiodoftime,thenondefaultingpartymayterminatethisagreementwrittennotice.article6forcemajeure6.1ifapartyisunabletoperformanyofitsobligationsunderthisagreementduetoforcemajeure,suchpartyshallgivewrittennoticethereoftotheotherpartyassoonaspracticable.6.2ifapartyisunabletoperformanyofitsobligationsunderthisagreementduetoforcemajeureforacontinuousperiodofmorethan30days,theotherpartymayterminatethisagreementwrittennotice.article7terminationandexpiration7.2uponterminationofthisagreement,thebuyershallpaythesellerforthevegetables一、附件列表：1.附件A：蔬菜规格说明2.附件B：价格表3.附件C：支付条款4.附件D：交货地点二、违约行为及认定：1.卖方未能按照约定时间交付蔬菜。2.卖方交付的蔬菜不符合约定的规格。3.卖方未能保护蔬菜在运输过程中免受损害。4.买方未能按照约定的支付条款支付货款。5.任何一方未能履行本协议项下的其他义务。三、法律名词及解释：1.合同：本蔬菜采购协议。2.蔬菜：见附件A中描述的蔬菜。3.交货日期：见附件D中规定的日期。4.价格：见附件B中规定的价格。5.数量：本协议项下购买的蔬菜总量。6.支付条款：见附件C中规定的支付条款。7.交货地点：见附件D中规定的地点。8.不可抗力：见条款6.1的定义。9.法律：见条款1.1(i)中规定的所有适用的法律、法规等。四、执行中遇到的问题及解决办法：1.蔬菜不符合规格：买方有权拒绝接收并终止合同，并要求卖方退还已支付款项
