TheProposalshallremainvalidforaperiodnotlessthan180daysfromtheProposalDueDate(ProposalValidityPeriod).RMCreservestherighttorejectanyProposalwithoutassigninganyreason.

J.3 Iftheenvelopeisnotsealedandmarkedasinstructedabove,RMCassumesnoresponsibilityforthemisplacementorprematureopeningofRMCthecontentsoftheProposalsubmittedandsuchProposal,may,atthesolediscretionof,berejected.

J.4 TheBidderisexpectedtoexaminecarefullythecontentsofallthedocumentsprovided.FailuretocomplywiththerequirementsofRFPshallbeattheBidder’sownrisk.

J.5 ItshallbedeemedthatpriortothesubmissionoftheProposal,theBidderhas:

a.Madeacompleteandcarefulexaminationoftermsandconditions/requirements,andotherinformationassetforthinthisRFPdocument;

b.ReceivedallsuchrelevantinformationasithasrequestedfromRanchiMunicipalCorporationand

c.MadeacompleteandcarefulexaminationofthevariousaspectsoftheProject

J.6 RanchiMunicipalCorporationshallnotbeliableforanymistakeorerrororneglectbytheBidderinrespectoftheabove.

K. ProposalDueDate

K.1 ProposalsshouldbesubmittedonProposalDueDateonorbefore20/11/2013at3:00PMtotheaddressmentionedinClause9.2inthemannerandformasdetailedinthisRFP.Proposalssubmittedbyeitherfacsimiletransmissionortelexwillnotbeaccepted.

K.2 Inexceptionalcircumstances,andatitssolediscretion,RMCwillextendtheduedateoftheaboveProposal.

L. OpeningofProposalsandClarifications

L.1 TechnicalProposalswillbeopenedinpresenceoftheparticipatingbidders.FinancialProposaloftheshortlistedBiddersshallbeopenedafterintimationofthedate,timeandvenueofsuchopening.

L.2 RanchiMunicipalCorporationreservestherighttorejectanyProposalnotsubmittedontimeandwhichdoesnotcontaintheinformation/documentsassetoutinthisRFPdocument.

L.3 TofacilitateevaluationofProposals,RanchiMunicipalCorporationmay,atitssole

Discretion,seekclarificationsinwritingfromanyBidderregardingitsProposal.

3. Evaluation.

a. Thecriteriaforeligibility,qualificationandevaluationofBiddersaresetoutinItem3:

Evaluation.

b. Aspartoftheevaluation,theProposalsshallbecheckedforresponsivenesswiththerequirementsoftheRFPandonlythoseProposals,whicharefoundtoberesponsive,wouldbefurtherevaluatedinaccordancewiththecriteria,setoutinthisRFPdocument

c. TheProposalwouldbeconsideredtoberesponsiveifitmeetsthefollowingconditions:

Itisreceived/deemedtobereceivedbytheProposalDueDateincludingany

extensionthereof.

Itissigned,sealedandmarkedasstipulatedinClause9.

ItcontainsalltheinformationanddocumentsasrequestedintheRFP.

ItcontainsinformationinformatsspecifiedinthisRFP.

ItcontainsEMDasperclauseno.8.1A-d.

ItmentionsthevalidityperiodassetoutinClauseno.8.

Itprovidesinformationinreasonabledetail.(“ReasonableDetail”meansthat,butforminordeviations,theinformationcanbereviewedandevaluatedbywithoutcommunicationwiththeBidder).RMCreservestherighttodeterminewhethertheinformationhasbeenprovidedinreasonabledetail.

TherearenoinconsistenciesbetweentheProposalandthesupportingdocuments.

AProposalthatissubstantiallyresponsiveisonethatconformstotheprecedingrequirementswithoutmaterialdeviationorreservation.Amaterialdeviationorreservationisone,whichaffectsinanysubstantialway,thescope,quality,orperformanceoftheProject,orwhichlimitsinanysubstantialway,inconsistentwiththeRFP,rightsortheBidder’sobligationsundertheAgreement,orwhichwouldaffectunfairlythecompetitivepositionofotherBidderspresentingsubstantiallyresponsiveProposals.

d. TheBidderobtainingthehighestCompositeScorewouldbedeclaredasthePreferredBiddermayaccepttheProposalofthePreferredBidderwithorwithoutnegotiations.

e. IncasetherearetwoormoreBiddersobtainingthehighestCompositeScore,mayinsuchcasecallallsuchBiddersfornegotiationsandselectthePreferredBidderontheoutcomeofthenegotiations.TheselectioninsuchcasesshallbeatthesolediscretionofRanchiMunicipalCorporation.

f. IntheeventofacceptanceofthePreferredBidderwithorwithoutnegotiations,shalldeclarethePreferredBidderastheSuccessfulBidder.RMCwillnotifytheSuccessfulBidderthroughaLetterofAcceptance(LoA)thatitsProposalhasbeenaccepted.

g. TheSuccessfulBidder(s)shallberequiredtoexecutetheConsultancyAgreementwithinoneweekoftheissueofLoAorwithinsuchfurthertimeasmayagreetoinitssolediscretion.

h. FailureoftheSuccessfulBiddertocomplywiththerequirementsofClause15aboveshallconstitutesufficientgroundsfortheannulmentoftheLoA.Insuchanevent,RMCreservestherightto:

h.1.EitherinvitethenextbestBidderfornegotiations

h.2.Takeanysuchmeasuresasmaybedeemedfitinthesolediscretionof,includingannulmentofthebiddingprocess.

c.TheEMDwillbeforfeited.

i. NotwithstandinganythingcontainedinthisRFP,RMCreservestherighttoacceptorrejectanyProposal,ortoannulthebiddingprocessorrejectallProposals,atanytimewithoutanyliabilityoranyobligationforsuchrejectionorannulment,withoutassigninganyreasonsthereof.

7. Confidentialityandpublicity:

Allplans,drawings,specifications,designs,reportsandotherdocumentspreparedbytheConsultantinperformingtheServicesshallbecomeandremainthepropertyandcopyrightofRanchiMunicipalCorporationafterpaymenttherefore,andtheConsultantshall,notlaterthanuponterminationorexpirationofthisAgreement,deliveralloftheforegoingtoRanchiMunicipalCorporation.

TheConsultantshalltreatthedetailsoftheoutputoftheassignmentandtheServicesasconfidentialandfortheConsultant'sowninformationonlyandshallnotpublishordisclosethedetailsoftheoutput,deliverables/milestonessubmittedtoRanchiMunicipalCorporationortheServicesinanyprofessionalortechnicaljournalorpaperorelsewhereinanymannerwhatsoeverwithoutthepreviousconsentinwritingofRanchiMunicipalCorporation.

8. Responsibilitiesandobligationsoftheconsultant:

ThesuccessfulConsultantshall:

ProvidetheServicesinaccordancewiththescopeofworkasmentionedinthetenderdocument.

Theconsultantshallpreparethetenderdocumentforconstructionoftheslaughterhouseandgetfinalized/dulyvettedfromcompetentauthorityofRMCalongwiththeterm,conditionsetc.

Theconsultantshallbesolelyresponsibleforexecutionofworkatsiteandcompletionofprojectwithintimeframe,testingandcommissioningofsamecompleteinallrespect.Nopartoftheprojectshallnotbeunfruitfulexpenditure.

Exercisethedegreeofskill,careanddiligencenormallyexercisedbymembersoftheprofessionperformingservicesofasimilarnature;

BeboundtocomplywithanywrittendirectionoftovarythescopesequenceortimingoftheServices;

UseallreasonableeffortstoinformitselfofRMC’srequirementsforthedeliverablesforwhichpurposetheConsultantshallconsultthroughouttheperformanceoftheServices.

9. ConflictofInterest

a. AnApplicantshallnothaveaconflictofinterestthatmayaffecttheSelectionProcessortheAssignment(the“ConflictofInterest”).AnyApplicantfoundtohaveaConflictofInterestshallbedisqualified.

RMCrequiresthattheProjectManagementConsultacyprovidesprofessional,objective,andimpartialadviceandatalltimesholdRMC’sinterests’paramount,avoid

conflictswithotherassignmentsoritsowncorporateinterests,andactwithoutanyconsiderationforfuturework.ProjectManagementConsultacyshallnotacceptorengageinanyassignmentthatwouldbeinconflictwithitspriororcurrentobligationstootheremployers,orthatmayplaceitinapositionofnotbeingabletocarryouttheassignmentinthebestinterestsofRMC.

AnApplicantshallbedeemedtohaveaConflictofInterestthataffectstheSelectionProcess,if

SuchApplicantreceivesorhasreceivedanydirectorindirectsubsidyfromanyother

Applicant;or

ii.suchApplicanthasthesamelegalrepresentativeforpurposesofthisapplicationasanyotherApplicant;or

iii.suchApplicanthasarelationshipwithanotherApplicant,directlyorthroughcommonthirdparties,thatputstheminapositiontohaveaccesstoeachothers’informationabout,ortoinfluencetheApplicationofeitheroreachoftheotherApplicant;or

iv.IfthereisaconflictamongthisandotherconsultingassignmentsoftheApplicant(includingitspersonnelandsub-consultant)andanysubsidiariesorentitiescontrolledbysuchApplicantorhavingcommoncontrollingshareholders.ThedutiesoftheApplicantdependonthecircumstancesofeachcase.WhileprovidingconsultancyservicestoRMCforthisAssignment.

v.Applicantshallnottakeupanyassignmentthatbyitsnaturewillresultinconflictwiththepresentassignment;orafirmanditsAssociateswhichhasbeenengagedbyRMCtoprovidegoodsorworksforaproject,willbeb..disqualifiedfromprovidingconsultingservicesforthesameproject;conversely,afirmhiredtoprovideconsultingservicesforthepreparationofimplementationofaproject,anditsAssociates,willbedisqualifiedfromsubsequentlyprovidinggoodsorworksorservices.

ForpurposesofthisInvitationforRFPdocument,Associatemeans,inrelationtotheApplicant,apersonwhocontrols,iscontrolledby,orisunderthecommoncontrolwithsuchApplicant(the“Associate”).Asusedinthisdefinition,theexpression“control”means,withrespecttoapersonwhichisacompanyorcorporation,theownership,directlyorindirectly,ofmorethan50%(fiftypercent)ofthevotingsharesofsuchperson,andwithrespecttoapersonwhichisnotacompanyorcorporation,thepowertodirectthemanagementandpoliciesofsuchperson,

whetherbyoperationoflaworbycontractorotherwise.

10 AcknowledgementbyApplicant

ItshallbedeemedthatbysubmittingtheRFP,theApplicanthas:

a.MadeacompleteandcarefulexaminationoftheRFPdocument.b.ReceivedallrelevantinformationrequestedfromRMC

c.Acknowledgedandacceptedtheriskofinadequacy,errorormistakeintheinformationprovidedintheInvitationforRFPdocumentorfurnishedbyoronbehalfofRMC

d. Satisfieditselfaboutallmatters,thingsandinformation,necessaryandrequiredforSubmittinganinformedRFPandperformanceofallofitsobligationsthereunderacknowledgedthatitdoesnothaveaConflictofInterestand

e.Agreedtobeboundbytheundertakingprovidedbyitunderandintermshereof.

RMCshallnotbeliableforanyomission,mistakeorerroronthepartoftheApplicantinrespectofanyoftheaboveoronaccountofanymatterorthingarisingoutoforconcerningorrelatingtothisInvitationforRFPdocumentortheSelectionProcess,includinganyerrorormistakethereinorinanyinformationordatagivenbyRMC.

11.RighttorejectanyorallRFPs

a. NotwithstandinganythingcontainedinthisInvitationforRFPdocument,RMCreservestherighttoacceptorrejectanyRFPandtoannultheSelectionProcessandrejectallRFPs,atanytimewithoutanyliabilityoranyobligationforsuchacceptance,rejectionorannulment,andwithoutassigninganyreasonsthereof.

b. RMCreservestherighttorejectanyRFPifatanytime,amaterialmisrepresentationismadeoruncovered,ortheApplicantdoesnotprovide,withinthetimespecifiedbyRMC,thesupplementalinformationsoughtbyRMCforevaluationoftheRFPor

c.Ifsuchdisqualification/rejectionoccursaftertheRFPshavebeenopened,such

ApplicantshallnotbeeligibleforparticipatingintheSelectionProcess.

d. Suchmisrepresentation/improperresponsemayleadtodisqualificationoftheApplicant,evenafterselectionorawardingofcontract.

12.AmendmentofInvitationforRFPdocument,ifany.

a. AtanytimepriortothedeadlineforsubmissionofRFP,RMCmay,foranyreason,modifythisInvitationofRFPdocumentbytheissuanceofAddendum.

b. SuchAddendumtothisInvitationofRFPdocumentshallbepostedbyRMConitsofficialwebsiteandshallbebindingonallApplicant

c. InordertoaffordtheApplicantsareasonabletimefortakinganamendmentintoaccount,orforanyotherreason,RMCmay,initssolediscretion,extendtheRFPDueDate.

13.Currency

ThecurrencyforthepurposeofthisInvitationofRFPdocumentshallbetheIndianRupee

(INR).

14.Modification/substitution/withdrawalofRFPs

a)NoRFPshallbemodified,substituted,orwithdrawnbytheApplicantoncesubmitted.

b)Anyalteration/modificationintheRFPoradditionalinformationormaterialsuppliedsubsequenttotheRFPDueDate,unlessthesamehasbeenexpresslysoughtforbyRMC,shallbedisregarded.

15.FraudandCorruptPractices

a)TheApplicantsandtheirrespectiveofficers,employees,agentsandadvisersshallobservethehigheststandardofethicsduringtheSelectionProcess.NotwithstandinganythingtothecontrarycontainedinthisInvitationofRFPdocument,RMCshallrejectaRFPwithoutbeingliableinanymannerwhatsoevertotheApplicant,ifitdeterminesthattheApplicanthas,directlyorindirectlyorthroughanagent,engagedincorruptpractice,fraudulentpractice,coercivepractice,undesirablepracticeorrestrictivepractice(collectivelythe“ProhibitedPractices”)intheSelectionProcess.

b)WithoutprejudicetotherightsofRMCunderClause5.hereinaboveandtherightsandremedieswhichRMCmayhaveundertheshort-listingprocess,ifanApplicantisfoundtohavedirectlyorindirectlyorthroughanagent,engagedorindulgedinanycorruptpractice,fraudulentpractice,coercivepractice,undesirablepracticeorrestrictivepracticeduringtheSelectionProcess,oraftertheshort-listingprocess,suchApplicantshallnotbeeligibletoparticipateinanytenderissuedbyRMCduringaperiodof2(two)yearsfromsuchdate.

c)ForthepurposesofthisClause,thefollowingtermsshallhavethemeaninghereinafterrespectivelyassignedtothem:

d)“corruptpractice:means(i)theoffering,giving,receiving,orsoliciting,directlyorindirectly,ofanythingofvaluetoinfluencetheactionofanypersonconnectedwiththeSelectionProcess(foravoidanceofdoubt,offeringofemploymenttooremployingorengaginginanymannerwhatsoever,directlyorindirectly,anyofficialofRMCwhoisorhasbeenassociatedinanymanner,directlyorindirectlywiththeSelectionProcessorarisingtherefrom,beforeoraftertheexecutionthereof,atanytimepriortotheexpiryofoneyearfromthedatesuchofficialresignsorretiresfromorotherwiseceasestobeintheserviceofRMC,shallbedeemedtoconstituteinfluencingtheactionsofapersonconnectedwiththeSelectionProcessor(ii)engaginginanmannerwhatsoever,whetherduringtheSelectionProcessoraftershort-listing,asthecasemaybe,anypersoninrespectofanymatterrelatingtotheProject,whoatanytimehasbeenorisalegal,financialortechnicalconsultant/adviserofRMCinrelationtoanymatterconcerningtheProject;

e)“fraudulentpractice”meansamisrepresentationoromissionoffactsordisclosureofincompletefacts,inordertoinfluencetheSelectionProcess;

f)“coercivepractice:meansimpairingorharmingorthreateningtoimpairorharm,directlyorindirectly,anypersonsorpropertytoinfluenceanyperson’sparticipationoractionintheSelectionProcess;

g)“undesirablepractice”means(i)establishingcontactwithanypersonconnectedwithoremployedorengagedbyRMCwiththeobjectiveofcanvassing,lobbyingorinanymannerinfluencingorattemptingtoinfluencetheSelectionProcess;or(ii)havingaConflictofInterest;

h)“Restrictivepractice:meansformingacartelorarrivingatanyunderstandingorarrangementamongApplicantswiththeobjectiveofrestrictingormanipulatingafullandfaircompetitionintheSelectionProcess.

16.Disincentives

IftheagencyfailstocomplywithanyoftheclausesoftheagreementafterenteringintothesamewithRMC,theagreementwillbeterminatedonthreemonthnotice.TheprojectwillbereviewedeverymonthbyRMC.Incaseoffailureofanyagencyandterminationoftheagreement,theRMCmayallottheworktoothershortlistedApplicantsonfreshfinancialbidormayawardtosomeotheragency.

17.Jurisdiction

a)TheSelectionProcessshallbegovernedbyandconstruedinaccordancewiththelawsofIndiaandtheCourtsatRanchishallhaveexclusivejurisdictionoveralldisputesarisingunder,pursuanttoand/orinconnectionwiththeSelectionProcess.

b)RMC,initssolediscretionandwithoutincurringanyobligationorliability,reservestheright,atanytime,to:

i.suspendand/orcanceltheSelectionProcessand/oramendand/orsupplementthe

SelectionProcessormodifythedatesorothertermsandconditionsrelatingthereto

ii.consultwithanyApplicantinordertoreceiveclarificationorfurtherinformation

iii. retainanyinformationand/orevidencesubmittedtoRMCby,onbehalfofand/orinrelationtoanyApplicant;and/or

iv.Independentlyverify,disqualify,rejectand/oracceptanyandallsubmissionsorotherinformationand/orevidencesubmittedbyoronbehalfofanyApplicant.

v.ItshallbedeemedthatbysubmittingtheRFP,theApplicantagreesandreleasesRMC,itsemployees,agentsandadvisers,irrevocably,unconditionally,fullyandfinallyfromanyandallliabilityforclaims,losses,damages,costs,expensesor

liabilitiesinanywayrelatedtoorarisingfromtheexerciseofanyrightsand/orperformanceofanyobligationshereunder,pursuantheretoand/orinconnectionherewithandwaivesanyandallrightsand/orclaimsitmayhaveinthisrespect,whetheractualorcontingent,whetherpres
