tavalidreason.5.2LiabilityforBreachThepartyinbreachshallbeliableforanylossesordamagesincurredbytheotherpartyasaresultofthebreach.5.3ExemptionfromBreachLiabilityApartymaybeexemptedfromliabilityforbreachifthebreachiscausedbyforcemajeureorothercircumstancesbeyonditscontrol,providedthatithastakenallreasonablemeasurestomitigatetheeffectsofthebreachandhaspromptlynotifiedtheotherparty.Chapter6:DisputeResolution6.1MethodsofDisputeResolutionAnydisputesarisingfromtheperformanceofthecontractshallberesolvedthroughnegotiationormediation.Ifsuchmethodsfail,thedisputemaybesubmittedtothearbitrationcommissionorthecourtwithjurisdictionoverthecontractforresolution.6.2ApplicableLawTheinterpretation,application,andresolutionofdisputesunderthiscontractshallbegovernedbythelawsofthePeople'sRepublicofChina.6.3ProceduresforDisputeResolutionThepartiesshallresolvedisputesinaccordancewiththeprovisionsofthecontractandapplicablelawsandregulations,andshallactingoodfaithtominimizeanyadverseeffectsontheperformanceofthecontract.Chapter7:EffectivenessandTerminationoftheContract7.1ConditionsforContractEffectivenessThecontractshallbeeffectiveuponthefulfillmentofthefollowingconditions:7.1.1Allpartieshavesignedandsealedthecontract.7.1.2Allnecessaryapprovalsandconsentsfromrelevantauthoritieshavebeenobtained.7.1.3Allpreconditionsstipulatedinthecontracthavebeenmet.7.2ConditionsforContractTerminationThecontractmaybeterminatedunderthefollowingcircumstances:7.2.1Uponthecompletionofallobligationsunderthecontract.7.2.2Ifanypartybreachesthecontractandfailstoremedythebreachwithinaspecifiedperiod.7.2.3Ifthereisamaterialchangeincircumstancesthatmakestheperformanceofthecontractimpossibleorsignificantlyburdensome.7.3LegalConsequencesofContractTerminationUponterminationofthecontract,thefollowingshallapply:7.3.1Allrightsandobligationsunderthecontractshallcease,exceptforthoserelatedtothesettlementofaccountsandtheresolutionofdisputes.7.3.2Anypartythathasperformeditsobligationsshallbeentitledtocompensationforanylossincurredduetothetermination.7.3.3Thepartiesshallsettleanyoutstandingaccountsandclaimsinaccordancewiththeprovisionsofthecontract.Chapter8:SupplementaryProvisions8.1InterpretationoftheContractThecontractshallbeinterpretedinaccordancewiththeprinciplesofgoodfaithandfairness,andanyambiguityshallberesolvedinfavorofthepartythatdidnotdraftthecontract.8.2SupplementaryAgreementsAnysupplementaryagreementsmadebetweenthepartiesshallbeinwritingandshallformanintegralpartofthiscontract.8.3OtherStipulations8.3.1Thecontractshallbebindingonthepartiesandtheirrespectivesuccessorsandassigns.8.3.2Thecontractmaybeexecutedinmultiplecounterparts,eachofwhichshallbedeemedanoriginal.Chapter9:SignatureandSeal9.1SignatureBlockSeller(Signature):______Buyer(Signature):______Witness(Signature):______9.2SigningTimeThecontractissignedonthe______dayof______,2024.9.3SigningLocationThecontractissignedin______(City),______(Country).Chapter10:Appendices10.1AppendixI:Seller'sFinancialStatement10.2AppendixII:Buyer'sCreditReference10.3AppendixIII:ExchangeRateConfirmation10.4AppendixIV:RegulatoryApprovalsandLicensesChapter11:SpecialClauses11.1SpecialAgreementsThepartiesmayincludespecialagreementsinthecontract,providedthattheydonotconflictwiththemandatoryprovisionsofapplicablelaws.11.2ConfidentialityClauseThepartiesshallkeepconfidentialallinformationobtainedfromtheotherpartyduringtheperformanceofthecontract,e
