ContractAgreementforMedicalEquipment

Parties:

Basedonthemutualbenefitandtheintentiontoestablishalong-termbusinessrelationship,theSupplierandtheCustomerherebyagreeasfollows:

1.ProductandQuantity

TheCustomeragreestopurchasefromtheSupplierthefollowingmedicalequipment(the"Product"):

[Listofmedicalequipment,includingmodel,quantity,andanyspecificrequirements]

2.Delivery

TheSuppliershalldelivertheProducttotheCustomer'sdesignatedaddressonorbefore[DeliveryDate].TheriskoflossordamagetotheProductshallbetransferredtotheCustomerupondelivery.

3.PriceandPaymentTerms

ThepurchasepricefortheProductshallbe[Price](the"PurchasePrice").TheCustomershallmakepaymentfortheProductwithin[Number]daysafterthedateoftheinvoiceissuedbytheSupplier.ThepaymentshallbemadebybanktransfertotheSupplier'sdesignatedaccount.

4.Warranty

TheSupplierwarrantsthattheProductshallconformtothespecificationsprovidedbytheCustomerandbefreefromdefectsinmaterialsandworkmanship.Thewarrantyperiodshallbe[WarrantyPeriod].Duringthewarrantyperiod,theSuppliershall,atitsowncost,repairorreplaceanyProductfoundtobedefectiveornon-conforming.

5.IntellectualPropertyRights

TheSupplierrepresentsandwarrantsthatithasthefullright,title,andinterestintheProductandthattheProductdoesnotinfringeanyintellectualpropertyrightsofanythirdparty.TheSuppliershallindemnifyandholdtheCustomerharmlessagainstanyclaims,damages,orlossesresultingfromanyintellectualpropertyinfringementrelatedtotheProduct.

6.Confidentiality

ThePartiesagreetomaintainstrictconfidentialityofanysensitiveinformationexchangedbetweenthem,exceptforinformationthatispubliclyavailableorrightfullyreceivedfromathirdparty.TheconfidentialityobligationshallsurvivetheterminationofthisAgreement.

7.ForceMajeure

NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation.

8.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

9.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallpriordiscussions,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.
