ContractAgreementforImportandExport

ThisContractAgreement(the"Agreement")ismadeandenteredintoasof[Date],byandbetween[Exporter],acompanyorganizedandexistingunderthelawsof[CountryofExporter],witharegisteredaddressat[Exporter'sAddress](the"Exporter"),and[Importer],acompanyorganizedandexistingunderthelawsof[CountryofImporter],witharegisteredaddressat[Importer'sAddress](the"Importer").

1.DescriptionofGoods

TheExporteragreestoexportandtheImporteragreestoimportthefollowinggoods(the"Goods"):

2.PriceandPaymentTerms

ThepricefortheGoodsshallbe[Price],subjecttothefollowingpaymentterms:

3.DeliveryandInspection

4.WarrantiesandRepresentations

TheExporterrepresentsandwarrantsthattheGoodsconformtothespecificationsandqualitystandardssetforthinthisAgreementandarefreefromanyliensandencumbrances.TheExporterfurtherrepresentsandwarrantsthatithastherighttosellandexporttheGoodsandthattheGoodscomplywithallapplicablelawsandregulations.

5.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation.

6.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

7.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawJurisdiction].ThepartiesagreethatanylegalactionorproceedingarisingoutoforinconnectionwiththisAgreementshallbebroughtexclusivelyinthecourtslocatedin[JurisdictionCourt].

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.

INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasofthedatefirstabovewritten.
