上海恒温配送合同协议书

甲方（以下简称“甲方”）：

乙方（以下简称“乙方”）：

鉴于甲方需要将货物配送至指定地点，并保证货物在运输过程中的温度要求，乙方愿意提供恒温配送服务，甲乙双方本着平等互利的原则，经协商一致，特订立本合同，以共同遵守。

一、货物及配送要求

1.1甲方应向乙方提供详细的货物信息，包括货物的名称、数量、体积、重量以及需要保持的恒温范围等。

1.2乙方应根据甲方的要求，制定合理的配送计划，确保货物在规定的时间内送达指定地点。

1.3乙方应提供符合恒温要求的运输工具，并确保货物在运输过程中的温度稳定，避免货物损坏。

二、deliveryperiodandlocation

2.1Thedeliveryperiodshallbeasagreedbybothpartiesinwriting,andthespecificdeliverytimeandlocationshallbeindicatedinthedeliveryorderissuedbythebuyer.

2.2Thebuyershallberesponsibleforinspectingthegoodsupondeliveryandshallsignthedeliveryreceipt.Ifthegoodsarefoundtobedamagedorincomplete,thebuyershallmakearecordonthedeliveryreceiptandnotifythesellerinwritingwithin24hoursofdelivery.

三、paymentterms

3.1Thebuyershallmakepaymentforthegoodsinaccordancewiththeagreedpaymentterms,whichshallbeindicatedinthesalescontract.

3.2Thesellershallprovidethebuyerwithaninvoiceforthegoodsinaccordancewithapplicablelawsandregulations.

四、warrantyandliability

4.1Thesellerwarrantsthatthegoodsconformtothespecificationsandqualitystandardsagreeduponbybothparties.

4.2Ifthegoodsfailtoconformtotheagreedspecificationsorqualitystandards,thesellershall,atitsowncost,replaceorrepairthenon-conforminggoodsorrefundthepurchasepriceforsuchgoods.

4.3Thesellershallbeliableforanydirectdamagessufferedbythebuyerduetotheseller'sbreachofcontractornegligence,butshallnotbeliableforanyindirect,incidental,orconsequentialdamages.

五、forcemajeure

5.1Neitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthiscontractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation.

5.2Ifapartyisunabletoperformitsobligationsunderthiscontractduetoaforcemajeureevent,itshallpromptlynotifytheotherpartyinwritingandtakereasonablestepstomitigatetheeffectsoftheforcemajeureevent.

六、termination

6.1eitherpartymayterminatethiscontractatanytimeforanyreasonuponwrittennoticetotheotherparty.

6.2uponterminationofthiscontract,thebuyershallpaythesellerforallgoodsdeliveredandservicesperformedpriortotheterminationdate.

七、generalprovisions

7.1Thiscontractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,andnegotiations,whetheroralorwritten.

7.2Thiscontractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.

7.3Thiscontractshallbegovernedbyandconstruedinaccordancewiththelawsofthepeople'srepublicofchina.

7.4anydispu
