leanandhabitableconditionontheCommencementDate.7.2StandardsandProceduresforAcceptanceTheTenantshallinspectthePremiseswithin______daysoftakingpossessionandnotifytheLandlordinwritingofanydefectsordamage.7.3ProofofDeliveryandAcceptanceTheLandlordandTenantshallsignadeliveryandacceptanceformconfirmingtheconditionofthePremisesandthedateofdelivery,whichshallbeattachedasScheduleC.Chapter8:UseandRestrictions8.1RightstoUsethePropertyTheTenantshallhavetherighttousethePremisesforthepurposestatedinChapter3.2,subjecttothetermsandconditionsofthisAgreement.8.2RestrictionsandProhibitedActsTheTenantshallnotusethePremisesforanyillegalactivitiesorinanywaythatmaycausedamagetothePremisesordisturbthepeaceandquietofneighboringoccupants.8.3SublettingandAssignmentTheTenantshallnotsubletorassignthisAgreementoranypartofthePremiseswithoutthepriorwrittenconsentoftheLandlord.Chapter9:MaintenanceandRepair9.1Landlord'sMaintenanceResponsibilitiesTheLandlordshallberesponsibleforthemaintenanceofthestructuralcomponentsofthePremisesandanysharedfacilities.9.2Tenant'sMaintenanceResponsibilitiesTheTenantshallberesponsibleforthemaintenanceandcleanlinessoftheinteriorofthePremises,excludinganystructuralelements.9.3EmergencyRepairsandCostResponsibilityIntheeventofanemergencyrepair,theTenantshallnotifytheLandlordimmediately.TheLandlordshallrespondwithin______hourstoaddresstheissue.ThecostofsuchrepairsshallbebornebytheLandlordunlesstheemergencywascausedbytheTenant'snegligence.Chapter10:Insurance10.1InsuranceRequirementsforthePropertyTheLandlordshallmaintaininsurancecoverageforthePremisesagainstfire,theft,andotherrisksasrequiredbylaw.10.2ResponsibilityforInsurancePremiumsTheLandlordshallberesponsibleforthepaymentofallinsurancepremiumsunlessotherwiseagreeduponinwriting.10.3HandlingofInsuranceClaimsIntheeventofaclaim,theLandlordshallpromptlynotifytheinsurancecompanyandcooperatewiththeTenanttofacilitatetheclaimprocess.Chapter11:BreachofContract11.1DefinitionandDeterminationofBreachAbreachofcontractoccurswhenapartyfailstoperformanyofitsobligationsunderthisAgreement,orperformstheminamannerthatdoesnotcomplywiththetermsofthisAgreement.11.2RemedialMeasuresforBreachUpontheoccurrenceofabreach,thenon-breachingpartymayrequirethebreachingpartytoremedythebreachwithinareasonabletime.11.3CalculationandPaymentofDamagesforBreachIfthebreachingpartyfailstoremedythebreachwithinthespecifiedtime,thenon-breachingpartymayclaimdamagesfromthebreachingparty,whichshallbecalculatedbasedontheactuallosssuffered.Chapter12:ContractModificationandTermination12.1ConditionsandProceduresforModificationThisAgreementmaybemodifiedonlybyawrittenagreementsignedbybothparties.AnymodificationmustbeinaccordancewiththeoriginalintentofthisAgreement.12.2ConditionsandProceduresforTerminationEitherpartymayterminatethisAgreementbygiving______noticeinwritingtotheotherparty,providedthatthereasonforterminationisinaccordancewiththetermsofthisAgreement.12.3RightsandObligationsAfterTerminationUponterminationofthisAgreement,theTenantshallvacatethePremisesandreturnthemtotheLandlordinthesameconditionasatthecommencementoftheLeaseTerm,fairwearandtearexcepted.TheLandlordshallreturntheSecurityDeposittotheTenantwithin______daysofthetermination.Chapter13:DisputeResolution13.1MethodsofDisputeResolutionDisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlyconsultation.Ifconsultationfails,thepartiesmayagreetomediation.13.2ChoiceBetweenArbitrationandLitigationIfmediationisunsuccessful,thepartiesmayagreetosubmitthedisputetoarbitrationundertherulesofthe______ArbitrationCommission.Alternatively,eitherpartymayinitiatelitigationinacourtofcompetentjurisdiction.13.3CostsofDisputeResolutionUnlessotherwiseagreedordeterminedbyanarbitralawardorcourtorder,eachpartyshallbearitsowncostsinrelationtodisputeresolution.Chapter14:ContractExecution14.1SigningPartiesTheLandlordandTenantshallexecutethisAgreementbysigningbelow.14.2SigningDateThisAgreementisenteredintoonthis______dayof____,20.14.3SigningLocationThisAgreementisexecutedatthelocationof______.14.4EffectivenessoftheContractThisAgreementshallcomeintoeffectuponthedateofsigningbybothparties.14.5CopiesandFilingoftheContractThisAgreementshallbemadein______copies,witheachpartyretainingonecopyandtheremainingcopiestobefiledwiththerelevantauthoritiesasrequiredbylaw.MultiplePartiesDominantAttachmentTermsandExplanationAttachmentI:DetailedDescriptionofthePropertyEquipmentListSerialNo.:______,EquipmentName:______,Specifications/Model:______,Quantity:______,Manufacturer:______,DateofPurchase:______.FurnitureListSerialNo.:______,FurnitureName:______,Material:______,Dimensions:______,Quantity:______,DateofPurchase:______.FacilityListSerialNo.:______,FacilityName:______,FunctionalDescription:______,MaintenanceRequirements:______,Quantity:______,DateofPurchase:______.AttachmentII:PropertyAcceptanceStandardsEquipmentAcceptanceStandardsSerialNo.:______,EquipmentName:______,AcceptanceCriteria:______,AcceptanceMethod:______,ResponsiblePerson:______.FurnitureAcceptanceStandardsSerialNo.:______,FurnitureName:______,AcceptanceCriteria:______,AcceptanceMethod:______,ResponsiblePerson:______.FacilityAcceptanceStandardsSerialNo.:______,FacilityName:______,AcceptanceCriteria:______,AcceptanceMethod:______,ResponsiblePerson:______.AttachmentIII:PropertyUseandMaintenanceGuidelinesEquipmentUsageGuidelinesEquipmentName:______,OperationSteps:______,Precautions:______,MaintenanceCycle:______.FurnitureUsageGuidelinesFurnitureName:______,UsageSuggestions:______,CleaningandMaintenance:______,Precautions:______.FacilityUsageGuidelinesFacilityName:______,OperationProcess:______,SafetyInstructions:______,MaintenanceRequirements:______.AttachmentIV:InsuranceTermsInsuranceCoverageTheinsurancecoverageforthepropertyshallincludebutnotbelimitedtofire,theft,andotherrisksasstipulatedbythelaw.InsuranceAmountTheinsuranceamountshallbedeterminedbasedonthemarketvalueofthepropertyandtherisksassociatedwithitsuse.InsurancePeriodTheinsuranceperiodshallcovertheentireleaseterm.InsurancePremiumsThepaymentofinsurancepremiumsshallbetheresponsibilityoftheLandlordunlessotherwiseagreeduponinwriting.AttachmentV:BreachofContractDetailsClassificationofBreachMinorBreach:______,GeneralBreach:______,SeriousBreach:______.BreachNotificationThebreachingpartyshallnotifytheotherpartyinwritingwithin______hoursofthebreachoccurring.RemedialActionsforBreachThebreachingpartyshalltakeallreasonablemeasurestomitigateoreliminatethelossescausedtothenon-breachingparty.CalculationandPaymentofDamagesforBreachThecalculationofdamagesforbreachshallbebasedonactuallosses,includingbutnotlimitedtodirectlosses,indirectlosses,andlossofanticipatedprofits.AttachmentVI:ContractModificationandTerminationDetailsModificationConditionsContractmodificationsshallbebasedonthemutualinterestsofthepartiesandchangesinthemarket.ModificationProceduresAnymodificationstothecontractshallfollowawrittenformatandshallbecomeeffectiveuponbeingsignedbybothparties.TerminationConditionsTheconditionsforcontractterminationshallbeclearlydefined,includingbutnotlimitedtobreachandforcemajeure.TerminationProceduresTheterminationofthecontractshallfollowawrittenformatandshallbecomeeffectiveuponbeingsignedbybothparties.AttachmentVII:DisputeResolutionMechanismNegotiationIntheeventofadispute,thepartiesshallfirstattempttoresolveitthroughfriendlynegotiations.MediationIfnegotiationsfail,athird-partymediationinstitutionmayberequestedtointervene.ArbitrationIfmediationisunsuccessful,thedisputemaybesubmittedtothearbitrationcommissionforarbitration.LitigationIfarbitrationisunsuccessful,eitherpartymayinitiatelitigationinacourtofcompetentjurisdiction.AttachmentVIII:ContractExecutionandFilingExecutionProceduresTheexecutionofthecontractshallfollowtheprincipleofmutualagreementbetweentheparties.ExecutionLocationThelocationfortheexecutionofthecontractshallbedeterminedbymutualagreementbetweentheparties.FilingRequirementsAfterthecontractissigned,bothpartiesshallsubmitcopiesofthecontracttotherelevantadministrativemanagementdepartmentsforfiling.FilingDeadlineThecontractfilingshallbecompletedwithin______daysafterthesigning.AttachmentIX:PropertyDeliveryandAcceptanceCertificateDeliveryCertificateTheLandlordshallprovideadeliverycertificatewhendeliveringtheproperty.AcceptanceCertificateTheTenantshallprovideanacceptancecertificateafterinspectingandacceptingtheproperty.CertificateContentThecertificateshallincludeadetaileddescriptionoftheproperty,thedateofdelivery,andthesignaturesandsealsofbothparties.AttachmentX:PropertyMaintenanceandCareRecordsMaintenanceRecordsTheLandlordshallregularlyrecordthemaintenancestatusoftheproperty.CareRecordsTheTenantshallregularlyrecordthecareandcleaningstatusoftheproperty.RecordRequirementsTherecordsshallbedetailedandaccurateforeasyreferenceandsupervisionbybothparties.RecordKeepingThemaintenanceandcarerecordsshallbekeptbytheLandlordandshallbeavailableforreviewbytheTenant.Theseattachmenttermsandexplanationsareanintegralpartofthecontractandhavethesamelegaleffectasthemainbodyofthecontract.Allpartiesmuststrictlycomplywiththetermsoftheattachmenttoensurethesmoothimplementationofthecontract.AttachmentsandAdditionalExplanationsI.AttachmentList:AttachmentI:DetailedDescriptionofthePropertyAttachmentII:PropertyAcceptanceStandardsAttachmentIII:PropertyUseandMaintenanceGuidelinesAttachmentIV:InsuranceTermsAttachmentV:BreachofContractDetailsAttachmentVI:ContractModificationandTerminationDetailsAttachmentVII:DisputeResolutionMechanismAttachmentVIII:ContractExecutionandFilingAttachmentIX:PropertyDeliveryandAcceptanceCertificateAttachmentX:PropertyMaintenanceandCareRecordsII.BreachofContractandDetermination:Breachofcontractisdefinedasthefailureofapartytoperformanyofitsobligationsunderthecontract,ortheperformanceofsuchobligationsinamannerthatdoesnotcomplywiththetermsofthecontract.Determinationofabreachinvolvesareviewoftheparty'sactionsagainstthecontractualobligationsandmayrequirewrittennoticeofthebreachtobegivenbythenon-breachingparty.III.LegalTermsandDefinitions:ForceMajeure:Circumstancesbeyondthecontroloftheparties,whichcouldnothavebeenreasonablyforeseen,avoided,or克服d.LeaseholdImprovements:Anyimprovementsmadetothepropertybythetenantwiththelandlord'sconsent.RentFreePeriod:Aspecifiedperiodatthebeginningoftheleasewherethetenantisnotrequiredtopayrent.YieldUp:Therequirementforthetenanttoreturnthepropertyinthesameconditionasitwasatthestartofthelease,fairwearandtearexcepted.IV.DisputeResolutionMechanism:Negotiation:Thepartiesshallfirstattempttoresolvedisputesthroughdirectnegotiations.Mediation:Ifnegotiationsfail,eitherpart
