ConsultingServicesAgreement

ThisConsultingServicesAgreement(the"Agreement")ismadeandenteredintoasof[Date],byandbetween[YourCompanyName]("Client"),a[Corporation/LLC/Partnership]organizedandexistingunderthelawsof[Jurisdiction],and[Consultant'sName],anindividual("Consultant"),residingat[Consultant'sAddress].

1.Services

1.1TheConsultantagreestoprovidetheClientwithconsultingservices(the"Services")asdescribedinExhibitAattachedhereto.TheServicesshallinclude,butnotbelimitedto,thefollowing:[Listspecificservicestobeprovided].

1.2TheConsultantshallperformtheServiceswithreasonableskillandcare,inaprofessionalmannerconsistentwiththestandardsgenerallyacceptedintheConsultant'sfieldofexpertise.

2.Term

2.1ThetermofthisAgreement(the"Term")shallcommenceontheEffectiveDateandshallcontinueforaperiodof[Duration],unlessearlierterminatedasprovidedinthisAgreement.

2.2eitherpartymayterminatethisagreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisagreementandfailstocuresuchbreachwithin[Number]daysafterreceiptofwrittennoticethereoffromtheotherparty.

3.FeesandPaymentTerms

3.1TheClientagreestopaytheConsultantfortheServicesattheratessetforthinExhibitBattachedhereto.

3.2TheClientshallmakepaymentstotheConsultantwithin[Number]daysafterreceivinganinvoicefromtheConsultant.

4.Confidentiality

4.1TheConsultantshallmaintaininstrictconfidenceallconfidentialinformationdisclosedtotheConsultantbytheClient,includingbutnotlimitedtotradesecrets,customerlists,andotherproprietaryinformation(the"ConfidentialInformation").

4.2TheConsultantshallnotusetheConfidentialInformationforanypurposeotherthantheperformanceoftheServicesunderthisAgreement.

5.Indemnification

5.1TheClientagreestoindemnifyandholdharmlesstheConsultantagainstanyclaims,demands,losses,orexpenses(includingreasonableattorney'sfees)incurredbytheConsultantarisingoutoforinconnectionwiththeperformanceoftheServicesunderthisAgreement,excepttotheextentsuchclaims,demands,losses,orexpensesaredirectlycausedbythenegligenceorwillfulmisconductoftheConsultant.

6.Miscellaneous

6.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.

6.2ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.

6.3IfanytermorprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,theremainderoftheAgreementshallremaininfullforceandeffectandshallinnowaybeaffected,impaired,orinvalidated.

6.4ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
