Article1:Definitions

Article2:TermoftheContract

Article3:ScopeofServices

Article6:IntellectualPropertyRights

PartyBacknowledgesthatallintellectualpropertyrightsrelatedtoPartyA'sbusiness,products,andservicesaretheexclusivepropertyofPartyA.PartyBshallnotuse,copy,ordisclosesuchintellectualpropertyrightswithoutPartyA'spriorwrittenconsent.

Article7:Indemnification

EachPartyshallindemnifyandholdtheotherPartyharmlessagainstanyclaims,losses,damages,liabilities,andexpensesarisingoutoftheindemnifyingParty'sbreachofthisContract.

Article8:DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheParties.Ifthedisputescannotberesolvedamicably,theyshallbereferredtoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

Article9:GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningCountry].ThePartiesagreethatanylegalactionorproceedingsarisingoutofthisContractshallbebroughtexclusivelyinthecompetentcourts/tribunalshavingjurisdictionin[Jurisdiction].

Article10:Termination

EitherPartymayterminatethisContractbyprovidingwrittennoticetotheotherParty,specifyingthereasonsfortermination.

Article11:EntireAgreement

ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallpriordiscussions,negotiations,andunderstandings,whetherwrittenororal.
