8.Confidentiality

8.1BothpartiesagreetomaintaintheconfidentialityofanyproprietaryorsensitiveinformationsharedduringthetermofthisAgreement.

8.2Confidentialinformationshallnotbedisclosedtothirdpartieswithoutpriorwrittenconsentfromthedisclosingparty.

9.LiabilityandIndemnification

9.1Eachpartyshallindemnifyandholdharmlesstheotherpartyfromandagainstanyclaims,damages,losses,orliabilitiesarisingfromtheirownnegligenceorbreachofthisAgreement.

9.2LiabilityfordamagescausedlaborormaterialsprovidedunderthisAgreementshallbelimitedtotheamountpaidtheBorrowerforsuchlaborormaterials.

10.Termination

10.1EitherpartymayterminatethisAgreementwith____days’writtennoticeiftheotherpartyfailstoperformitsobligations.

10.2Immediateterminationmayoccurifeitherpartyengagesinfraudulentorillegalactivities.

IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallcontinueinfullforceandeffect.

14.1ThisAgreementisexecutedintwooriginalcopies,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.
