1.LeaseofPremises

6.Indemnification

LesseeshallindemnifyandholdLessorharmlessfromandagainstanyclaims,damages,liabilities,andexpensesarisingoutofLessee'suseoroccupationofthePremises.

7.DefaultandTermination

Intheeventofamaterialbreachbyeitherparty,thenon-breachingpartymay,atitssolediscretion,terminatethisAgreementuponwrittennoticetothebreachingparty.Insuchevent,thebreachingpartyshallbeliableforanyunpaidrentandotherdamagesasprovidedbylaw.

8.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].

9.EntireAgreement
