ContractSummary:

ThisImportTradeTripartiteContract(the"Contract")isenteredintobyandamongtheBuyer,theSeller,andPartyC[insertnameofthethirdpartyifapplicable],hereinaftercollectivelyreferredtoasthe"Parties."

ThePartieshaveagreedtoenterintothisContractonthefollowinggroundsandinconsiderationofthemutualcovenantsandagreementscontnedherein:

ThePartiesheretohaveagreedtothefollowingtermsandconditions,whichformanintegralpartofthisContract:

(a)TheBuyerisinneedofhigh-quality[descriptionofgoods]tomeetthedemandsofitsmarket,andtheSellerhastheexperienceandcapacitytosupplysuchgoods.

(b)TheBuyerhasconductedduediligenceandissatisfiedwiththequalityandspecificationsofthegoodsofferedbytheSeller,asevidencedby[referencetoanyprevioustransactions,samples,etc.].

(c)ThePartieshaveagreedonthepricing,paymentterms,deliveryschedules,andothermaterialterms,whicharesetforthindetlinthesubsequentarticlesofthisContract.

(d)ThePartieshavetakenintoaccounttheapplicablelawsandregulations,includingbutnotlimitedtoimportandexportregulations,customsrequirements,andinternationaltradepractices,andagreetocomplywiththesameintheperformanceofthisContract.

ThisContractrepresentstheentireunderstandingbetweenthePartiesandsupersedesallprioragreements,negotiations,anddiscussions,whetheroralorwritten,relatingtothesubjectmatterhereof.ThisContractshallbecomeeffectiveuponitsexecutionbythePartiesheretoandshallcontinueinfullforceandeffectuntilthefulfillmentofallobligationsofthePartiesunderthisContract.

第一条合同目的与范围

TheprimarypurposeofthisContractistoregulatethetermsandconditionsunderwhichPartyA(Buyer)shallpurchaseandPartyB(Seller)shallsupplythegoodsspecifiedinExhibitA(the"Goods"),therebyfacilitatingtheimportoftheGoodsbytheBuyerforsubsequentsale,use,ordistributionwithinitsdesignatedmarket.ThescopeofthisContractincludes,butisnotlimitedto,thefollowingspecificcontents:thequalitystandards,quantities,pricing,delivery,payment,inspection,warranty,anddisputeresolutionrelatedtothetransactionoftheGoods.

第二条定义

ForthepurposeofthisContract,thefollowingtermsshallhavethemeaningsascribedtothembelow:

-"Goods"referstothespecificitems,products,ormaterialstobeimportedbytheBuyerandsuppliedbytheSeller,aslistedinExhibitA.

-"ContractPrice"meansthepricefortheGoodsagreeduponbythePartiesandsetforthinthisContract.

-"DeliveryDate"meansthedateordatesonwhichtheGoodsaretobedeliveredbytheSellertotheBuyer,asspecifiedinthisContract.

-"ForceMajeure"referstoanyunforeseeableandirresistibleeventorcircumstancebeyondthecontroloftheParties,whichpreventstheperformanceoftheirobligationsunderthisContract.

第三条双方权利与义务

1.PartyA'sRightsandObligations(Buyer):

-TheBuyershallhavetherighttoreceivetheGoodsinaccordancewiththespecificationsandqualitystandardssetforthinthisContract.

-TheBuyershallmakepaymentfortheGoodsinaccordancewiththepaymenttermsspecifiedinthisContract.

-TheBuyershallhavetherighttoinspecttheGoodsupondeliveryandmayrejectanyportionoftheGoodsthatdonotconformtotheagreed-uponspecifications.

-TheBuyershallberesponsibleforobtninganynecessaryimportlicenses,permits,orclearancesfortheGoodsinitsterritory.

-TheBuyershallnot,withouttheSeller'spriorwrittenconsent,resellordistributetheGoodstoanythirdpartyinanyterritorynotagreeduponinthisContract.

2.PartyB'sRightsandObligations(Seller):

-TheSellershallsupplytheGoodsinaccordancewiththespecifications,qualitystandards,andquantitiessetforthinthisContract.

-TheSellershallensurethattheGoodsareproperlypackaged,labeled,anddeliveredtotheBuyerbytheagreedDeliveryDate.

-TheSellershallprovideallnecessarydocumentation,includingbutnotlimitedto,invoices,packinglists,andcertificatesofconformity,toenabletheBuyertocleartheGoodsthroughcustoms.

-TheSellershallberesponsibleforanyclms,damages,orlossesarisingfromdefectsintheGoodsorfromanyfluretocomplywiththeContractspecifications.

-TheSellershallnot,withouttheBuyer'spriorwrittenconsent,discloseanyconfidentialinformationoftheBuyertoanythirdparty.

TheParties'rightsandobligationssetforthinthisContractareinadditionto,andnotinderogationof,anyrightsandremediesavlabletothemunderapplicablelaw.ThePartiesagreetoperformtheirobligationsunderthisContractingoodfthandtotakeallnecessarymeasurestoensurethesuccessfulcompletionofthetransaction.

第四条价格与支付条件

TheContractPricefortheGoodsshallbetheamountagreeduponbythePartiesandspecifiedinExhibitA.TheBuyershallmakepaymentfortheGoodsasfollows:

-Onehundredpercent(100%)oftheContractPriceshallbepdbytheBuyertotheSellerviawiretransferinthecurrencyandtothebankaccountdesignatedbytheSeller,within[number]daysafterthedateoftheissuanceoftheSeller'sinvoice.

-TheBuyer'spaymentshallbeconditionalupontheGoodsconformingtotheagreedspecificationsandqualitystandards,anduponreceiptofthenecessarydocumentationasprovidedforinthisContract.

-ThePartiesagreethatanybankcharges,fees,orexpensesrelatedtothetransferoftheContractPriceshallbebornebytheBuyer.

第五条履行期限

ThisContractshallbeeffectivefromthedateofitsexecutionandshallremninforceuntilthecompletionofallobligationsbybothParties.ThekeytimenodesanddeadlinesfortheperformanceofthisContractareasfollows:

第六条违约责任

-ThebreachingPartyshallpayapenalty,asliquidateddamages,intheamountof[percentage]oftheContractPriceforeachdayofdelayornon-performance.

-IfthebreachissubstantialandleadstotheimpossibilityofachievingtheContract'spurpose,thenon-breachingPartyshallhavetherighttoterminatethisContractandclmdamages,whichmayincludedirectandindirectlosses,suchaslostprofits,increasedcosts,andreasonableattorney'sfees.

-ThePartiesagreethattheSellershallbeliableforanydefectsintheGoodsornonconformitywiththeagreedspecifications,andshall,atitsownexpense,reprorreplacethedefectiveGoodsorrefundtheContractPrice.

-TheBuyershallbeliableforanylossordamagetotheGoodsupontakingdelivery,andshallberesponsibleforanycostsassociatedwiththereturnorreplacementoftheGoodsduetoitsbreach.

-ThePartiesacknowledgethattheremediesprovidedinthisarticlearenotexclusiveanddonotprecludethenon-breachingPartyfromseekinganyotherlegalremediesavlableunderapplicablelaw.

第七条不可抗力

"ForceMajeure"asreferredtointhisContractshallmeananyeventorcircumstancethatisbeyondthereasonablecontrolofaParty,includingbutnotlimitedto,actsofGod,naturaldisasters,war,hostilities,invasion,embargo,revolution,civilstrife,riots,strikes,lockouts,andactsofgovernmentorauthoritythatpreventaPartyfromfulfillingitsobligationsunderthisContract.TheoccurrenceofaForceMajeureeventshallentitletheaffectedPartytothefollowing:

-ExemptionfromperformanceordelayinperformanceofitsobligationsunderthisContractforthedurationoftheForceMajeureevent.

-ExtensionofthetimeforperformanceoftheobligationsaffectedbytheForceMajeureeventbyaperiodequivalenttothedurationoftheevent.

ThePartyclmingthebenefitofthisclauseshallpromptlynotifytheotherPartyinwritingoftheoccurrenceofaForceMajeureeventandprovidereasonableevidencethereof.IftheForceMajeureeventcontinuesforaperiodexceeding[number]months,eitherPartyshallhavetherighttoterminatethisContractbywrittennoticetotheotherParty,withoutliabilityforanydamagesorcostsarisingfromsuchtermination.

第八条争议解决

Intheeventofanydispute,controversy,orclmarisingoutoforinconnectionwiththisContract,thePartiesshallfirstattempttoresolvesuchdisputethroughfriendlynegotiations.IfthePartiesfltoresolvethedisputewithin[number]daysafterthecommencementofnegotiations,theymayagreetoresolvethedisputethroughmediationinaccordancewiththerulesofanagreed-uponmediationinstitution.

Ifmediationflstoresolvethedisputewithin[number]daysfromthecommencementofthemediation,orifeitherPartydoesnotconsenttomediation,thedisputeshallbefinallysettledbyarbitrationinaccordancewiththerulesofanarbitrationinstitutionmutuallyagreeduponbytheParties.Thearbitrationshalltakeplacein[specifiedlocation],andthelanguageofthearbitrationshallbe[agreedlanguage].

Thedecisionofthearbitrator(s)shallbefinalandbindingupontheParties,andthePartiesagreetoexecuteanyawardrenderedinthearbitrationproceedings.ThePartiesshallbeartheirrespectivecostsofthearbitration,andthearbitrationfeesandexpensesshallbesharedequally,unlessotherwisedeterminedbythearbitrator(s).

Notwithstandingtheforegoing,eitherPartymayseekequitablereliefinacourtofcompetentjurisdictiontopreventanyimminentbreachorfurtherbreachofthisContract.

ThePartiesagreethatthedisputeresolutionmechanismsetforthinthisarticleisexclusiveandthatneitherPartyshallinitiateanylegalproceedingsinanycourtorotherforum,exceptasprovidedforinthisarticle.

第九条其他条款

1.Notices:Allnotices,requests,demands,andothercommunicationshereundershallbeinwritingandshallbegivenbyeml,facsimile,courier,orregisteredmltotheaddressesspecifiedbytheParties.Anynoticeshallbedeemedt
