国内贷款合同英文版合同编号：__________ContractforDomesticLoanThisContractforDomesticLoan(the"Contract")ismadeandenteredintoonthis______dayof____________,20____,andbetween:PartyA:____________________(the"Borrower")PartyB:____________________(the"Lender")(Hereinafterreferredtoasthe"Parties")WITNESSETH:1.Recitals1.1TheBorrowerdesirestoborrowcertainsumsofmoneyfromtheLender,andtheLenderiswillingtolendthesametotheBorrower,subjecttothetermsandconditionssetforthherein.1.2ThePartiesheretowishtorecordthetermsandconditionsoftheloaninwriting.Now,therefore,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thePartiesheretoagreeasfollows:2.LoanAmountandTerms2.1TheLenderagreestolendtotheBorrowertheaggregateprincipalamountof_____________(the"LoanAmount").2.2TheLoanAmountshallbedisbursedtheLendertotheBorrowerontheEffectiveDate(asdefinedbelow).2.4TheBorrowershallrepaytheLoanAmount,togetherwithinterestthereonandallotheramountsdueunderthisContract,inaccordancewiththerepaymentschedulesetforthinExhibitAattachedhereto(the"RepaymentSchedule").3.Interest3.1TheBorrowershallpayinterestontheoutstandingprincipalamountoftheLoanatanannualinterestrateof_____________percent(the"AnnualInterestRate").4.Repayment4.1TheBorrowershallmakemonthlyrepaymentsoftheLoanAmount,togetherwithinterestandallotheramountsdueunderthisContract,inaccordancewiththeRepaymentSchedule.4.2TheBorrowershallmakeallpaymentsunderthisContractwiretransfertotheLender'sdesignatedaccount,orsuchothermeansastheLendermayspecifyfromtimetotime.5.Security5.1TheBorrowerheregrantstotheLenderasecurityinterestinandlienonalloftheBorrower'sright,,andinterestinandtotheCollateral(asdefinedbelow)tosecurethepromptpaymentandperformanceoftheObligations(asdefinedbelow).5.2TheBorrowershallexecuteanddelivertotheLendersuchinstruments,documents,andagreements,andtakesuchotheractions,asmaybenecessaryorappropriatetocreate,perfect,andmaintainthesecurityinterestandliengrantedunderthisContract.6.DefaultandTermination6.1IftheBorrowerfailstomakeanypaymentunderthisContractwhendue,oriftheBorrowerfailstoperformanyotherobligationunderthisContract,theLendermaydeclaretheentireoutstandingbalanceoftheLoan,togetherwithallaccruedandunpaidinterestandotheramountsdueunderthisContract,immediatelydueandpayable.6.2IntheeventofadefaulttheBorrowerunderthisContract,theLendershallhaveallrightsandremediesavailabletoitunderapplicablelaw,including,withoutlimitation,therighttosell,assign,orotherwisedisposeoftheCollateraltosatisfytheoutstandingObligations.7.RepresentationsandWarranties7.1TheBorrowerrepresentsandwarrantstotheLenderthat:(a)IthasthelegalcapacitytoenterintothisContractandtoperformitsobligationshereunder;(b)Itisdulyorganized,validlyexisting,andingoodstandingunderthelawsofitsjurisdictionoforganization;(c)IthasthepowerandauthoritytograntthesecurityinterestandlienintheCollateralandtoperformitsobligationsunderthisContract;(d)TheexecutionanddeliveryofthisContractandtheperformanceofitsobligationshereunderdonotconflictwithanylaw,rule,regulation,orordertowhichitissubject,oranyagreementorinstrumenttowhichitisapartyorwhichitisbound;and8.一、附件列表：1.贷款合同2.还款计划表（见ExhibitA）3.担保物清单（见ExhibitB）4.贷款合同的附录（如有）二、违约行为及认定：1.违约行为：未能按时支付贷款本金、利息或其他费用未能履行合同项下的任何其他义务贷款用途不符合合同约定提供虚假或误导性信息未经许可转让或出质担保物2.违约认定：迟延支付：未能在约定的期限内支付任何应付款项不履行：明确违反合同约定的义务用途不符：使用贷款资金的方式与合同约定的用途不符信息不实：在合同执行过程中提供虚假或误导性信息转让/出质违规：未经贷款方同意转让或出质担保物三、法律名词及解释：1.贷款人（Lender）：指提供贷款的一方2.借款人（Borrower）：指接受贷款的一方3.担保物（Collateral）：指为贷款提供担保的财产4.有效日期（EffectiveDate）：指合同正式生效的日期5.贷款金额（LoanAmount）：指合同约定的借款本金总额6.年利率（AnnualInterestRate）：指合同约定的年度利息率7.违约（Default）：指借款人未能履行合同约定的义务四、执行中遇到的问题及解决办法：1.支付延误：解决办法：与贷款方沟
