2.TermandTermination

b.EnsurethequalityandcomplianceofthePrincipal'sproductswithapplicablelawsandregulations.

c.ProvidetheDistributorwithtimelydeliveryofthePrincipal'sproductsupontheDistributor'spurchaseorders.

4.ObligationsoftheDistributor

TheDistributoragreesto:

a.ComplywithallapplicablelawsandregulationsinthedistributionandsaleofthePrincipal'sproducts.

b.UsereasonableeffortstopromoteandsellthePrincipal'sproductswithin[InsertTerritory].

c.Maintainaccurateandup-to-daterecordsofthesalesofthePrincipal'sproducts.

5.PricingandPayment

TheDistributorshallpurchasethePrincipal'sproductsatthepricesandtermssetforthintheattachedScheduleofPricesandPaymentTerms.Allpaymentsshallbemadewithin[InsertPaymentTerms]ofthedateofinvoice.

6.IntellectualProperty

ThePrincipalretainsallright,title,andinterestinandtothePrincipal'sproducts,trademarks,andanyotherintellectualpropertyrights.TheDistributorshallnotusethePrincipal'strademarksoranyotherintellectualpropertyrightswithoutthePrincipal'spriorwrittenconsent.

7.Confidentiality

ThepartiesagreetomaintaintheconfidentialityofanyandallconfidentialinformationdisclosedbyeitherpartytotheotherpartyinconnectionwiththisAgreement.TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.

8.Indemnification

ThePrincipalagreestoindemnifyandholdtheDistributorharmlessfromanyandallclaims,actions,damages,liabilities,andexpensesarisingoutoforinconnectionwiththePrincipal'sbreachofthisAgreementortheuseofthePrincipal'sproductsbytheDistributor.

9.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertJurisdiction].

10.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePrincipalandtheDistributorwithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

c.AccesstovaluablemarketintelligencegatheredbytheDistributorandtheThirdParty.
