4.Delivery
TheSellershalldelivertheGoodstotheBuyerattheaddressspecifiedintheattached"OrderForm"withinthetimeframeasstatedintheattached"DeliverySchedule."
5.InspectionandAcceptance
UpondeliveryoftheGoods,theBuyershallinspecttheGoodswithinthetimeframeasspecifiedintheattached"InspectionandAcceptanceSchedule."IftheGoodsfailtomeetthequalityrequirementsasstipulatedinthe"QualityStandard,"theBuyershallnotifytheSellerwithinthetimeframeasspecifiedintheattached"InspectionandAcceptanceSchedule."
6.WarrantiesandLiability
TheSellerwarrantsthattheGoodsshallbefreefromdefectsandshallbeinconformitywiththe"QualityStandard"foraperiodof_______monthsfromthedateofdelivery.IntheeventofanydefectsintheGoodsduringthewarrantyperiod,theSellershall,atitssolediscretion,eitherreplacethedefectiveGoodsorrefundthepurchaseprice.
7.GoverningLawandDisputeResolution
ThisContractshallbegovernedbythelawsofthejurisdictionspecifiedintheattached"GoverningLawandJurisdictionSchedule."AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthepartiesfailtoreachanagreement,thedisputeshallbesubmittedtothecompetentcourtforarbitration.
8.EntireAgreement
ThisContractconstitutestheentireagreementbetweentheSellerandtheBuyerwithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,betweenthem.

ThefollowingdocumentsareherebyincorporatedintothisContractbythisreference:

2.4.ThePrincipalshallhavetherighttoterminatethisContractandseekdamagesiftheSellerbreachesanyofitsobligationsunderthisContract.
2.5.ThePrincipalshallhavetherighttonegotiateandagreeonthetermsofthisContractwiththeSellerandtheThirdParty.
3.Seller'sRightsandObligations
3.1.TheSellershallhavetherighttoreceivepaymentfortheGoodssuppliedunderthisContract.
3.2.TheSellershallhavetherighttoprovidethePrincipalwithregularupdatesonthestatusoftheGoodsanddelivery.
3.3.TheSellershallhavetherighttoseekthePrincipal'sapprovalforanychangesinthespecificationsordeliveryterms.
3.4.TheSellershallhavetherighttoterminatethisContractandseekdamagesifthePrincipalbreachesanyofitsobligationsunderthisContract.
4.ThirdParty'sRightsandObligations
4.1.TheThirdPartyshallhavetherighttoprovideservicesrelatedtothetransportation,logistics,orqualitycontroloftheGoods.
4.2.TheThirdPartyshallhavetherighttoreceivepaymentfortheservicesrenderedunderthisContract.
4.3.TheThirdPartyshallhavetherighttoprovidethePrincipalandtheSellerwithreportsontheservicesprovided.
4.4.TheThirdPartyshallhavetherighttoterminatethisContractandseekdamagesifeitherthePrincipalortheSellerbreachesanyofitsobligationsunderthisContract.
5.Principal'sBenefits
5.1.ThePrincipalshallbenefitfromtheexpertiseandresourcesoftheThirdPartyinthetransportationandlogisticsoftheGoods.
5.2.ThePrincipalshallbenefitfromthequalitycontrolservicesprovidedbytheThirdParty,ensuringthattheGoodsmeettheagreed-uponspecifications.
5.3.ThePrincipalshallbenefitfromtheenhanceddeliverytrackingandtransparencyprovidedbytheinvolvementoftheThirdParty.
5.4.ThePrincipalshallbenefitfromtheabilitytoterminatetheContractandseekdamagesincaseofSeller'sbreach,protectingitsinterests.
6.Seller'sLimitationsandBreachofContract
6.1.TheSelleragreesnottosubcontractthemanufacturingorsupplyoftheGoodstoanythirdpartywithoutthePrincipal'spriorwrittenconsent.
6.2.TheSelleragreestoindemnifythePrincipalforanylossesordamagesincurredduetotheSeller'sbreachofthisContract.
6.3.IntheeventofSeller'sbreach,thePrincipalshallhavetherighttoterminatethisContractimmediatelyandseekfullcompensationforanylosses.
7.ThirdParty'sLiability
7.1.TheThirdPartyagreestoperformitsserviceswithduediligenceandinaccordancewiththeagreed-uponstandards.
7.2.TheThirdPartyagreestoindemnifythePrincipalforanylossesordamagesincurredduetoitsfailuretoperformitsobligationsunderthisContract.
8.GoverningLawandDisputeResolution
ThisContractshallbegovernedbythelawsofthejurisdictionspecifiedintheattached"GoverningLawandJurisdictionSchedule."AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthepartiesfailtoreachanagreement,thedisputeshallbesubmittedtothecompetentcourtforarbitration.
9.SignificanceandPurposeofThirdParty'sInvolvement
TheinvolvementoftheThirdPartyiscrucialtoensuretheefficientandeffectivesupplychainmanagementoftheGoods.ItenhancesthePrincipal'sabilitytotrackthestatusoftheGoods,maintainqualitystandards,andmitigaterisksassociatedwithdeliveryandlogistics.
10.PurposeandSignificanceofPrincipal'sDominance
ThePrincipal'sdominanceinthisContractisessentialtoprotectitsinterestsandensurethattheGoodsmeetitsrequirements.ByhavingtherighttoterminatetheContractandseekdamagesincaseofSeller'sbreach,thePrincipalmaintainscontroloverthesupplychainandthequalityoftheGoods.

5.Principal'sBenefits
5.1.ThePrincipalbenefitsfromtheexpertiseoftheThirdPartyinstorageanddistribution,ensuringtheGoodsarehandledefficiently.
5.2.ThePrincipalbenefitsfromtheabilitytotracktheGoodsthroughoutthesupplychain,improvinginventorymanagement.
5.3.ThePrincipalbenefitsfromtheThirdParty'sliabilityforanydamagesorlossoftheGoodsduringstorageanddistribution.
6.Seller'sLimitationsandBreachofContract
6.1.TheSelleragreesnottodelivertheGoodstoanythirdpartywithoutthePrincipal'spriorwrittenconsent.
6.2.TheSelleragreestoindemnifythePrincipalforanylossesordamagesincurredduetotheSeller'sbreachofthisContract.
6.3.IntheeventofSeller'sbreach,thePrincipalshallhavetherighttoterminatethisContractimmediatelyandseekfullcompensationforanylosses.
7.ThirdParty'sRightsandObligations
7.1.TheThirdPartyhastherighttoreceivepaymentfortheservicesrenderedunderthisContract.
7.2.TheThirdPartyisobligatedtoprovidethePrincipalandtheSellerwithreportsontheservicesprovided,includinganyissuesorconcernsthatmayarise.
7.3.TheThirdPartyisobligatedtomaintaintheconfidentialityofanyinformationprovidedbythePrincipalortheSeller.
8.GoverningLawandDisputeResolution
