2024年土地及房产买卖合同本合同目录一览第一条土地及房产买卖的基本情况1.1土地的位置、面积和用途1.2房产的座落、面积和用途1.3买卖的性质(如买卖、赠与)第二条买卖双方的权益与义务2.1卖方的权益与义务2.2买方的权益与义务第三条土地及房产价格3.1土地及房产的总价款3.2付款方式和时间3.3定金和首付款的数额及交付时间第四条土地及房产过户4.1过户的时间和地点4.2过户所需的费用和手续4.3过户完成的时间表第五条土地及房产交付5.1交付的时间和地点5.2交付时的条件和要求第六条土地及房产的权利与义务转移6.1权利与义务转移的时间6.2权利与义务转移的手续和费用第七条违约责任7.1卖方违约的责任7.2买方违约的责任第八条争议解决方式8.1双方协商解决8.2提交仲裁机构仲裁8.3向人民法院提起诉讼第九条合同的变更和解除9.1合同变更的条件和程序9.2合同解除的条件和程序第十条合同的效力10.1本合同自双方签字盖章之日起生效10.2本合同的终止条件第十一条附加条款11.1双方约定的其他事项第十二条合同的附件12.1土地及房产的相关权属证明12.2其他与合同有关的文件第十三条合同的签署13.1双方签字盖章的页码第十四条合同的生效日期和地点14.1本合同的生效日期14.2本合同的签署地点第一部分:合同如下:第一条土地及房产买卖的基本情况1.1土地的位置、面积和用途1.2房产的座落、面积和用途ThepropertysituatedatNo.200,HopeRoad,CityB,ProvinceC,withatotalareaof2,500squaremeters,isdesignatedforresidentialpurposes.1.3买卖的性质(如买卖、赠与)Thistransactionshallbedeemedasaleandpurchaseagreement,whereintheSelleragreestosellandtheBuyeragreestobuythelandandpropertydescribedabove.第二条买卖双方的权益与义务2.1卖方的权益与义务TheSellerwarrantsthathe/she/ithasgoodandmarketabletothelandandproperty,freefromanyencumbranceorliens.TheSelleragreestodeliverthelandandpropertytotheBuyerintheconditionasstipulatedinthisagreement.2.2买方的权益与义务TheBuyershallmakethepaymentforthelandandpropertyinaccordancewiththetermsandconditionssetforthinthisagreement.TheBuyeragreestoassumeallrisksandliabilitiesassociatedwiththelandandpropertyfromthedateofdelivery.第三条土地及房产价格3.1土地及房产的总价款ThetotalpurchasepriceforthelandandpropertyisRMB10,000,000(TenMillionYuanRenminbi),payableashereinafterprovided.3.2付款方式和时间TheBuyershallmakethepaymentinthefollowingmanner:Aninitialpaymentof10%ofthetotalpurchasepriceshallbemadeuponthesigningofthisagreement.Thebalanceof90%ofthetotalpurchasepriceshallbepaidtheBuyertotheSellernolaterthan30daysafterthedateofthedeliveryofthelandandproperty.3.3定金和首付款的数额及交付时间TheBuyershallpayanearnestmoneydepositof10%ofthetotalpurchaseprice,amountingtoRMB1,000,000(OneMillionYuanRenminbi),within5daysafterthesigningofthisagreement.Thesaidearnestmoneydepositshallbeappliedtowardsthepaymentofthebalanceofthepurchaseprice.第四条土地及房产过户4.1过户的时间和地点ThetransferofownershipofthelandandpropertyshalltakeplaceattheLandAdministrationBureauofCityA,ProvinceB,within60daysafterthedateofthedeliveryofthelandandproperty.4.2过户所需的费用和手续TheBuyerandSellershallberesponsibleforpayingallthenecessaryfeesandexpensesincidentaltothetransferofownership,includingbutnotlimitedtothestampduty,registrationfee,andotherrelatedcosts.4.3过户完成的时间表第五条土地及房产交付5.1交付的时间和地点ThelandandpropertyshallbedeliveredtheSellertotheBuyeratthelocationwherethepropertyissituatedonthedatewhichis30daysafterthedateofthetransferofownership.5.2交付时的条件和要求Upondelivery,thelandandpropertyshallbeinthesameconditionastheywereonthedateofthisagreement,freefromanydamageordefects,unlessotherwiseagreedtothepartiesheretoinwriting.第六条土地及房产的权利与义务转移6.1权利与义务转移的时间Thetransferofrightsandobligationswithrespecttothelandandpropertyshalltakeplaceatthetimeofdeliveryasprovidedinthisagreement.6.2权利与义务转移的手续和费用Thetransferofrightsandobligationsshallbeeffectedtheexecutionofadeedofassignmentthepartieshereto,andthepaymentofallnecessaryfeesandexpensesincidentalthereto.第七条违约责任7.1卖方违约的责任IntheeventofabreachofthisagreementtheSeller,theSellershallbeliabletotheBuyerforliquidateddamagesintheamountofRMB20,000(TwentyThousandYuanRenmin第八条争议解决方式8.1双方协商解决Intheeventofanydisputearisingoutoforinconnectionwiththisagreement,thepartiesheretoshallfirstattempttoresolvethesamethroughfriendlynegotiation.8.2提交仲裁机构仲裁Ifthedisputecannotberesolvedthroughnegotiationwithinareasonabletime,eitherpartymaysubmitthedisputetoarbitrationinaccordancewiththerulesoftheChinaInternationalEconomicandTradeArbitrationCommission(CIETAC).8.3向人民法院提起诉讼第九条合同的变更和解除9.1合同变更的条件和程序Thisagreementmaybeamendedorterminatedmutualconsentoftheparties,inwriting,andexecutedthepartiesinthesamemannerasthisagreement.9.2合同解除的条件和程序Eitherpartymayterminatethisagreementgivingwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermofthisagreementandfailstocuresuchbreachwithinareasonabletimeafterreceiptofwrittennoticefromtheotherpartyspecifyingthebreach.第十条合同的效力10.1本合同自双方签字盖章之日起生效Thisagreementshallbeeffectiveuponthesignatureofbothpartiesheretoandshallremaininfullforceandeffectuntilfullyperformed.10.2本合同的终止条件第十一条附加条款11.1双方约定的其他事项Thepartiesheretomayagreetosuchadditionaltermsandconditionsastheydeemnecessaryordesirable,whichshallbesetforthinanaddendumexecutedthepartiesinthesamemannerasthisagreement.第十二条合同的附件12.1土地及房产的相关权属证明Attachedheretoasexhibitsarethefollowingdocumentsrelatedtothelandandproperty:CertificateofTitlePropertyRegistrationCertificateOtherrelevantdocuments12.2其他与合同有关的文件Otherdocumentsrelatedtothisagreementareasfollows:OfferLetterInspectionReportsAppraisalReports第十三条合同的签署13.1双方签字盖章的页码Thesignaturesofthepartiesandthesealsoftheentitiesshallbeaffixedonthefollowingpagesofthisagreement:13.2签字代表授权Thepersonssigningthisagreementonbehalfofthepartiesheretorepresentandwarrantsthathe/shehasthefullauthoritytobindtherespectivepartieshereto.第十四条合同的生效日期和地点14.1本合同的生效日期Thisagreementshallbeeffectiveonthedatefirstabovewritten.14.2本合同的签署地点ThisagreementisenteredintoandshallbegovernedthelawsofthePeople'sRepublicofChina,andissignedatCityA,ProvinceB,thePeople'sRepublicofChina.第二部分:第三方介入后的修正引入第三方介入后的附加条款1.第三方定义Forthepurposesofthisagreement,a"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnotthepartieshereto,involvedinthetransactionofthelandandproperty.2.第三方责任2.2TheThirdPartyshallbeliableforanylossordamagesufferedeitherpartyheretoarisingoutoforinconnectionwithanybreachofitsobligationsunderthisagreement.3.第三方义务3.2TheThirdPartyshallpromptlyrespondtoanyinquiriesorrequestsmadethepartiesheretoinconnectionwiththelandandproperty.4.第三方权益4.1TheThirdPartyshallhavenorighttoclaimanyinterestinthelandandproperty,ortointerveneinanywayinthetransactionbetweenthepartieshereto.4.2TheThirdPartyshallnothaveanyrighttoenforceanytermsofthisagreementagainstthepartieshereto.5.第三方责任限额5.1TheliabilityoftheThirdPartyunderthisagreementshallbelimitedtotheamountactuallypaidthepartiesheretototheThirdPartyinconnectionwiththetransaction.5.2TheThirdPartyshallnotbeliableforanyindirect,consequential,orpunitivedamagesarisingoutoforinconnectionwiththisagreement.6.第三方退出6.1TheThirdPartymaywithdrawfromthetransactionatanytimegivingwrittennoticetothepartieshereto.6.2IntheeventoftheThirdParty'swithdrawal,thepartiesheretoshallnegotiateingoodfaithtodeterminethetermsandconditionsofthewithdrawal,includingtherefundofanypaymentsmadetotheThirdParty.7.第三方与甲乙方的关系7.1TheThirdPartyacknowledgesthatitisnotapartytothisagreementanddoesnothaveanyrightsorobligationsunderthisagreement.7.2ThepartiesheretoacknowledgethattheyhaveenteredintothisagreementindependentlyoftheThirdPartyandthattheThirdPartyhasnocontroloverthetermsandconditionsofthisagreement.引入第三方介入后的额外条款8.第三方选择8.1ThepartiesheretoagreetoselectaqualifiedandreputableThirdPartytofacilitatethetransaction.8.2TheselectionoftheThirdPartyshallbesubjecttotheapprovalofbothpartieshereto,andtheThirdPartyshallberequiredtoprovideawrittenagreementincorporatingthetermsandconditionsofthisagreement.9.第三方费用9.1ThepartiesheretoagreetobearthereasonablefeesandexpensesincurredtheThirdPartyinconnectionwiththetransaction.9.2TheThirdPartyshallprovidethepartiesheretowithadetailedstatementofthefeesandexpensesincurred,andthepartiesheretoshallmakethepaymentwithinareasonabletimeafterreceiptofsuchstatement.10.第三方保密义务10.1TheThirdPartyagreestokeepconfidentialallinformationprovidedthepartiesheretoinconnectionwiththetransaction,excepttotheextentthatsuchinformationisrequiredtobedisclosedlaworregulation.10.2ThepartiesheretoagreetokeepconfidentialallinformationprovidedtheThirdPartyinconnectionwiththetransaction.11.第三方合规11.1TheThirdPartyrepresentsandwarrantsthatitisdulylicensedandqualifiedtoengageinthebusinessoffacilitatingrealestatetransactions.12.第三方保险12.1TheThirdPartyagreestoobtainandmaintain,atitsownexpense,appropriateinsurancecoverageinrespectofitsobligationsunderthisagreement.12.2ThepartiesheretoshallbeendtorequestfromtheThirdPartycopiesoftheinsurancepoliciesandevidenceofinsurancecoverage.13.第三方争议解决13.1IntheeventofanydisputearisingoutoforinconnectionwiththeThirdParty'sobligationsunderthisagreement,thepartiesheretoagreetoresolvethesamethroughnegotiationorarbitration,asprovidedinthisagreement.13.2TheThirdPartyshallnotbeapartytoanyarbitrationorlegalproceedingarisingoutoforinconnectionwiththisagreement.14.第三方替代14.1IftheThirdPartyisunableorunwillingtoperformitsobligationsunderthisagreement,theparties第三部分:其他补充性说明和解释说明一:附件列表:1.土地使用权证附件名称:土地使用权证详细要求:土地使用权证应由土地登记机关颁发,证明卖方对土地享有合法使用权。说明:土地使用权证是确认土地使用权的法律文件,对于土地及房产的买卖交易至关重要。2.房产证附件名称:房产证详细要求:房产证应由房屋登记机关颁发,证明卖方对房产享有合法所有权。说明:房产证是确认房产所有权的法律文件,对于土地及房产的买卖交易至关重要。3.房屋质量检测报告附件名称:房屋质量检测报告详细要求:房屋质量检测报告应由具有资质的检测机构出具,证明房产质量符合相关标准。说明:房屋质量检测报告是确认房产质量的重要文件,有助于保障买方的权益。4.房屋结构设计图附件名称:房屋结构设计图详细要求:房屋结构设计图应由具有资质的设计机构出具
