5.Delivery:SellershalldeliverthegoodstoBuyerat[locationofdelivery],inaccordancewiththetermsandconditionssetforthinExhibitBattachedhereto.

6.InspectionandAcceptance:BuyershallinspectthegoodsuponreceiptandshallhavetherighttorejectanygoodsthatdonotconformtothespecificationssetforthinExhibitAattachedhereto.Ifanysuchgoodsarerejected,BuyershallgivewrittennoticetoSellerwithin[timeperiod,e.g.,5daysfromthedateofreceipt].

7.Warranties:Sellerwarrantsthatthegoodssoldanddeliveredhereundershallbeofgoodqualityandfreefromdefects,andshallconformtothespecificationssetforthinExhibitAattachedhereto.Thewarrantyperiodshallbe[warrantyperiod,e.g.,12monthsfromthedateofdelivery].

8.ForceMajeure:IntheeventthateitherpartyispreventedfromperformingitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtowar,strike,fire,flood,orothersimilarevents,suchpartyshallgivewrittennoticetotheotherpartyandshallbeexcusedfromitsobligationsfortheperiodofsuchprevention.

9.GoverningLawandDisputeResolution:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[countryorstate].AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[arbitrationinstitution].
