2.2TheSellershallensurethattheGoodsshallcomplywiththedescriptionandspecificationsintheProductList.
3.PriceandPaymentTerms
3.1ThepriceoftheGoodsshallbedeterminedinaccordancewiththeattachedPriceList.
3.2TheBuyershallmakethepaymenttotheSellerinaccordancewiththefollowingterms:
3.2.1TheBuyershallpay30%ofthetotalcontractvalueasadepositwithin7daysafterthesigningofthisAgreement.
3.2.2Theremaining70%ofthetotalcontractvalueshallbepaidupontheshipmentoftheGoods.
3.2.3Thepaymentmethodshallbeasagreedbetweentheparties.
4.ShipmentandDelivery
4.1TheSellershalldelivertheGoodstotheBuyeratthedesignatedportofdestinationasspecifiedintheattachedShipmentSchedule.
4.2TheSellershallensurethattheGoodsareshippedinaccordancewiththeagreedshipmenttermsandconditions.
5.Insurance
5.1TheSellershallarrangeandpayfortheinsuranceoftheGoodsduringtransportation.
5.2Theinsurancecoverageshallbeasagreedbetweentheparties.
6.InspectionandQualityControl
6.1TheSellershallprovidetheBuyerwiththeinspectioncertificateissuedbythecompetentauthoritybeforetheshipmentoftheGoods.
6.2TheBuyershallhavetherighttoinspectthequalityandquantityoftheGoodsuponreceipt.
6.3AnydisputesarisingfromthequalityandquantityoftheGoodsshallbesettledthroughfriendlyconsultationsbetweentheparties.
7.ForceMajeure
7.1Incaseofanyunforeseeableevents(forcemajeure)beyondthecontrolofeitherparty,theperformanceofthisAgreementmaybesuspendedorterminateduponmutualagreementoftheparties.
7.2Forcemajeureeventsinclude,butarenotlimitedto,war,naturaldisasters,fire,flood,governmentregulations,andothereventsthatmakeitimpossibleorimpracticalforeitherpartytoperformitsobligationsunderthisAgreement.
8.DisputeResolution
8.1AnydisputesarisingfromtheexecutionofthisAgreementshallbesettledthroughfriendlyconsultationsbetweentheparties.
8.2Ifthedisputescannotberesolvedthroughconsultations,theyshallbesubmittedtothePeople'sCourtoftheplacewheretheSellerislocatedforarbitration.
9.GoverningLaw
ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthecountrywheretheSellerislocated.

10.4Anyotherdocumentsagreeduponbytheparties.

3.Price,Payment,andInsurance

3.2TheBuyershallmakethepaymenttotheSellerinaccordancewiththefollowingterms:

5.2TheBuyershallhavetherighttoinspectthequalityandquantityoftheGoodsuponreceipt.
5.3AnydisputesarisingfromthequalityandquantityoftheGoodsshallbesettledthroughfriendlyconsultationsbetweentheBuyerandtheSeller.
6.ThirdParty'sResponsibilities,Rights,andLimitations
6.1TheThirdPartyshallactasanintermediaryinthetransactionbetweentheBuyerandtheSeller,facilitatingthecommunication,negotiation,andexecutionoftheAgreement.
6.2TheThirdPartyshallnotbeliableforanydirectorindirectdamagesarisingfromtheGoodsorServicesprovidedbytheSeller.
6.3TheThirdPartyshallnotdiscloseanyconfidentialinformationoftheBuyerortheSellertoanythirdpartywithoutthepriorwrittenconsentoftherespectiveparty.
6.4TheThirdParty'sfeefortheServicesshallbeagreeduponseparatelyandshallbepaidbytheBuyertotheThirdParty.
7.Buyer'sRightsandInterests
7.1TheBuyershallhavetherighttorequesttheSellertoprovideadditionalinformationordocumentationregardingtheGoodsandServices.
7.2TheBuyershallhavetherighttorequesttheThirdPartytoprovideassistanceinresolvinganydisputesorissuesarisingfromtheAgreement.
7.3TheBuyershallhavetherighttoterminatetheAgreementintheeventofamaterialbreachbytheSellerortheThirdParty.
7.4TheBuyershallhavetherighttoreceivetimelyupdatesandnotificationsregardingtheprogressofthetransactionfromtheThirdParty.
8.Seller'sandBuyer'sLimitationsofLiability
8.1TheSellershallnotbeliableforanydelaysorfailuresintheshipmentoftheGoodsduetoforcemajeureeventsbeyonditscontrol.
8.2TheBuyershallnotbeliableforanydamagesorlossesresultingfromtheSeller'sfailuretocomplywiththeAgreement.
8.3TheSellerandtheBuyershallnotbeliableforanydamagesorlossesresultingfromtheactionsoromissionsoftheThirdParty.
9.GoverningLawandDisputeResolution
9.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthecountrywheretheSellerislocated.
9.2AnydisputesarisingfromtheexecutionofthisAgreementshallbesubmittedtothePeople'sCourtoftheplacewheretheSellerislocatedforarbitration.

ByexecutingthisAgreement,thepartiesacknowledgethefollowing:
TheinclusionoftheThirdPartyinthisAgreementistoensurethesmoothandefficientexecutionofthetransaction,whileprotectingtheBuyer'srightsandinterests.TheBuyer'sdominanceintheAgreementistoensurethatitsinterestsareprioritizedandthatithasthenecessaryrightsandprotectionsincaseofanybreachorissues.TheinvolvementoftheThirdPartyservesasanadditionallayerofsupportandfacilitation,providingtheBuyerwithatrustedintermediarytoassistinthetransactionprocess.
Inconclusion,thepurposeofthisAgreementistoestablishaclearandcomprehensiveframeworkforthesaleandpurchaseoftheGoods,withtheBuyer'srightsandinterestsbeingthefocalpoint.TheinvolvementoftheThirdPartyaimstoenhancethetransactionprocess,whiletheBuyer'sdominanceensuresthatitsinterestsaresafeguardedandprioritizedthroughouttheagreement.

6.Seller'sandBuyer'sLimitationsofLiability
6.1TheSellershallnotbeliableforanydelaysorfailuresintheshipmentoftheGoodsduetoforcemajeureeventsbeyonditscontrol.
6.2TheBuyershallnotbeliableforanydamagesorlossesresultingfromtheSeller'sfailuretocomplywiththeAgreement.
6.3TheSellerandtheBuyershallnotbeliableforanydamagesorlossesresultingfromtheactionsoromissionsoftheThirdParty.
7.ThirdParty'sResponsibilities,Rights,andLimitations
7.1TheThirdPartyshallactasanindependentconsultantandprovideadvisoryservicestotheBuyer.
7.2TheThirdPartyshallnotbeliableforanydirectorindirectdamagesarisingfromtheGoodsorServicesprovidedbytheSeller.
7.3TheThirdParty'sfeefortheServicesshallbeagreeduponseparatelyandshallbepaidbytheBuyertotheThirdParty.
