1.SUBJECTMATTEROFTHEAGREEMENT

2.DURATION

3.OBLIGATIONSOFTHEPARTIES

(c)ProvidenecessarytechnicalguidanceandtrainingtoPartyBasrequired.

(d)FulfillitsobligationsunderthisAgreementingoodfaith.

3.2.PartyBshall:

(a)Acceptthe[Services/Products/Technology/TechnicalAssistance]providedbyPartyAandusetheminaccordancewiththeagreed-uponspecificationsandpurposes.

(b)ProvidenecessarytechnicalsupportandcooperationtoPartyAintheimplementationofthisAgreement.

(c)FulfillitsobligationsunderthisAgreementingoodfaith.

4.RIGHTSANDOBLIGATIONS

4.1.PartyAshallhavethefollowingrights:

(a)Toobtain[Services/Products/Technology/TechnicalAssistance]fromPartyBinaccordancewiththeprovisionsofthisAgreement.

(b)TosuperviseandinspecttheimplementationofthisAgreementbyPartyB.

(c)Toreceivethe[Services/Products/Technology/TechnicalAssistance]providedbyPartyBinatimelymanner.

4.2.PartyBshallhavethefollowingrights:

(a)Toobtain[Services/Products/Technology/TechnicalAssistance]fromPartyAinaccordancewiththeprovisionsofthisAgreement.

(b)TorequestPartyAtofulfillitsobligationsunderthisAgreement.

(c)Toparticipateinthedecision-makingprocessregardingtheimplementationofthisAgreement.

5.COMPENSATION

PartyAandPartyBshallcompensateeachotherforanylossesincurredasaresultofthebreachofthisAgreementbytheotherParty.ThecompensationamountshallbedeterminedbasedontheactuallossesincurredbytheinjuredParty.

6.CONFIDENTIALITY

BothPartiesagreetokeepconfidentialanyandallconfidentialinformationobtainedduringthecourseofthisAgreement.Suchconfidentialinformationincludes,butisnotlimitedto,technicaldata,businessplans,tradesecrets,andotherinformationthatmaybeconsideredconfidential.

7.DISPUTERESOLUTION

IntheeventofanydisputesarisingfromtheexecutionofthisAgreement,bothPartiesshallendeavortoresolvethedisputesthroughfriendlynegotiations.Ifthedisputescannotberesolvedthroughnegotiations,thePartiesagreetosubmitthedisputesto[NameofArbitrationOrganization]forarbitration.

8.AMENDMENTS

ThisAgreementmaybeamendedonlybywrittenagreementexecutedbybothParties.

9.SEVERABILITY

IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

10.ENTIREAGREEMENT

ThisAgreementconstitutestheentireagreementbetweenthePartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.

(b)TheinsolvencyorbankruptcyofeitherParty.

(c)TheexpirationofthetermofthisAgreement.

5.2.UponterminationofthisAgreement,PartyBandPartyCshallpromptlyreturntoPartyAanyproperty,documents,orinformationprovidedbyPartyA.

6.LIMITATIONSOFLIABILITY

(a)PartyBandPartyCshallnotbeliableforanylossordamageincurredbyPartyAduetoanycausebeyondtheirreasonablecontrol.

(b)PartyA'stotalliabilitytoPartyBandPartyCforanyclaimarisingoutoforrelatedtothisAgreementshallnotexceedthetotalamountoffeespaidbyPartyAtoPartyBandPartyCunderthisAgreement.

7.CONFIDENTIALITY

AllPartiesagreetomaintaintheconfidentialityofanyandallconfidentialinformationobtainedduringthecourseofthisAgreement.

8.DISPUTERESOLUTION

IntheeventofanydisputesarisingfromtheexecutionofthisAgreement,thePartiesshallendeavortoresolvethedisputesthroughfriendlynegotiations.Ifthedisputescannotberesolvedthroughnegotiations,thePartiesagreetosubmitthedisputesto[NameofArbitrationOrganization]forarbitration.

5.TERMINATIONANDCONSEQUENCES
