2.QuantityandQuality:

5.ForceMajeure:

a)IfeitherpartyispreventedfromfulfillingitsobligationsunderthisContractduetounforeseencircumstancesbeyonditsreasonablecontrol,suchaswar,naturaldisasters,orgovernmentregulations,theaffectedpartyshallpromptlynotifytheotherpartyinwritingandshallbeexcusedfromfulfillingitsobligationsforthedurationoftheunforeseencircumstances.

b)Theaffectedpartyshallendeavortominimizetheimpactoftheunforeseencircumstancesandresumeitsobligationsassoonaspossible.

6.GoverningLawandDisputeResolution:

a)ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/Region].

b)AnydisputearisingfromorinconnectionwiththisContractshallbesettledthroughfriendlynegotiationsbetweentheparties.Ifthepartiesfailtoreachanamicablesolutionwithin[Number]days,thedisputeshallbesubmittedto[NameofArbitrationInstitution]forarbitrationinaccordancewithitsrules.

7.EntireAgreement:
