OBLIGATIONS:

1.PartyAshallsupplythegoodsdescribedinExhibitAtoPartyBinaccordancewiththetermsandconditionssetforthinthisAgreement.

2.PartyBshallpaythepurchasepriceforthegoodssuppliedbyPartyAinaccordancewiththepaymenttermsandconditionssetforthinExhibitCattachedhereto.

3.PartyAshalldeliverthegoodstoPartyBatthedeliveryaddressspecifiedinExhibitDattachedheretowithinthetimeframespecifiedinthisAgreement.

4.PartyBshallinspectthegoodsuponreceiptandnotifyPartyAofanydiscrepanciesordefectswithin[NumberofDays]daysofreceipt.

5.PartyBshallprovidePartyAwithallnecessaryinformationandassistancerequiredtofacilitatetheperformanceofPartyA'sobligationsunderthisAgreement.

TERMANDTERMINATION:

INDEMNITY:

1.PartyAshallindemnify,defend,andholdharmlessPartyBagainstanyandallclaims,liabilities,damages,judgments,losses,andexpensesarisingfromorinconnectionwiththegoodssuppliedunderthisAgreement.

2.PartyBshallindemnify,defend,andholdharmlessPartyAagainstanyandallclaims,liabilities,damages,judgments,losses,andexpensesarisingfromorinconnectionwiththeservicesprovidedunderthisAgreement.

DISPUTERESOLUTION:

AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiationsbetweentheParties.IfthePartiesfailtoresolvesuchdisputeswithin[NumberofDays]days,theyshallsubmitthemattertobindingarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
