b)PartyB'scapacityandwillingnesstoprovidesuchmanufacturingservices,adheringtointernationalqualitystandardsanddeliveryschedules;

c)TheParties'sharedobjectiveofestablishingalong-termbusinessrelationshipbasedontrust,transparency,andmutualsuccess;

d)Compliancewithapplicablelaws,regulations,andtradepracticesinthecountriesofoperation;

e)TheParties'agreementtoresolveanydisputesamicablyandinatimelymanner,ensuringthecontinuityoftheirbusinessoperations.

ThePartiesagreetothefollowingpricingandpaymentterms:

-PaymentshallbemadebyPartyAtoPartyBinthecurrencyandaccordingtothepaymentmethodspecifiedinthecontract.

-Intheeventofanydisputesordiscrepanciesintheinvoice,PartyAshallnotifyPartyBwithinareasonableperiod,andbothPartiesshallresolvetheissueamicably.

-Latepayments,ifany,shallbesubjecttointerestchargesaspertheapplicablelegalratesorasagreeduponbetweentheParties.

第六条违约责任：

IntheeventofabreachofthiscontractbyeitherParty,thefollowingconsequencesandremediesshallapply:

-ThedefaultingPartyshallbeliabletopayaspecifiedamountasliquidateddamagestothenon-defaultingParty,representingagenuinepre-estimateofthelosssufferedduetothebreach.

-Ifthebreachissubstantialandleadstotheterminationofthecontract,thenon-defaultingPartymayclmforactualdamages,includinganydirectandindirectlossesincurred.

-ThedefaultingPartyshallberesponsibleforanyadditionalcostsorexpensesincurredbythenon-defaultingPartyinmitigatingtheeffectsofthebreach.

-Intheeventofamaterialbreachthatisnotremediedwithinareasonabletimeframe,thenon-defaultingPartyshallhavetherighttoterminatethecontractandseekanyotherlegalremediesavlable.

-ThePartiesagreethatanydisputearisingfromabreachofthiscontractshallberesolvedthroughthedisputeresolutionmechanismspecifiedinthiscontract.

ThePartiesherebyacknowledgethatthebreachofanyobligationsunderthiscontractmaycausesignificantharmtotheotherPartyandthatthespecifiedremediesarefrandreasonable.

第七条不可抗力：

ThePartiesagreethat"ForceMajeure"referstoeventsthatareunforeseeable,irresistible,andbeyondthecontroloftheParties,includingbutnotlimitedtonaturaldisasters,war,riots,strikes,governmentactions,oranyothereventsthatpreventthePartiesfromperformingtheirobligationsunderthiscontract.TheoccurrenceofaForceMajeureeventshallexempttheaffectedPartyfromliabilityforanydelaysorflurestoperformitsobligations,providedthatthefollowingconditionsaremet:

-TheaffectedPartypromptlynotifiestheotherPartyoftheoccurrenceoftheForceMajeureeventandprovidesreasonableevidencetosupportsuchclm.

-TheaffectedPartyhastakenallreasonablestepstomitigatetheeffectsoftheForceMajeureeventandtoresumeperformanceofitsobligationsassoonaspossible.

-TheForceMajeureeventisnotaresultofthenegligenceorwillfulmisconductoftheaffectedParty.

IfaForceMajeureeventpersistsforacontinuousperiodofmorethan[specifiednumber]days,eitherPartyshallhavetherighttoterminatethiscontractbyprovidingwrittennoticetotheotherParty.
