2.PurchasePrice

ThepurchasepriceoftheVehicleshallbe[insertpurchaseprice],whichshallbepaidbyPartyBtoPartyAinaccordancewiththepaymenttermssetforthinSection4ofthisAgreement.

3.DeliveryoftheVehicle

PartyAshalldelivertheVehicletoPartyBat[insertdeliverylocation]onorbefore[insertdeliverydate].PartyAshallensurethattheVehicleisingoodconditionandreadyfordeliveryatthetimeofdelivery.

4.PaymentTerms

(a)ThepaymentfortheVehicleshallbemadebyPartyBtoPartyAinfulluponthedeliveryoftheVehicle,unlessotherwiseagreeduponbythepartiesinwriting.

(b)Ifthepartiesagreetoapaymentplan,PartyBshallmakethepaymentstoPartyAinaccordancewiththeagreedscheduleandterms.

5.Warranties

(a)PartyAwarrantsthattheVehicleisfreefromdefectsinmaterialsandworkmanshipandconformstothespecificationssetforthinExhibitA.

(b)ThewarrantyperiodfortheVehicleshallbe[insertwarrantyperiod],commencingfromthedateofdelivery.

6.ReturnandRefundPolicy

If,withinthewarrantyperiod,theVehicleisfoundtobedefectiveandthedefectiscoveredbythewarranty,PartyAshall,atitssolediscretion,eitherrepairorreplacethedefectivepartorcomponentsoftheVehicleatnoadditionalcosttoPartyB.

7.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[insertjurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[insertjurisdiction].

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

(a)PartyAhastherighttoselectandapprovetheVehiclestobesoldunderthisAgreement.

(b)PartyAshallhavetheexclusiverighttosetthesellingpriceandtermsofsalefortheVehicles.

(c)PartyAshallberesponsibleforensuringthattheVehiclesmeetthequalityandspecificationstandardsasagreeduponinExhibitA.

(d)PartyAshallbeentitledtoreceiveacommissionfromPartyBforeachVehiclesoldunderthisAgreement.

4.RightsandObligationsofPartyB

(a)PartyBshallhavetherighttopurchaseVehiclesfromPartyAattheagreeduponpricesandterms.

(b)PartyBshallberesponsibleforthemarketing,sales,anddeliveryoftheVehiclestothecustomers.

(c)PartyBshallensurethattheVehiclesareproperlymaintainedandpresentedtothecustomers.

(d)PartyBshallremittheagreedcommissiontoPartyAuponthesaleofeachVehicle.

5.RightsandObligationsofPartyC

(a)PartyCshallhavetherighttoofferfinancingoptionstoPartyA’scustomers,subjecttothetermsandconditionsagreeduponwithPartyA.

(b)PartyCshallberesponsiblefortheapproval,processing,andmanagementofthefinancingapplicationssubmittedbyPartyA’scustomers.

(c)PartyCshallprovideregularfinancialreportstoPartyAregardingtheperformanceofthefinancingprogram.

6.CustomerFinancingTerms

(a)PartyCshalloffercompetitivefinancingtermstoPartyA’scustomers,includinginterestrates,repaymentschedules,andcollateralrequirements.

(b)PartyCshallensurethatthefinancingoptionsareclearlyexplainedtothecustomersandthatallnecessarydisclosuresaremade.

(c)PartyCshallmaintainconfidentialityofcustomerfinancialinformationandcomplywithallapplicableprivacylaws.

7.LimitationsandRestrictionsonPartyB

(a)PartyBshallnotselloroffertheVehiclesatpricesorundertermsthatarenotauthorizedbyPartyA.

(b)PartyBshallnotengageinanydeceptiveorfraudulentpracticesinthesaleoftheVehicles.

(c)PartyBshallnotdiscloseanyconfidentialinformationofPartyAtoanythirdpartywithoutpriorwrittenconsentfromPartyA.

4.BenefitstoPartyB

(b)PartyBshallhavetherighttoreceivepreferentialtermsfromPartyCfortheuseofitsdistributionservices.

5.LimitationsandRestrictionsonPartyA

(b)PartyAshallnotprovideanyincentivesordiscountstocustomerswithintheexclusivegeographicareaofPartyBwithouttheconsentofPartyB.

6.违约条款

(a)IntheeventofabreachbyPartyA,suchasfailuretoprovideproductsinatimelymannerorprovidingfalseinformationregardingthequalityofproducts,PartyBshallhavetherighttoterminatethisAgreementandseekdamages.

(b)IfPartyAfailstoadheretotheagreed-uponproductspecifications,PartyBshallhavetherighttorejecttheproductsandseekareplacementorcompensation.

7.GoverningLawandJurisdiction
