REPRESENTATIONSANDWARRANTIES:

1.TheSupplierrepresentsandwarrantsthat:

a)ItisalegallyincorporatedentityandhastheauthoritytoenterintothisAgreement;

b)Itisingoodstandingandcompliancewithallapplicablelaws,regulations,andgovernmentalrequirements;

c)Ithasallnecessaryrights,licenses,andpermissionstoprovidethegoodsand/orservicesspecifiedinthisAgreement;

d)Thegoodsand/orservicestobeprovidedshallbeofgoodqualityandfreefromdefects;

e)ItshallcomplywithallapplicabletermsandconditionsofthisAgreement.

2.ThePurchaserrepresentsandwarrantsthat:

a)ItisalegallyincorporatedentityandhastheauthoritytoenterintothisAgreement;

b)Itisingoodstandingandcompliancewithallapplicablelaws,regulations,andgovernmentalrequirements;

c)ItshallpaytheSupplierforthegoodsand/orservicesprovidedinaccordancewiththetermsandconditionsofthisAgreement.

OBLIGATIONS:

1.TheSuppliershall:

a)Providethegoodsand/orservicesspecifiedinthisAgreementinatimelyandprofessionalmanner;

b)Ensurethatthegoodsand/orservicesmeetthequalitystandardsandspecificationsagreeduponbytheParties;

c)Complywithallapplicablelaws,regulations,andgovernmentalrequirementsintheperformanceofitsobligationsunderthisAgreement;

d)Provideanynecessarydocumentationorcertificationsrelatedtothegoodsand/orservicesprovided.

2.ThePurchasershall:

a)PaytheSupplierforthegoodsand/orservicesprovidedinaccordancewiththetermsandconditionsofthisAgreement;

b)Ensurethatthenecessaryfacilities,equipment,andpersonnelareavailableforthereceiptanduseofthegoodsand/orservices;

c)Complywithallapplicablelaws,regulations,andgovernmentalrequirementsintheuseofthegoodsand/orservices;

d)ProvideanynecessarydocumentationorcertificationsrequiredbytheSupplier.

DELIVERYANDACCEPTANCE:

1.TheSuppliershalldeliverthegoodsand/orservicestothePurchaseratthelocationspecifiedinthisAgreementwithinthetimeframeagreeduponbytheParties.

2.Upondelivery,thePurchasershallinspectthegoodsand/orservicesandshallprovidewrittennoticetotheSupplierofanydefectsornon-compliancewithinareasonableperiodoftime.

3.IfthePurchaserfailstoinspectthegoodsand/orserviceswithinthespecifiedtimeframe,thegoodsand/orservicesshallbedeemedtobeaccepted.

PRICESANDPAYMENT:

1.Thepricesforthegoodsand/orservicesshallbeassetforthintheattachedScheduleofPrices.

2.ThePurchasershallpaytheSupplierforthegoodsand/orservicesinaccordancewiththepaymenttermsspecifiedintheattachedPaymentTerms.

TERMANDTERMINATION:

1.ThisAgreementshallbeeffectivefromthedateofitsexecutionandshallcontinueforaperiodof______years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

2.EitherPartymayterminatethisAgreementuponwrittennoticetotheotherPartyiftheotherPartycommitsamaterialbreachofthisAgreementandfailstocuresuchbreachwithinareasonableperiodoftime.

3.UponterminationofthisAgreement,thePartiesshallsettlealloutstandingobligationsandliabilitiesarisingfromtheperformanceofthisAgreement.

CONFIDENTIALITY:

1.ThePartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtothembytheotherPartyduringthetermofthisAgreement.

2.Confidentialinformationshallinclude,butnotbelimitedto,technical,commercial,financial,andbusinessinformation.

3.ThePartiesshallnotdisclose,use,orreproduceconfidentialinformationforanypurposeotherthantheperformanceofthisAgreement.

INDEMNIFICATION:

1.TheSuppliershallindemnifythePurchaseragainstanyloss,damage,orliabilityarisingfromtheSupplier’sbreachofthisAgreement.

2.ThePurchasershallindemnifytheSupplieragainstanyloss,damage,orliabilityarisingfromthePurchaser’sbreachofthisAgreement.

LIMITATIONOFLIABILITY:

1.TheSupplier’sliabilitytothePurchaserunderthisAgreementshallbelimitedtothedirectdamagesincurredbythePurchaserasaresultoftheSupplier’sbreachofthisAgreement.

2.ThePurchaser’sliabilitytotheSupplierunderthisAgreementshallbelimitedtothedirectdamagesincurredbytheSupplierasaresultofthePurchaser’sbreachofthisAgreement.

c)Ithasallnecessaryrights,licenses,andpermissionstoperformthespecifictasksassubcontractedbytheContractor;

d)Ithasthenecessaryexpertise,resources,andpersonneltocompleteitssubcontractedworksuccessfully.

OBLIGATIONS:

1.ThePrincipalshall:

a)ProvidetheContractorwithallnecessaryinformation,resources,andsupporttoenabletheContractortoperformitsobligationsunderthisAgreement;

b)EnsurethatthescopeofworkisclearlydefinedandanychangesaredocumentedandagreeduponbyboththePrincipalandtheContractor;

2.TheContractorshall:

a)Performtheworkinaprofessionalandtimelymanner;

d)EnsurethattheSubcontractorperformsitsobligationsasagreeduponinthesubcontractagreement.

3.TheSubcontractorshall:

c)Maintainproperinsurancecoverageforitsworkunderthesubcontract;

d)ProvidetheContractorwithanynecessarydocumentationorcertificationsrelatedtothesubcontractedwork.

RIGHTSANDINTERESTS:

1.TheContractorshallhavetherightto:

a)RequestanynecessaryinformationorresourcesfromthePrincipaltoperformthework;

b)Becompensatedforanyadditionalworkperformedduetochangesinthescopeofwork;

c)WithholdpaymentfromtheSubcontractorifitfailstomeettheagreed-uponqualityortimelinestandards.
