2.Specifications,Quantity,PriceandQuality

2.2TheSellershallensurethattheGoodsshallcomplywiththespecifications,quantity,price,qualityanddeliverytermssetforthinthisContractandtheSpecificationsSheet.

3.Delivery

3.1TheSellershalldelivertheGoodstotheBuyeratthefollowingdestination:__________(the"DeliveryPoint").

3.2ThedeliverydateoftheGoodsshallbe__________(the"DeliveryDate"),whichshallbesubjecttotheSeller'sproductionschedule.

4.Payment

5.Warranty

6.2TheBuyershallnotinfringeuponanyintellectualpropertyrightsoftheSellerduringthecourseofthisContract.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof__________(the"GoverningLaw").

3.Buyer'sRightsandObligations

6.Seller'sLimitationsandConsequencesofDefault

5.3TheBuyershallhavetherighttodemandfromtheSellerimmediatedeliveryoftheGoodsupontheoccurrenceofanybreachofthisContractbytheSeller.

6.Seller'sLimitationsandConsequencesofDefault

6.1IntheeventoftheSeller'sfailuretoperformitsobligationsunderthisContract,theBuyershallhavetherighttoterminatethisContractandclaimdamages,includingbutnotlimitedtothecostofsubstitutegoodsandanyotherlossesincurred.

6.2TheSellershallbeliableforanylossescausedtotheBuyerbyitsfailuretocomplywiththequalityordeliveryrequirementsofthisContract.

6.3TheSellershallnotbeliableforanydelayorfailuretoperformitsobligationsduetoforcemajeureeventsbeyonditsreasonablecontrol.
