2.QuantityandQuality:

ThequantityoftheGoodsshallbeasspecifiedinAnnexA.ThequalityoftheGoodsshallconformtothestandardsandspecificationssetforthinAnnexB.

3.PriceandPaymentTerms:

ThepriceoftheGoodsshallbeasspecifiedinAnnexA.TheBuyershallmakethepaymenttotheSellerinaccordancewiththepaymenttermssetforthinAnnexC.

4.DeliveryandShipment:

TheSellershalldelivertheGoodstotheBuyerattheplaceandtimeasspecifiedinAnnexD.ThetransportationandinsurancecostsshallbebornebytheBuyerunlessotherwiseagreeduponinAnnexE.

5.InspectionandAcceptance:

UpondeliveryoftheGoods,theBuyershallhavetherighttoinspectandaccepttheGoods.IftheGoodsfailtomeettheagreedqualitystandards,theBuyershallnotifytheSellerinwritingwithintheinspectionperiodspecifiedinAnnexF.

6.LiabilityandIndemnity:

TheSellerwarrantsthattheGoodsshallbefreefromanydefectsandliabilities.Intheeventofanydefectorliability,theSellershallbeliablefortherepair,replacement,orrefundoftheGoodsatitssolediscretion.

7.GoverningLawandDisputeResolution:

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheFederalRepublicofNigeria.AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrougharbitrationinaccordancewiththerulesoftheLagosCourtofArbitration.

8.EntireAgreement:

ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,orrepresentations,whetheroralorwritten.

9.AmendmentsandModifications:

AnyamendmentormodificationofthisContractshallbeeffectiveonlyifitisinwritingandsignedbybothparties.

10.Execution:

ThisContractisexecutedintwocopies,eachpartyretainingonecopyasevidenceofitsobligationsandrightsunderthisContract.

d.ToindemnifytheBuyeragainstanylossesarisingfromthefailureoftheSellertofulfillitsobligationsunderthisContract.

TheSellershallbeinbreachofthisContractandtheBuyershallbeentitledtoterminatetheServicesandseekdamagesifanyofthefollowingoccur:

a.FailureoftheSellertodelivertheServiceswithintheagreedtimeframe.

b.FailureoftheSellertomeettheagreedqualitystandards.

c.Non-compliancewiththeadviceandrecommendationsprovidedbytheThirdParty.
