1.ExhibitionDetails

1.1Theexhibitionshallbeheldat[NameofExhibitionVenue],locatedat[AddressofExhibitionVenue],from[StartDate]to[EndDate](inclusive),hereinafterreferredtoasthe“Exhibition”.

1.2TheOrganizershallprovidetheExhibitorwithaboothspacemeasuring[SizeofBooth]squaremetersinaccordancewiththefollowingspecifications:

1.3TheExhibitorshallberesponsiblefortheinstallationanddismantlingofitsboothwithinthedesignatedtimeandshallcomplywiththeOrganizer’sguidelinesandregulations.

2.FeesandPayment

2.1TheExhibitoragreestopaythefollowingfeestotheOrganizer:

2.2TheOrganizershallissueaninvoiceforthefeestotheExhibitoruponreceiptofthepayment.

2.3Allpaymentsshallbemadein[Currency]andarenon-refundableandnon-transferable.

3.IntellectualProperty

3.1TheExhibitorherebygrantstheOrganizeranon-exclusive,worldwide,royalty-freelicensetousetheExhibitor’strademarks,logos,andotherintellectualpropertyrightsinconnectionwiththeExhibition.

3.2TheOrganizeragreestousetheExhibitor’sintellectualpropertyrightsonlyforthepurposeofpromotingtheExhibitionandshallnotusethemforanyotherpurposewithoutthepriorwrittenconsentoftheExhibitor.

4.CancellationandPostponement

4.1TheExhibitormaycancelitsparticipationintheExhibitionbyprovidingwrittennoticetotheOrganizeratleast[NumberofDays]priortotheStartDate.

4.2Intheeventofacancellation,theOrganizershallretainthefollowingportionofthefeespaidbytheExhibitor:

a)[PercentageofFeesRetained]

4.3IntheeventofapostponementoftheExhibition,theOrganizerandtheExhibitorshalldiscussandagreeuponanewdatefortheExhibition.

5.Indemnification

5.1TheExhibitoragreestoindemnifyandholdharmlesstheOrganizerfromandagainstanyandallclaims,liabilities,damages,losses,andexpenses(includinglegalfees)arisingoutoforinconnectionwiththeExhibitor’sparticipationintheExhibition.

6.GoverningLawandDisputeResolution

6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

6.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheparties.Intheeventofanimpasse,thedisputesshallbesubmittedtothecompetentcourtof[Jurisdiction]forresolution.

7.EntireAgreement

7.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,understandings,orrepresentations,whetheroralorwritten,relatingtothesubjectmatterhereof.

3.2PartyAshall:

a)PaytheagreedfeestoPartyCwithin[NumberofDays]afterthecompletionoftheServices.

b)ProvidenecessaryinformationandassistancetoPartyCforthesuccessfulperformanceoftheServices.

c)ComplywithallapplicablelawsandregulationsrelatedtotheExhibition.

4.RightsandObligationsofPartyB

4.1PartyBhastherightto:

a)ApprovetheparticipationofPartyAintheExhibition.

b)MonitortheperformanceofPartyCduringtheExhibition.

c)EnsurethattheExhibitionisconductedinaccordancewiththeagreedtermsandconditions.

4.2PartyBshall:

a)ProvidetheExhibitorwithallnecessaryinformationandsupporttoensureasuccessfulparticipationintheExhibition.

b)EnsurethequalityandsafetyoftheboothspaceprovidedtotheExhibitor.

c)ComplywithallapplicablelawsandregulationsrelatedtotheExhibition.

5.RightsandObligationsofPartyC

5.1PartyChastherightto:

a)ReceivetheagreedfeesfortheServicesprovided.

b)RequestanyadditionalinformationorresourcesfromPartyAorPartyBasnecessarytoperformtheServices.

c)BecompensatedforanydamagesorlossesincurredduetothenegligenceorfailureofPartyAorPartyB.

5.2PartyCshall:

a)PerformtheServiceswithduecareandskill,inaccordancewiththeagreedspecificationsandstandards.

b)ProvideregularupdatestoPartyAregardingtheprogressoftheServices.

c)ComplywithallapplicablelawsandregulationsrelatedtotheServicesprovided.

6.违约及限制条款

6.1PartyBshallnotallowanythirdpartytotakeovertheboothspaceallocatedtoPartyAwithoutthepriorwrittenconsentofPartyA.

6.2PartyBshallbeliableforanydamagessufferedbyPartyAduetothefailuretoprovidetheboothspaceasagreedupon.

6.3PartyCshallnotsubcontracttheServicestoanyotherpartywithoutthepriorwrittenconsentofPartyA.

6.4IntheeventofabreachofthisContractbyPartyBorPartyC,PartyAshallhavetherighttoterminatetheContractandseekdamages.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

2.2PartyBshall:

a)PaytheagreedpurchasepricetoPartyAforthegoodsorservicessupplied.

b)ProvidenecessaryinformationandresourcestoPartyAforthesupplyofgoodsorservices.

c)Complywithallapplicablelawsandregulationsrelatedtothepurchaseanduseofthegoodsorservices.

3.RightsandObligationsofPartyA

3.1PartyAhastherightto:

a)ReceivetheagreedpurchasepricefromPartyBupondeliveryofthegoodsorservices.

b)RequestanyadditionalinformationorresourcesfromPartyBasnecessarytosupplythegoodsorservices.

c)BecompensatedforanydamagesorlossesincurredduetothefailureofPartyBtofulfillitsobligations.

3.2PartyAshall:

a)Supplythegoodsorservicesinaccordancewiththeagreedspecificationsandqualitystandards.
