ThisContract(hereinafterreferredtoas"theContract")isherebyexecutedandenteredintobetweenthefollowingparties:

2.PartyB:[NameofPartyB],withitsregisteredaddressat[AddressofPartyB],representedby[NameofAuthorizedRepresentative],hereinafterreferredtoas"Seller".
WHEREAS,theBuyer,inordertoenjoythetravelservicesprovidedbytheSeller,agreestoenterintothisContractwiththeSeller;and
WHEREAS,theSeller,asaprofessionaltravelserviceprovider,agreestoprovidetheBuyerwiththetravelservicesspecifiedinthisContract.
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:
1.SubjectMatteroftheContract
TheSellershallprovidetheBuyerwiththefollowingtravelservicesduringtheperiodspecifiedinthisContract:
1.1Transportation:[Specifythetransportationarrangements,suchasflight,train,orbustickets];
1.2Accommodation:[Specifytheaccommodationarrangements,suchashotelorinnreservations];
1.3GuideServices:[Specifytheguideservices,suchassightseeingtoursorculturalactivities];
1.4Meals:[Specifythemealarrangements,suchasbreakfast,lunch,anddinner];
2.Payment
2.1TheBuyershallpaytheSelleratotalamountof[Amount]astheconsiderationforthetravelservicesprovidedbytheSeller,inaccordancewiththepaymentmethodagreeduponbytheparties.
2.2TheBuyershallpaytheSellerthesaidtotalamountwithin[NumberofDays]aftertheexecutionofthisContract.
2.3IntheeventthattheBuyerfailstomakethepaymentwithintheagreedtime,theSellerreservestherighttoterminatethisContractandclaimcompensationfromtheBuyer.
3.TerminationoftheContract
3.1TheContractmaybeterminatedbyeitherpartyupontheoccurrenceofthefollowingcircumstances:
3.1.1TheBuyerfailstomakethepaymentwithintheagreedtime;
3.1.2TheSellerfailstoprovidetheagreedtravelservicesduetoforcemajeure;
3.1.3EitherpartyviolatestheprovisionsofthisContractandfailstorectifytheviolationwithintheagreedtime.
3.2IntheeventofterminationofthisContract,thepartiesshallcompensateeachotherforthelossesincurredduetothetermination.
4.Liability
4.1TheSellershallbeliableforanylossordamagesufferedbytheBuyerduetotheSeller'sfailuretoprovidetheagreedtravelservicesorduetotheSeller'snegligence.
4.2TheBuyershallbeliableforanylossordamagesufferedbytheSellerorotherpartiesduetotheBuyer'sfailuretocomplywiththeprovisionsofthisContract.
5.DisputeResolution
5.1IntheeventofanydisputesarisingfromtheexecutionofthisContract,thepartiesshallendeavortoresolvethedisputesthroughfriendlynegotiations.
5.2Intheeventthatthedisputescannotberesolvedthroughfriendlynegotiations,thepartiesagreetosubmitthedisputestothe[NameofArbitrationInstitution]forarbitrationinaccordancewithitsrules.
6.GoverningLaw
ThisContractshallbegovernedbythelawsof[Country/CountryofExecution].
7.Attachments
7.1ThisContractisaccompaniedbythefollowingattachments:

7.1.2ListofTravelServices;
7.1.3TravelInsurancePolicy;

WHEREAS,theBuyerdesirestoengagetheservicesoftheSellerandtheThirdPartytoarrangeforatravelpackage;and
WHEREAS,theSelleragreestoprovidetheBuyerwiththetravelservices,andtheThirdPartyagreestoactasafacilitatorandprovideadditionalservicesasoutlinedinthisContract.
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:
1.SubjectMatteroftheContract
1.1TheSellershallprovidetheBuyerwithacomprehensivetravelpackage,includingtransportation,accommodation,andguideservices.
1.2TheThirdPartyshallfacilitatethebookingandcoordinationofthetravelpackage,includinganyadditionalservicesrequestedbytheBuyer.
2.Buyer'sRightsandObligations
2.1TheBuyerhastherighttoreceiveafullrefundiftheSellerfailstoprovidetheagreed-upontravelservices.
2.2TheBuyerhastherighttorequestchangestothetravelpackage,subjecttotheavailabilityandagreementoftheSellerandtheThirdParty.
2.3TheBuyershallpaytheSellerandtheThirdPartytheagreed-uponfeesforthetravelpackage.
2.4TheBuyershallprovideaccurateandcompleteinformationforthetravelpackagebookings.
3.Seller'sRightsandObligations
3.1TheSellerhastherighttorequestpaymentforthetravelservicesinaccordancewiththeagreed-uponterms.
3.2TheSellershallprovidetheBuyerwiththeagreed-upontravelservices,orprovideasubstituteiftheoriginalservicesarenotavailable.
3.3TheSellershallbeliableforanydirectdamagessufferedbytheBuyerduetotheSeller'sfailuretoprovidetheagreed-uponservices.
4.ThirdParty'sRightsandObligations
4.1TheThirdPartyhastherighttoreceivetheagreed-uponfacilitationfeesfortheservicesprovided.
4.2TheThirdPartyshallusereasonableeffortstofacilitatethetravelpackagearrangementsandresolveanyissuesthatarise.
4.3TheThirdPartyshallnotbeliableforanyindirectdamagessufferedbytheBuyerduetothefailureoftheSellertoprovidetheagreed-uponservices.
5.Seller'sandThirdParty'sLimitationsofLiability
5.1TheSellerandtheThirdPartyshallnotbeliableforanylossordamagecausedbyforcemajeureeventsbeyondtheirreasonablecontrol.
5.2TheSellerandtheThirdPartyshallnotbeliableforanylossordamagecausedbytheBuyer'sfailuretocomplywiththetermsofthisContract.
6.Buyer'sRightsinCaseofSeller'sorThirdParty'sBreach
6.1IntheeventofabreachofthisContractbytheSellerortheThirdParty,theBuyershallhavetherighttoterminatetheContractandseekafullrefundofthefeespaid.
6.2TheBuyershallalsohavetherighttoseekdamagesforanydirectlossesincurredduetothebreach.
7.TerminationoftheContract
7.1ThisContractmaybeterminatedbyeitherpartyupontheoccurrenceofamaterialbreachoftheContractbytheotherparty.
7.2Upontermination,thepartiesshallresolveanyoutstandingfeesandpaymentsinaccordancewiththetermsofthisContract.
8.GoverningLaw
ThisContractshallbegovernedbythelawsof[Country/CountryofExecution].

2.2TheServiceProvidershallusereasonableeffortstodelivertheservicestotheClientinatimelyandprofessionalmanner.
2.3TheServiceProvidershallmaintainconfidentialityregardinganyproprietaryinformationprovidedbytheClientortheThirdPartyConsultant.
3.ThirdPartyConsultant'sRightsandObligations
3.1TheThirdPartyConsultanthastherighttoreceivetheagreed-uponcompensationfortheconsultingservicesprovided.
3.2TheThirdPartyConsultantshallprovideexpertadviceandguidancetotheServiceProvider,ensuringthequalityoftheservicesdeliveredtotheClient.
3.3TheThirdPartyConsultantshallnotdiscloseanyconfidentialinformationoftheClienttoanythirdpartywithouttheClient'spriorwrittenconsent.
4.Client'sRightsandObligations
4.1TheClienthastherighttoreceivetheservicesfromtheServiceProviderasspecifiedintheServiceDescription.
4.2TheClienthastherighttorequestmodificationstotheservices,subjecttotheagreementoftheServiceProviderandtheThirdPartyConsultant.
4.3TheClientshallprovideallnecessaryinformationandresourcestotheServiceProviderandtheThirdPartyConsultanttoenabletheprovisionoftheservices.
5.Client'sRightsinCaseofServiceProvider'sorThirdPartyConsultant'sBreach
5.1IntheeventofabreachofthisContractbytheServiceProviderortheThirdPartyConsultant,theClientshallhavetherighttoterminatetheContractandseekafullrefundofthefeespaid.
5.2TheClientshallalsohavetherighttoseekdamagesforanydirectlossesincurredduetothebreach.
6.ServiceProvider'sandThirdPartyConsultant'sLimitationsofLiability
6.1TheServiceProviderandtheThirdPartyConsultantshallnotbeliableforanylossordamagecausedbyforcemajeureeventsbeyondtheirreasonablecontrol.
6.2TheServiceProviderandtheThirdPartyConsultantshallnotbeliableforanylossordamagecausedbytheClient'sfailuretocomplywiththetermsofthisContract.
7.TerminationoftheContract
7.1ThisContractmaybeterminatedbyeitherpartyupontheoccurrenceofamaterialbreachoftheContractbytheotherparty.
7.2Upontermination,thepartiesshallresolveanyoutstandingfeesandpaymentsinaccordancewiththetermsofthisContract.
8.GoverningLaw
ThisContractshallbegovernedbythelawsof[Country/CountryofExecution].
9.Attachments
