2.SubjectMatteroftheContract
2.1TheSelleragreestosupplytheBuyerwiththeGoods,andtheBuyeragreestopurchasetheGoodsfromtheSellerinaccordancewiththetermsandconditionssetforthinthisContract.
3.QualityandQuantityoftheGoods
3.1ThequalityoftheGoodsshallcomplywiththequalitystandardsandspecificationsagreeduponbybothpartiesinwriting.IfthereisadiscrepancybetweenthequalityoftheGoodsandtheagreedstandards,theBuyershallhavetherighttorejecttheGoodsorrequireareductionintheContractPrice.
3.2ThequantityoftheGoodsshallbedeterminedbasedonthepackinglistandthecommercialinvoiceissuedbytheSeller.
4.DeliveryandShipment
4.1TheSellershalldelivertheGoodstotheBuyerat[PlaceofDelivery]onorbeforetheDeliveryDate.
4.2TheSellershallensurethattheGoodsareproperlypackedandmarkedinaccordancewiththerequirementsofthetransportationcompanyandrelevantregulations.
5.PaymentTerms
5.1TheBuyershallpaytheContractPricetotheSellerwithin[NumberofDays]afterthereceiptoftheBillofLading.
5.2Thepaymentshallbemadeby[PaymentMethod],i.e.,[e.g.,LetterofCredit,T/T,etc.].
6.InspectionandAcceptance
6.1TheBuyershallhavetherighttoinspecttheGoodsuponreceiptandshallnotifytheSellerofanydiscrepancieswithin[NumberofDays]afterthereceiptoftheGoods.
6.2IftheBuyerfindsanydiscrepancies,theBuyershallhavetherighttorejecttheGoodsorrequireareductionintheContractPrice.
7.ForceMajeure
7.1IntheeventofForceMajeure,theSellershallbereleasedfromitsobligationsunderthisContract,andthepartiesshallnegotiatetheextensionoftheDeliveryDateortheterminationoftheContract.
7.2TheoccurrenceofForceMajeureshallbepromptlynotifiedtotheotherpartyinwriting.
8.DisputeResolution
8.1AnydisputearisingfromorinconnectionwiththisContractshallbesettledthroughfriendlynegotiationbetweentheparties.
8.2Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedtothe[ApplicableArbitrationInstitution]forarbitrationinaccordancewithitsrules.
9.Miscellaneous
9.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.
9.2ThisContractmaybeamendedorsupplementedonlybyawritteninstrumentexecutedbybothparties.

4.DeliveryandShipment

5.PaymentTerms

7.2TheThirdPartyshallnotbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContract.

8.Buyer'sRightsandInterests

8.2TheBuyershallhavetherighttoterminatethisContractiftheSellerfailstodelivertheGoodsontheagreedDeliveryDatewithoutavalidexcuse.
8.3TheBuyershallhavetherighttoclaimdamagesorareductionintheContractPriceifthequalityoftheGoodsdoesnotmeettheagreedstandards.
9.Seller'sObligationsandLimitations
9.1TheSellershalldelivertheGoodstotheBuyerontheagreedDeliveryDateandensurethatthequalityoftheGoodsmeetstheagreedstandards.
9.2TheSellershallprovidetheBuyerwithallnecessarydocumentation,includingtheBillofLading,packinglist,andcommercialinvoice.
9.3TheSellershallnotbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoForceMajeure.
10.TerminationandConsequences
10.1ThisContractmaybeterminatedbyeitherpartyintheeventofamaterialbreachbytheotherparty.
10.2UponterminationofthisContract,theBuyershallbeentitledtoclaimdamagesorareductionintheContractPrice.
10.3TheThirdPartyshallhavetherighttoterminateitsparticipationinthetransactionatanytime,providedthatitnotifiesthepartiesinwriting.
11.DisputeResolution
11.1AnydisputearisingfromorinconnectionwiththisContractshallbesettledthroughfriendlynegotiationbetweentheparties.
11.2Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedtothe[ApplicableArbitrationInstitution]forarbitrationinaccordancewithitsrules.
