c.TheRefunderreservestherighttoverifythevalidityoftherefundrequestandtheRefundee’scompliancewiththetermsandconditionsofthisContract.

1.2TheRefunderagreestoprocesstherefundwithinareasonabletimeafterreceivingtheRefundee’svalidrefundrequestandallnecessarydocumentation.

2.ConditionsforRefundExclusion

2.1TheRefundershallnotbeliableforrefundsunderthefollowingcircumstances:

a.IftheRefundeehasalreadyutilizedthegoodsorservicespurchased;

b.IftheRefundeehaschangedtheirmindaboutthepurchase,butthegoodsorservicesarestillintheiroriginalconditionandhavenotbeenused;

c.IftheRefundeehasprovidedfalseorincorrectinformationregardingtherefundrequest.

3.LimitationofLiability

3.1TheRefundershallnotbeliableforanyindirect,special,orconsequentialdamagesarisingfromorinconnectionwiththetransactionorthefailuretoprovidearefund,exceptasotherwiseprovidedbyapplicablelaw.

4.GoverningLawandDisputeResolution

4.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictioninwhichtheRefunderislocated.

4.2AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiationbetweentheparties.Ifsuchnegotiationfails,thepartiesagreetosubmitthedisputetothejurisdictionofthecompetentcourtforresolution.

2.2TheThirdPartyshallensurethattherefundprocessisconductedinafairandtimelymanner.

2.3TheThirdPartyshallnotdiscloseanyconfidentialinformationoftheRefunderortheRefundeetoanythirdpartywithoutthepriorwrittenconsentoftherespectiveparty.

3.RightsandObligationsoftheRefunder

3.1TheRefunderhastherighttorequesttheThirdPartytoprovideadetailedreportoftherefundprocessandthereasonsforanydelaysordenialsoftherefundrequest.

3.2TheRefundershallhavetherighttoterminatetheinvolvementoftheThirdPartyiftheThirdPartyfailstofulfillitsobligationsunderthisContract.

3.3TheRefundershallbeentitledtoanyproceedsfromtherefund,lessanycostsorfeesincurredintheprocess.

4.RightsandObligationsoftheRefundee

4.1TheRefundeeshallhavetherighttoreceivearefundwithintheRefundPeriod,providedthattheRefundeecomplieswiththetermsandconditionsofthisContract.

4.2TheRefundeeshallhavetherighttorequestadetailedexplanationfromtheThirdPartyregardingthestatusoftherefundrequestandthereasonsforanydelaysordenials.

5.LimitationsandRestrictionsontheRefundee

5.1TheRefundeeshallnotbeentitledtoarefundiftheRefundeehasalreadyutilizedthegoodsorservicespurchased.

5.2TheRefundeeshallnotbeentitledtoarefundiftheRefundeehaschangedtheirmindaboutthepurchase,butthegoodsorservicesarenotintheiroriginalconditionorhavebeenused.

5.3TheRefundeeshallnotbeentitledtoarefundiftheRefundeehasprovidedfalseorincorrectinformationregardingtherefundrequest.

6.ConsequencesofRefundee’sBreach

6.1IftheRefundeebreachesanytermorconditionofthisContract,theRefundershallhavetherighttoterminatetheContractandwithholdanyfurtherservicesorgoodsfromtheRefundee.

6.2TheRefundeeshallbeliableforanydamagesorlossesincurredbytheRefunderasaresultoftheRefundee’sbreachofthisContract.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictioninwhichtheRefunderislocated.

7.2AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiationbetweentheparties.Ifsuchnegotiationfails,thepartiesagreetosubmitthedisputetothejurisdictionofthecompetentcourtforresolution.

4.3TheVendoragreestoprovidetheThirdPartywithanynecessaryinformationtofacilitatethereturnandrefundprocess.

5.ConsequencesofVendor’sBreach

5.1IftheVendorfailstoprocessthereturnandrefundwithintheagreedtimeframe,theCustomershallhavetherighttoseekcompensationfromtheVendor.

5.2IftheVendorrefusestoissuearefundwithoutvalidjustification,theCustomershallhavetherighttofileacomplaintwiththeThirdPartyorrelevantconsumerprotectionagencies.

6.GoverningLawandDisputeResolution

6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictioninwhichtheVendorislocated.
