**RECITALS**

WHEREAS,theSponsoredEntitydesirestoreceivesuchsupportandpromotionalbenefitsfromtheSponsor,

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

**1.DefinitionofTerms**

ForpurposesofthisAgreement,thefollowingtermsshallhavethefollowingmeanings:

-"PromotionalMaterials"shallmeanalladvertising,promotional,andmarketingmaterials,includingbutnotlimitedtoadvertisements,brochures,banners,andsocialmediacontent,usedbytheSponsorinconnectionwiththeSponsoredEventorActivity.

-"SponsoredEventorActivity"shallmeanthe[describethesponsoredeventoractivity]scheduledtotakeplaceon[dateandtime]at[location].

-"SponsorshipFee"shallmeantheamountofmoneytobepaidbytheSponsortotheSponsoredEntityinconsiderationoftheSponsorshipRightsgrantedunderthisAgreement,assetforthinExhibitAhereto.

-"SponsorshipRights"shallmeantherightsgrantedtotheSponsorbytheSponsoredEntityunderthisAgreement,includingbutnotlimitedtotheuseoftheSponsoredEntity'sname,logo,andtrademarkinconnectionwiththeSponsoredEventorActivity.

**2.SponsorshipFee**

TheSponsorshallpaytheSponsorshipFeetotheSponsoredEntityinaccordancewiththetermssetforthinExhibitAhereto.TheSponsorshipFeeshallbepaidinfullnolaterthan[specifythedeadline].

**3.SponsorshipRights**

SubjecttothetermsandconditionsofthisAgreement,theSponsorshallbegrantedthefollowingSponsorshipRights:

-TherighttousetheSponsoredEntity'sname,logo,andtrademarkinPromotionalMaterialsinconnectionwiththeSponsoredEventorActivity.

-TherighttohaveitsnameandlogodisplayedinPromotionalMaterialsinconnectionwiththeSponsoredEventorActivity.

-TherighttohaveitsrepresentativespresentattheSponsoredEventorActivityandtoengageinpromotionalactivitiesduringtheeventoractivity.

**4.GrantofRights**

TheSponsoredEntityherebygrantstheSponsortherightssetforthinSection3above,subjecttothefollowingconditions:

-TheSponsorshallnotusetheSponsoredEntity'sname,logo,ortrademarkinamannerthatismisleading,defamatory,orotherwiseviolatestherightsoftheSponsoredEntityoranythirdparty.

-TheSponsorshallnotusetheSponsoredEntity'sname,logo,ortrademarkinamannerthatisinconsistentwiththeSponsor'sownlegalandregulatoryobligations.

**5.Exclusivity**

TheSponsorshipRightsgrantedtotheSponsorunderthisAgreementareexclusive,providedthattheSponsoredEntityretainstherighttograntsimilarSponsorshipRightstoothersponsorsatitssolediscretion.

**6.TermandTermination**

ThisAgreementshallcommenceonthedateofitsexecutionandshallremainineffectforaperiodof[specifythedurationoftheagreement],unlessterminatedearlierinaccordancewiththetermsofthisAgreement.

EitherpartymayterminatethisAgreementupon[specifythecircumstancesunderwhichterminationispermitted]byprovidingwrittennoticetotheotherpartyatleast[specifythenoticeperiod]priortotheeffectivedateoftermination.

**7.Indemnification**

TheSponsoragreestoindemnifyandholdtheSponsoredEntityharmlessfromandagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonableattorneys'feesandcosts)incurredbytheSponsoredEntityarisingoutoforinconnectionwiththeSponsor'sbreachofthisAgreementortheSponsorshipRightsgrantedhereunder.

**8.Confidentiality**

ThepartiesagreetokeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisAgreement,exceptforinformationthatis(i)publiclyknownandmadegenerallyavailableinthepublicdomainpriortothetimeofdisclosurebythereceivingparty,(ii)alreadyinthepossessionofthereceivingpartyatthetimeofdisclosure,or(iii)obtainedbythereceivingpartyfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality.

**9.GoverningLaw**

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction],withoutgivingeffecttoanyprinciplesofconflictsoflaw.

**10.EntireAgreement**

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,betweenthepartieswithrespecttosuchsubjectmatter.

**1.Definitions**

-Provideaplatformfordisputeresolutionintheeventofanydisagreements.

**5.ThirdParty'sRightsandObligations**

TheThirdPartyshallhavethefollowingrightsandobligations:

-TherighttoreceiveafeeforitsservicesasspecifiedinExhibitBhereto.

-Theobligationtoactingoodfaithandwithduediligenceinperformingitsintermediaryduties.

-TheobligationtomaintainconfidentialityregardinganyinformationobtainedduringtheSponsorshipProcess.

**6.Sponsor'sRightsandProtections**

TheSponsorshallhavethefollowingrightsandprotections:

-TherighttocancelthisAgreementiftheSponsoredEntityfailstocomplywiththetermsandconditionsofthisAgreement,uponwrittennoticetotheSponsoredEntity.

-TherighttoreceiveafullrefundoftheSponsorshipFeeiftheSponsoredEventorActivityiscanceledorsignificantlyalteredwithouttheSponsor'sconsent.

-TherighttorequestadditionalPromotionalMaterialsfromtheSponsoredEntityasnecessarytoensuretheSponsorshipRightsareeffectivelycommunicatedtothepublic.

**7.SponsoredEntity'sObligations**

TheSponsoredEntityshallhavethefollowingobligations:

-ToprovidetheSponsorwithaccesstoPromotionalMaterialsatleast[specifythedeadline]priortotheSponsoredEventorActivity.

-ToensurethatthePromotionalMaterialsareincompliancewithallapplicablelawsandregulations.

-ToprovidetheSponsorwithalistofallsponsorsparticipatingintheSponsoredEventorActivity.

**8.Sponsor'sLimitationsandRestrictions**

TheSponsorshallnot:

-UsetheSponsoredEntity'sname,logo,ortrademarkinamannerthatismisleading,defamatory,orotherwiseviolatestherightsoftheSponsoredEntityoranythirdparty.

-EngageinanyactivitythatcouldnegativelyimpactthereputationoftheSponsoredEntityortheSponsoredEventorActivity.

**9.SponsoredEntity'sLimitationsandRestrictions**

TheSponsoredEntityshallnot:

-BreachtheconfidentialityobligationssetforthinthisAgreement.

-AllowanythirdpartytousetheSponsorshipRightsgrantedtotheSponsorwithouttheSponsor'spriorwrittenconsent.

**10.TerminationandConsequences**

ThisAgreementmaybeterminatedbyeitherpartyupon[specifythecircumstancesunderwhichterminationispermitted]byprovidingwrittennoticetotheotherpartyatleast[specifythenoticeperiod]priortotheeffectivedateoftermination.

**11.Indemnification**

TheSponsorshallindemnifyandholdtheSponsoredEntityandtheThirdPartyharmlessfromandagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonableattorneys'feesandcosts)incurredbytheSponsoredEntityortheThirdPartyarisingoutoforinconnectionwiththeSponsor'sbreachofthisAgreement.

**12.GoverningLaw**

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction],withoutgivingeffecttoanyprinciplesofconflictsoflaw.

**13.EntireAgreement**

TheinclusionoftheThirdPartyinthisAgreementservestofacilitateamorestructuredandefficientSponsorshipProcess.TheThirdPartyactsasaneutralintermediary,ensuringthatboththeSponsorandtheSponsoredEntityadheretothetermsofthisAgreementandthatanydisputesareresolvedamicably.ThepurposeoftheThirdPartyistoenhancetheSponsor'sexperiencebyprovidingastreamlinedprocessandadditionalprotectionfortheSponsor'sinterests.

**SUMMARYOFAGENCY-LEDAPPROACHANDSIGNIFICANCE**

**9.BreachofAgreement**

IntheeventofabreachofthisAgreementbyeitherparty,thenon-breachingpartyshallhavetherightto:

-SeekinjunctiverelieftoenforceitsrightsunderthisAgreement.
