ThisLoanAgreement(the"Agreement")ismadeandenteredintoasof[Date],byandbetween[Lender'sFullLegalName],a[Lender'sStateofIncorporation]corporationwithitsprincipalplaceofbusinessat[Lender'sAddress](the"Lender"),and[Borrower'sFullLegalName],anindividualresidingat[Borrower'sAddress](the"Borrower").

WHEREAS,theLenderiswillingtolend,andtheBorrowerisinneedofandwillingtoborrow,theprincipalamountof[Amount](the"LoanAmount")onthetermsandconditionssetforthinthisAgreement.

WHEREAS,theBorrowerhasrequestedthattheLenderprovidealoantotheBorrowerintheamountof[Amount]forthepurposeof[PurposeofLoan],andtheLenderhasagreedtoprovidesuchloan.

WHEREAS,thepartiesheretodesiretosetforththetermsandconditionsuponwhichtheLenderwillmaketheLoantotheBorrower.

NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

1.Definitions:

-"DisbursementDate"meansthedateonwhichtheLenderdisbursestheLoanAmounttotheBorrower.

-"InterestRate"means[InterestRate]%perannum.

-"LoanMaturityDate"means[LoanMaturityDate].

-"LoanPayment"meansthepaymentmadebytheBorrowertotheLenderpursuanttoSection2hereof.

-"PrepaymentFee"means[PrepaymentFeePercentage]%oftheoutstandingprincipalamountbeingprepaid.

-"RepaymentSchedule"meansthescheduleattachedheretoasExhibitA,whichsetsforththedatesandamountsoftheLoanPayments.

2.LoanandInterest:

-TheLenderagreestolendtotheBorrower,andtheBorroweragreestoborrowfromtheLender,theLoanAmountonthetermsandconditionssetforthinthisAgreement.TheLoanAmountshallbedisbursedtotheBorrowerontheDisbursementDate.

-TheBorrowershallpayinterestontheoutstandingprincipalamountoftheLoanattheInterestRate.Interestshallaccruedailyandshallbepayableinarrearsonthelastdayofeachcalendarmonth,andontheLoanMaturityDate,ontheprincipalamountoutstandingfromtimetotime.

-TheBorrowershallrepaytheprincipalamountoftheLoanandallaccruedbutunpaidinterestthereoninaccordancewiththeRepaymentSchedule.

3.Prepayment:

-TheBorrowermayprepaytheLoaninwholeorinpartatanytimewithoutpenalty,providedthattheBorrowershallpaytotheLenderaPrepaymentFeeontheprincipalamountbeingprepaid.ThePrepaymentFeeshallbedueandpayableonthedateofprepayment.

4.EventsofDefault:

-An"EventofDefault"shalloccurif:

a.TheBorrowerfailstomakeanyLoanPaymentwhendue,or

b.TheBorrowerbreachesanycovenant,representation,orwarrantycontainedinthisAgreement,andsuchbreachisnotcuredwithin[CurePeriod]daysafterwrittennoticefromtheLender,or

c.TheBorrowerbecomesinsolventorfilesapetitionforbankruptcyorcommencesorhascommencedagainstitaproceedingunderanybankruptcyorinsolvencylaw,or

d.TheBorrowerdiscontinuesitsbusinessortakesanyactiontowinduporliquidateitsaffairs,or

e.AnyrepresentationorwarrantymadebytheBorrowerinthisAgreementisfalseormisleadinginanymaterialrespectwhenmadeordeemedmade.

5.RemediesUponDefault:

-IfanEventofDefaultoccurs,theLendermay,inadditiontoanyotherrightsandremediesitmayhaveatlaworinequity,doanyofthefollowing:

-DeclareallamountsoutstandingunderthisAgreementimmediatelydueandpayable,whereuponsuchamounts(togetherwithallaccruedinterestandallotheramountsaccruedhereunder)shallbecomeimmediatelydueandpayable,withoutdemandorfurthernotice.

-RequiretheBorrowertopayondemandanamountequaltothelesserof(i)thethenoutstandingprincipalamountoftheLoanand(ii)themaximumamountwhichcanbeacceleratedwithoutcausingtherateofinteresttoequalorexceedthemaximumratepermittedbyapplicablelaw.

-Takeanyactiontoenforcethepaymentoftheamountsduehereunder.

-Exerciseanyremediesprovidedbyapplicablelaw.

6.RepresentationsandWarrantiesoftheBorrower:

-TheBorrowerrepresentsandwarrantstotheLenderasfollows:

-TheBorrowerisalegalentitydulyorganized,validlyexistingandingoodstandingunderthelawsofitsjurisdictionoforganization.

-Theexecution,deliveryandperformanceofthisAgreementarewithintheBorrower'spowerandhavebeendulyauthorizedbyallnecessaryactionsonthepartoftheBorrower.

-ThisAgreementhasbeendulyexecutedanddeliveredbytheBorrowerandconstitutesalegal,validandbindingobligationoftheBorrower,enforceableagainsttheBorrowerinaccordancewithitsterms,exceptaslimitedbybankruptcy,insolvencyorotherlawsofgeneralapplicationrelatingtooraffectingtheenforcementofcreditors'rightsgenerally.

-TheBorrowerhasnomaterialliabilitiesorobligations,contingentorotherwise,thatarenotsetforthinthefinancialstatementsdeliveredtotheLender.

-ThefinancialstatementsdeliveredtotheLenderfairlypresentinallmaterialrespectsthefinancialconditionoftheBorrowerasofthedatesthereof.

-TheBorrowerisnotindefaultunderorwithrespecttoanymaterialagreement,lease,instrument,judgment,decree,order,statute,ruleorgovernmentalregulationtowhichitisapartyorbywhichitisbound.

-NoeventhasoccurredandcontinueswhichconstitutesanEventofDefaultorwhich,withthegivingofnoticeorthepassageoftimeorboth,wouldconstituteanEventofDefault.

7.CovenantsoftheBorrower:

-TheBorrowershallpayallmaterialtaxes,assessmentsandgovernmentalchargesimposeduponitoritsincomeorprofits.

-TheBorrowershallkeepproperbooksofrecordandaccount,inwhichfull,trueandcorrectentriesshallbemadeofallfinancialtransactionsandmattersincidenttoitsbusiness,inaccordancewithgenerallyacceptedaccountingprinciplesconsistentlyapplied.

-TheBorrowershallmaintainitsaccountsandfinancialrecordsinaccordancewithSection7.2andshallpermittheLenderoritsrepresentatives,uponreasonablepriornoticeduringnormalbusinesshours,tovisitandinspectitsproperties,toexamineandmakecopiesofitsbooksofaccount,recordsandreports,andtodiscussitsaffairs,financesandaccountswithitsofficers,allattheBorrower'sexpense.

-TheBorrowershallnotmakeanymaterialchangeinitsbusiness,management,businessmethodsoroperationswithoutthepriorwrittenconsentoftheLender.

8.Indemnification:

-TheBorroweragreestoindemnify,defendandholdtheLenderharmlessfromandagainstanyandallclaims,demands,causesofaction,attorneys'feesandcosts,andanyandallotherliabilitieswhatsoeverwhichmayarisefromorinconnectionwith(a)anybreachbytheBorrowerofanyrepresentation,warranty,covenantoragreementcontainedinthisAgreement,or(b)anyclaimrelatedtotheuseoftheproceedsoftheLoan.

9.GoverningLaw:

-ThisAgreementshallbegovernedby,andconstruedinaccordancewith,thelawsoftheStateof[State].

10.Assignment:

-TheBorrowermaynotassignanyofitsrightsordelegateanyofitsobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheLender.TheLendermayassignitsrightsanddelegateitsobligationsunderthisAgreementwithouttheconsentoftheBorrower.

11.AmendmentandWaiver:

-Noamendment,modificationorwaiverofanyprovisionofthisAgreement,norconsenttoanydeparturebytheBorrowertherefrom,shallinanyeventbeeffectiveunlessthesameshallbeinwritingandsignedbythepartytobeboundthereby,andthensuchwaiverorconsentshallbeeffectiveonlyinthespecificinstanceandforthepurposeforwhichgiven.NowaiverbytheLenderofanydefaultshallbedeemedawaiverofanysubsequentdefault.

12.Severability:

-AnyprovisionofthisAgreementwhichisprohibitedorunenforceableinanyjurisdictionshall,astosuchjurisdiction,beineffectivetotheextentofsuchprohibitionorunenforceabilitywithoutinvalidatingtheremainingprovisionshereof,andanysuc
