3.2PartyBshallacceptthedeliveryoftheGoods/Works/Servicesuponsatisfactorycompletionofthesame,asdeterminedbyPartyB'sinspectionandtesting.
4.IntellectualPropertyRights
4.1Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,tradesecrets,andknow-how,arisingfromorinconnectionwiththeperformanceofthisContractshallbeownedbyPartyA,unlessotherwiseagreedinwriting.
4.2PartyBshallnotuse,copy,modify,ordiscloseanyintellectualpropertyrightsownedbyPartyAwithoutthepriorwrittenconsentofPartyA.
5.Confidentiality
5.1Thepartiesagreetokeepconfidentialanyandallinformation,includingbutnotlimitedtotechnical,commercial,andfinancialinformation,disclosedtothembytheotherpartyduringthecourseofthisContract.
5.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.
6.GoverningLawandJurisdiction
6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
6.2AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].
7.Miscellaneous

7.4IntheeventthatanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

2.4PartyAshallberesponsibleforprovidingnecessaryinformationandinstructionstoPartyBandtheThirdPartytofacilitatetheperformanceoftheirobligations.
3.PartyB'sandThirdParty'sObligationsandRights
3.1PartyBandtheThirdPartyshallprovidetheServices/Goods/WorkstoPartyAinatimelyandefficientmanner.
3.2PartyBandtheThirdPartyshallcomplywithallapplicablelaws,regulations,andstandardsintheperformanceoftheirobligations.
3.3PartyBandtheThirdPartyshallmaintainconfidentialityofanyinformationdisclosedbyPartyA.
3.4PartyBandtheThirdPartyshallhavetherighttoreceivepaymentfortheServices/Goods/Worksprovidedinaccordancewiththeagreedterms.
4.PaymentTerms

6.IntellectualPropertyRights
6.1AllintellectualpropertyrightsarisingfromorinconnectionwiththeperformanceofthisContractshallbeownedbyPartyA,unlessotherwiseagreedinwriting.
6.2PartyBandtheThirdPartyshallnotuse,copy,modify,ordiscloseanyintellectualpropertyrightsownedbyPartyAwithoutthepriorwrittenconsentofPartyA.
7.Confidentiality
7.1Thepartiesagreetokeepconfidentialanyandallinformation,includingbutnotlimitedtotechnical,commercial,andfinancialinformation,disclosedtothembytheotherpartyduringthecourseofthisContract.
7.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisContract.
8.ThirdParty'sResponsibilitiesandRights
8.1TheThirdPartyshallberesponsibleforthequalityandperformanceoftheServices/Goods/WorksprovidedtoPartyA.
8.2TheThirdPartyshallhavetherighttoreceivepaymentfortheServices/Goods/Worksprovidedinaccordancewiththeagreedterms.
8.3TheThirdPartyshallhavetherighttoenterintosubcontractswiththirdpartiestoassistintheperformanceofitsobligationsunderthisContract,providedsuchsubcontractsareconsistentwiththetermsofthisContract.
9.PartyB'sandThirdParty's违约andLimitationClauses
9.1IntheeventofabreachofthisContractbyPartyBortheThirdParty,PartyAshallhavetherighttoterminatethisContractimmediatelyandclaimdamagesforanylossesincurred.
9.2PartyBandtheThirdPartyshallnotbeliableforanyindirectorconsequentiallossessufferedbyPartyAasaresultoftheirbreachofthisContract.
9.3PartyBandtheThirdPartyshallnotbeliableforanyfailuretoperformtheirobligationsunderthisContractduetoforcemajeureeventsbeyondtheirreasonablecontrol.
10.GoverningLawandJurisdiction
10.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
10.2AnydisputesarisingoutoforinconnectionwiththisContractshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].
11.Miscellaneous
