(b)"FOB"referstothetermof"FreeonBoard"asdefinedbytheInternationalChamberofCommerce(ICC);
(c)"ContractPrice"referstothetotalpricefortheGoods,asagreeduponbybothparties;
(d)"DeliveryDate"referstothedatewhentheGoodsaretobedeliveredtotheBuyer;
(e)"ForceMajeure"referstoanyeventorseriesofeventsbeyondthereasonablecontrolofeitherparty,whichpreventsorhinderstheperformanceofitsobligationsunderthisContract;
(f)"Appendix1"referstotheattacheddocumentthatspecifiesthedetailsoftheGoods,includingbutnotlimitedtoquality,quantity,andprice.
1.2Interpretations:IntheeventofanyambiguityorinconsistencyinthisContract,theinterpretationshallbeinaccordancewiththeprinciplesoffairnessandgoodfaith.
2.GoodsandServices
2.1TheSelleragreestosellanddelivertotheBuyertheGoodsspecifiedinAppendix1;
2.2TheBuyeragreestopurchaseandaccepttheGoodsspecifiedinAppendix1.
3.PriceandPayment
3.1TheContractPricefortheGoodsshallbeasagreeduponbybothpartiesinAppendix1;
3.2TheBuyershallpaytheSellertheContractPriceinaccordancewiththepaymenttermssetforthinAppendix2.
4.Delivery
4.1TheSellershalldelivertheGoodstotheBuyerattheportofdestinationspecifiedinAppendix1;
4.2TheSellershallensurethattheGoodsaredeliveredinaccordancewiththeagreedspecifications,quality,andquantity;
5.InspectionandAcceptance
5.1TheBuyershallhavetherighttoinspectandaccepttheGoodsupondelivery;
5.2TheGoodsshallbedeemedtohavebeenacceptedbytheBuyeriftheymeettheagreedspecifications,quality,andquantity.
6.Warranties
6.1TheSellerwarrantsthattheGoodsshallbefreefromanydefectsandmeettheagreedspecifications,quality,andquantityatthetimeofdelivery;
6.2TheSellershall,atitsownexpense,repairorreplaceanydefectiveGoodswithinthewarrantyperiodspecifiedinAppendix3.
7.ForceMajeure
7.1IntheeventofForceMajeure,neitherpartyshallbeliableforanydelayorfailureinperformanceunderthisContract;
7.2ThepartyaffectedbyForceMajeureshallpromptlynotifytheotherpartyoftheoccurrenceofsucheventandprovideevidencethereof.
8.GoverningLawandDisputeResolution
8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionwheretheSellerislocated;
8.2AnydisputearisingfromorinconnectionwiththisContractshallberesolvedthroughfriendlynegotiationsbetweentheparties.Ifthenegotiationsfail,thedisputeshallbesubmittedtothecompetentcourtforresolution.
9.EntireAgreement
9.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,andnegotiations,whetherwrittenororal;
9.2AnyamendmentormodificationofthisContractshallbeeffectiveonlyifitisinwritingandsignedbybothparties.

2.ThirdParty'sRole
2.1TheThirdPartyagreestoprovidethefollowingservicestotheBuyer:
(a)QualityAssurance:TheThirdPartyshallconductinspectionsandauditsoftheGoodstoensurecompliancewiththeagreedspecificationsandstandards;
(b)PerformanceGuarantee:TheThirdPartyshallguaranteetheperformanceoftheSellerandensurethattheGoodsaredeliveredontimeandinaccordancewiththeContract;
(c)DisputeResolution:TheThirdPartyshallactasanintermediaryinresolvinganydisputesthatmayarisebetweentheBuyerandtheSeller.
3.Seller'sObligations
3.1TheSelleragreesto:
(a)DelivertheGoodstotheBuyerattheportofdestinationspecifiedinAppendix1;
(b)EnsurethattheGoodsarefreefromdefectsandmeettheagreedspecifications,quality,andquantity;
(c)ProvidetheBuyerwithallnecessarydocumentation,includingbutnotlimitedtoinvoices,billsoflading,andcertificatesoforigin.
4.Buyer'sRightsandObligations
4.1TheBuyershallhavethefollowingrights:
(a)ToinspectandaccepttheGoodsupondelivery;
(b)ToreceivequalityassurancereportsfromtheThirdParty;
(c)ToterminatetheContractintheeventofamaterialbreachbytheSellerortheThirdParty;
(d)ToseekcompensationforanylossesincurredduetotheSeller'sortheThirdParty'sfailuretoperformundertheContract.
4.2TheBuyershallhavethefollowingobligations:
(a)TopaytheContractPricetotheSellerinaccordancewiththepaymenttermssetforthinAppendix2;
(b)ToprovidetheSellerwithallnecessaryinformationanddocumentstofacilitatethedeliveryoftheGoods;
(c)TocomplywiththeinspectionandacceptanceproceduresasoutlinedintheContract.
5.Seller'sandThirdParty'sRightsandObligations
5.1TheSellerandtheThirdPartyshallhavethefollowingrights:
(a)TobecompensatedfortheirservicesandguaranteesprovidedundertheContract;
(b)ToseeklegalremediesforanybreachoftheContractbytheBuyer.
5.2TheSellerandtheThirdPartyshallhavethefollowingobligations:
(a)Toperformtheirservicesandguaranteesinatimelyandprofessionalmanner;
(b)ToprovidetheBuyerwithregularupdatesonthestatusoftheGoodsandtheperformanceoftheContract.
6.Seller'sandThirdParty'sLiability
6.1TheSellerandtheThirdPartyshallbejointlyandseverallyliableforanybreachoftheContract,includingbutnotlimitedtothedeliveryofdefectiveGoods,failuretomeetdeliverydates,andfailuretoprovidequalityassuranceservices.
7.LimitationofLiability
7.1TheSellerandtheThirdPartyshallnotbeliableforanyindirectorconsequentialdamagesresultingfromtheirperformanceorfailuretoperformundertheContract.
8.TerminationandDefault
8.1TheBuyershallhavetherighttoterminatetheContractintheeventofamaterialbreachbytheSellerortheThirdParty;
8.2Intheeventoftermination,theBuyershallbeentitledtoseekcompensationforanylossesincurred.
9.GoverningLawandDisputeResolution
9.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionwheretheSellerislocated;
9.2AnydisputearisingfromorinconnectionwiththisContractshallberesolvedthrougharbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce(ICC).

ByexecutingthisContract,theSeller,Buyer,andThirdPartyacknowledgethatthepresenceoftheThirdPartyservestoenhancetheBuyer'strustandconfidenceinthetransaction,ensuringthehigheststandardsofqualityandperformance.TheinclusionoftheThirdPartyasacontractualentityensuresthattheBuyer'sinterestsareprioritizedandprotected,therebyfacilitatingamoresecureandprofitabletraderelationship.
TheBuyer'srightsandinterestsareattheforefrontofthisContract,witharobustframeworkdesignedtosafeguardagainstpotentialrisksandbreaches.TheenhancedoversightprovidedbytheThirdPartynotonlyensurescompliancewithcontractualobligationsbutalsomitigatestheBuyer'sexposuretoliabilityandloss.TheBuyer'sstrategicchoicetoadoptthismodelunderscoresitscommitmenttosecuringthebestpossibleoutcomesinitsinternationaltradeactivities.

(b)SalesSupport:TheThirdPartyshallassisttheSellerinmarketingandsellingtheGoods;
(c)PerformanceMonitoring:TheThirdPartyshallmonitortheSeller'sperformanceundertheContractandprovidefeedback.
3.Buyer'sRightsandObligations
3.1TheBuyershallhavethefollowingrights:
(a)ToreceiveregularupdatesonthestatusoftheGoodsandtheperformanceoftheSellerfromtheThirdParty;
(b)ToterminatetheContractintheeventofamaterialbreachbytheSellerortheThirdParty;
(c)ToseekcompensationforanylossesincurredduetotheSeller'sortheThirdParty'sfailuretoperformundertheContract.
3.2TheBuyershallhavethefollowingobligations:
(a)ToprovidetheSellerwiththenecessaryinformationandsupportformarketingandsellingtheGoods;
(b)TocomplywiththetermsandconditionssetforthinthisContract.
4.Seller'sRightsandObligations
4.1TheSellershallhavethefollowingrights:
(a)ToreceiveservicesandsupportfromtheThirdPartyasagreeduponinthisContract;
(b)ToseeklegalremediesforanybreachoftheContractbytheBuyer.
4.2TheSellershallhavethefollowingobligations:
(a)TodelivertheGoodstotheBuyerattheportofdestinationspecifiedinAppendix1;
(b)ToensurethattheGoodsarefreefromdefectsandmeettheagreedspecifications,quality,andquantity;
(c)ToprovidetheBuyerwithallnecessarydocumentation,includingbutnotlimitedtoinvoices,billsoflading,andcertificatesoforigin.
5.ThirdParty'sRightsandObligations
5.1TheThirdPartyshallhavethefollowingrights:
(a)TobecompensatedfortheirservicesandguaranteesprovidedundertheContract;
(b)ToseeklegalremediesforanybreachoftheContractbytheSellerortheBuyer.
5.2TheThirdPartyshallhavethefollowingobligations:
(a)Toperformtheirservicesandguaranteesinatimelyandprofessionalmanner;
(b)ToprovidetheBuyerwithregularupdatesonthestatusoftheGoodsandtheperformanceoftheSeller.
6.Seller'sandThirdParty'sLiability
6.1TheSellerandtheThirdPartyshallbejointlyandseverallyliableforanybreachoftheContract,includingbutnotlimitedtothedeliveryofdefectiveGoods,failuretomeetdeliverydates,andfailuretoprovidemarketanalysisandsalessupport.
7.LimitationofLiability
7.1TheSellerandtheThirdPartyshallnotbeliableforanyindirectorconsequentialdamagesresultingfromtheirperformanceorfailuretoperformundertheContract.
8.TerminationandDefault
8.1TheBuyershallhavetherighttoterminatetheContractintheeventofamaterialbreachbytheSellerortheThirdParty;
8.2Intheeventoftermination,theBuyershallbeentitledtoseekcompensationforanylossesincurred.
9.GoverningLawandDisputeResolution
9.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionwheretheSellerislocated;
