BANKLOANAGREEMENT

ThisBankLoanAgreement(the"Agreement")ismadeandenteredintothis[insertdate]byandbetween[insertBankName],a[insertjurisdiction]corporationwithitsprincipalplaceofbusinessat[insertaddress](the"Lender"),and[insertBorrowerName],a[insertjurisdiction]corporationwithitsprincipalplaceofbusinessat[insertaddress](the"Borrower").

WHEREAS,theBorrowerdesirestoborrowfromtheLender,andtheLenderiswillingtolendtotheBorrower,onthetermsandconditionssetforthinthisAgreement,anamountnottoexceed[insertamount](the"LoanAmount")forthepurposeof[insertpurposeoftheloan].

NOW,THEREFORE,inconsiderationofthepremisesandthemutualcovenantscontainedherein,thepartiesheretoagreeasfollows:

1.LoanAmountandTerms

TheLenderagreestolendtotheBorrower,andtheBorrowerherebyborrowsfromtheLender,theLoanAmount,subjecttothetermsandconditionsofthisAgreement.TheLoanAmountshallbedisbursedtotheBorrowerin[insertnumber]installment(s)asfollows:[insertscheduleofdisbursement].

2.InterestandFees

TheBorrowershallpayinterestontheoutstandingprincipalbalanceoftheLoanAmountatarateof[insertinterestrate]perannum,calculatedonthebasisofa[insertnumber]-dayyearandpayable[insertfrequency,e.g.,monthly].Inaddition,theBorrowershallpaytotheLenderaloanoriginationfeeintheamountof[insertpercentageoramount]oftheLoanAmount,whichshallbedueandpayableonthedateofthefirstdisbursement.

3.Repayment

TheBorrowershallrepaytheLoanAmount,togetherwithallaccruedinterest,in[insertnumber]equalmonthlyinstallmentsofprincipalandinterest,whichshallbedueandpayableonthe[insertdayofthemonth]ofeachmonth,commencingon[insertdate]andcontinuinguntilthefinalinstallmentispaidon[insertdate].Eachinstallmentshallbecalculatedbasedontheoutstandingprincipalbalanceandtheremainingtermoftheloan.

4.DefaultandPrepayment

IntheeventofadefaultbytheBorrowerinthepaymentofanyinstallmentofprincipalorinterestwhendue,theLendermay,atitsoption,declaretheentireremainingunpaidbalanceoftheLoanAmount,togetherwithallaccruedinterest,immediatelydueandpayable.TheBorrowermayprepaytheLoanAmount,inwholeorinpart,withoutpenalty,providedthattheBorrowergivestheLender[insertnumber]days'priorwrittennoticeofsuchprepayment.

5.Security

TheBorrowerherebygrantstotheLenderasecurityinterestinallofitspresentandafter-acquiredproperty,includingbutnotlimitedtoaccounts,inventory,equipment,andgeneralintangibles,tosecuretherepaymentoftheLoanAmountandallotherobligationsoftheBorrowerunderthisAgreement.TheBorrowershallexecuteanddelivertotheLender,uponrequest,allfinancingstatementsandotherinstrumentsnecessarytoperfecttheLender'ssecurityinterest.

6.RepresentationsandWarranties

TheBorrowerrepresentsandwarrantstotheLenderthat:(i)itisdulyorganized,validlyexisting,andingoodstandingunderthelawsof[insertjurisdiction];(ii)ithasthecorporatepowerandauthoritytoexecuteanddeliverthisAgreementandtoperformitsobligationshereunder;(iii)theexecutionanddeliveryofthisAgreementandtheperformanceofitsobligationshereunderdonotandwillnotviolateanylaw,rule,orregulationapplicabletoit;and(iv)ithasnoknowledgeofanyfactsorcircumstancesthatwouldreasonablybeexpectedtoresultinamaterialadverseeffectonitsfinancialconditionoroperations.

7.Covenants

TheBorrowercovenantsandagreesthat:(i)itwillmaintainineffectallinsurancerequiredbytheLender;(ii)itwillpromptlyprovidetheLenderwithcopiesofallfinancialstatementsandreportsthatitisrequiredtofilewithanygovernmentalauthority;and(iii)itwillnotcreateorsuffertoexistanylienorencumbranceonanyofitspropertythatwouldhavepriorityovertheLender'ssecurityinterest.

8.EventsofDefault

TheoccurrenceofanyofthefollowingeventsshallconstituteaneventofdefaultunderthisAgreement:(i)theBorrowerfailstopayanyinstallmentofprincipalorinterestwhendue;(ii)theBorrowerbreachesanycovenantorwarrantycontainedinthisAgreement;(iii)theBorrowerbecomesinsolventorfilesapetitioninbankruptcy;or(iv)anyrepresentationorwarrantymadebytheBorrowerinthisAgreementis
