2.CapitalContributions

4.ProfitSharing

4.2ThePartiesshallreceivetheirshareofprofitsandlossesintheformofcashorotheragreed-uponmethods.

5.DisputeResolution

5.1AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheParties.

5.2IfthePartiesfailtoresolvethedisputesthroughnegotiations,thedisputesshallbesubmittedtoarbitrationin[Country/State]undertherulesof[ArbitrationInstitution].

6.TermandTermination
