1.ScopeofWork

1.2TheManufacturershallcomplywiththequalitystandardsandspecificationssetforthintheProductSpecifications.

2.QuantityandDelivery

2.1TheOEMshallprovidetheManufacturerwithapurchaseorder(hereinafterreferredtoasthe"Order")specifyingthequantityofProductsrequired.

2.2TheManufacturershalldelivertheProductstotheOEMwithinthetimeframespecifiedintheOrder.

3.PriceandPayment

3.1ThepricefortheProductsshallbeasspecifiedintheattachedPriceList(hereinafterreferredtoasthe"PriceList").

3.2PaymentfortheProductsshallbemadebytheOEMtotheManufacturerwithin__________daysofthedateoftheinvoiceissuedbytheManufacturer.

4.IntellectualPropertyRights

5.QualityControl

5.2TheOEMshallhavetherighttoinspecttheProductsatanytimeduringthemanufacturingprocessandupondelivery.

6.TerminationandDefault

6.1ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,intheeventofamaterialbreachoftheContractbytheotherparty.

6.2Intheeventofadefaultbyeitherparty,thenon-defaultingpartyshallhavetherighttoterminatethisContractuponwrittennoticetothedefaultingparty.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedintheattachedJurisdictionClause.
