4.DutiesandResponsibilities.TheEmployeeshallperformthedutiesandresponsibilitiesassociatedwiththePositionasmaybereasonablyassignedbytheEmployerfromtimetotime.TheEmployeeshallusehisorherbesteffortstocarryouttheEmployer’sbusinessandshallactingoodfaithinallmattersrelatedtotheEmployer.

5.ConfidentialityandNon-Compete.TheEmployeeagreestokeepconfidentialandnotdisclosetoanythirdparty,duringtheEmploymentTermandforaperiodof[DurationofConfidentiality]thereafter,anyconfidentialinformationoftheEmployer.Additionally,theEmployeeagreesnottoengageinanycompetitiveactivitiesdirectlyorindirectlyrelatedtotheEmployer’sbusinessduringtheEmploymentTermandforaperiodof[DurationofNon-Compete]thereafter.

6.Termination.ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherParty.Intheeventoftermination,theEmployeeshallbeentitledtoreceivetheBaseSalaryfortheremainderoftheEmploymentTerm,providedthatsuchterminationisnotforcause.ForthepurposesofthisAgreement,“cause”shallmeananyofthefollowing:(a)theEmployee’sfailuretoperformhisorherdutiesandresponsibilitiesassetforthinthisAgreement;(b)theEmployee’sbreachoftheconfidentialityornon-competeprovisionsofthisAgreement;or(c)anyotherconductthatisreasonablydeemedtobeinviolationoftheEmployer’spoliciesorapplicablelaws.

7.GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

8.EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.
