WHEREAS,theSelleriswillingtosellandtheBuyeriswillingtopurchasethegoodsdescribedhereinunderthetermsandconditionssetforthbelow;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:
1.SUBJECTMATTEROFTHECONTRACT
TheSellershallsellandtheBuyershallpurchasethefollowinggoods(hereinafterreferredtoasthe"Goods")onthetermsandconditionssetforthinthisContract:
1.1DescriptionoftheGoods:[DescriptionoftheGoods]
1.2QuantityoftheGoods:[QuantityoftheGoods]
1.3UnitPriceoftheGoods:[UnitPriceoftheGoods]
1.4TotalPriceoftheGoods:[TotalPriceoftheGoods]
2.FOBTERMS
ThesaleoftheGoodsshallbegovernedbytheInternationalChamberofCommerce(ICC)publicationNo.400,dated1990,whichisincorporatedhereinbyreferenceaspartofthisContract(hereinafterreferredtoasthe"Incoterms").
2.1TheSellershalldelivertheGoodstotheBuyerattheportof[PortofShipment],[CountryofShipment].
2.2TheBuyershallberesponsibleforallcostsandrisksoftransportationfromtheportofshipmenttothefinaldestination.
2.3TheSellershallprovidetheBuyerwithallnecessaryshippingdocumentsrequiredfortheimportationoftheGoodsintothecountryofdestination.
3.DELIVERY
3.1TheSellershalldelivertheGoodstotheBuyerwithin[DeliveryPeriod]aftertheBuyerhaspaidthefullamountoftheTotalPriceoftheGoods.
3.2TheSellershallnotifytheBuyerofthedateofshipmentandprovidetheBuyerwithallnecessaryshippingdocumentswithin[DaysBeforeShipment]oftheshipmentdate.
4.PAYMENT
4.1TheBuyershallpaytheSellertheTotalPriceoftheGoodsby[PaymentMethod]within[PaymentPeriod]aftertheSellerhasdeliveredtheGoodstotheBuyer.
4.2TheBuyershallmakethepaymenttotheSeller'sdesignatedbankaccountasindicatedintheSeller'sinvoice.
5.INSPECTIONANDACCEPTANCE
5.1TheBuyershallinspecttheGoodsuponreceiptandshallnotifytheSellerofanydefectsordiscrepancieswithin[DaysAfterReceipt]ofthereceiptoftheGoods.
5.2IftheBuyerfailstoinspecttheGoodswithinthespecifiedperiod,theGoodsshallbedeemedtohavebeenacceptedbytheBuyer.
6.WARRANTIES
6.1TheSellerwarrantsthattheGoodsshallbeofgoodquality,asdescribedinthisContract,andfreefromanymaterialdefects.
6.2TheSeller'swarrantyshallbevalidforaperiodof[WarrantyPeriod]fromthedateofdeliveryoftheGoodstotheBuyer.
7.LIABILITYANDINDEMNITY
7.1TheSellershallbeliableforanylossordamagetotheGoodscausedbyitsnegligenceorfailuretocomplywiththetermsandconditionsofthisContract.
7.2TheBuyershallindemnifytheSelleragainstanyclaims,actions,proceedings,ordemandsarisingoutoftheBuyer'sbreachofthisContract.
8.FORCEMAJEURE
8.1IntheeventofanydelayintheperformanceofthisContractcausedbyforcemajeure,thepartiesheretoshallnotbeliableforsuchdelay.
8.2Theterm"forcemajeure"shallincludeactsofGod,war,strike,fire,flood,andanyothercausesbeyondthereasonablecontrolofthepartieshereto.
9.DISPUTERESOLUTION
9.1AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughgoodfaithnegotiationsbetweentheparties.
9.2Ifthedisputecannotberesolvedthroughnegotiations,thepartiesheretoshallsubmitthedisputetoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
10.ATTACHMENTS
ThefollowingdocumentsareattachedtoandformanintegralpartofthisContract:

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:
1.SUBJECTMATTEROFTHECONTRACT
1.1ThePrincipalshallpurchasetheGoodsfromtheSellerasdescribedinthisContract.
1.2TheSellershalldelivertheGoodstothePrincipalinaccordancewiththetermsandconditionssetforthherein.
1.3TheThirdPartyshallactasafacilitatortoensuretheproperexecutionofthisContractandprovideservicesasagreeduponbytheparties.
2.PRINCIPAL'SRIGHTSANDOBLIGATIONS
2.1ThePrincipalhastherighttoinspecttheGoodsuponreceiptandrequesttheSellertorectifyanydefectswithin[DaysAfterReceipt]ofthereceiptoftheGoods.
2.2ThePrincipalhastherighttoterminatethisContractiftheSellerfailstodelivertheGoodsoriftheGoodsdonotmeettheagreedspecifications.
2.3ThePrincipalshallpaytheSellertheTotalPriceoftheGoodswithin[PaymentPeriod]aftertheGoodshavebeendeliveredandacceptedbythePrincipal.
2.4ThePrincipalshallcomplywithallapplicablelawsandregulationsinthepurchase,importation,anduseoftheGoods.
3.SELLER'SRIGHTSANDOBLIGATIONS
3.1TheSellershalldelivertheGoodstothePrincipalattheportof[PortofShipment],[CountryofShipment]inaccordancewiththeFOBterms.
3.2TheSellershallprovidethePrincipalwithallnecessaryshippingdocumentsandcertificatesrequiredfortheimportationoftheGoods.
3.3TheSellershallberesponsibleforanylossordamagetotheGoodsduringtransportationuntiltheGoodsaredeliveredtothePrincipal.
4.THIRDPARTY'SRIGHTSANDOBLIGATIONS
4.1TheThirdPartyshallfacilitatethetransactionbetweenthePrincipalandtheSeller,includingarrangingforshipping,customsclearance,andotherrelatedservices.
4.2TheThirdPartyshallprovidethePrincipalwithinformationregardingthestatusofthetransactionandassistinresolvinganydisputesthatmayarise.
4.3TheThirdPartyshallensurethatthetransactioncomplieswithallapplicablelawsandregulations.
5.WARRANTIESANDLIABILITY
5.1TheSellerwarrantsthattheGoodsshallbeofgoodquality,asdescribedinthisContract,andfreefromanymaterialdefects.
5.2TheSeller'swarrantyshallbevalidforaperiodof[WarrantyPeriod]fromthedateofdeliveryoftheGoodstothePrincipal.
5.3ThePrincipalshallhavetherighttoclaimdamagesfromtheSellerintheeventofabreachofwarranty.
5.4TheThirdPartyshallbeliableforanylossesordamagescausedbyitsnegligenceorfailuretoperformitsobligationsunderthisContract.
6.BREACHANDLIMITATIONS
6.1IntheeventofabreachofthisContractbytheSeller,thePrincipalshallhavetherighttoterminatethisContractandclaimdamagesfromtheSeller.
6.2IntheeventofabreachofthisContractbytheThirdParty,thePrincipalshallhavetherighttoterminatethisContractandseekremediesfromtheThirdParty.
6.3ThePrincipal'srighttoclaimdamagesforabreachofthisContractbytheSellerortheThirdPartyshallbesubjecttothelimitationssetforthinthisContract.
7.DISPUTERESOLUTION
7.1AnydisputearisingoutoforinconnectionwiththisContractshallberesolvedthroughgoodfaithnegotiationsbetweentheparties.
7.2Ifthedisputecannotberesolvedthroughnegotiations,thepartiesheretoshallsubmitthedisputetoarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].
8.ATTACHMENTS
ThefollowingdocumentsareattachedtoandformanintegralpartofthisContract:
