1.AppointmentofAgent

ThePrincipalherebyappointstheAgentasitsexclusiveagenttomarketandsellthePrincipal’sproductsorserviceswithintheterritoryof[Territory],subjecttothetermsandconditionssetforthinthisAgreement.

2.Term

ThisAgreementshallcommenceontheeffectivedatehereofandshallcontinueforaperiodof[NumberofYears]years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.Exclusivity

ThePrincipalherebygrantstotheAgenttheexclusiverighttomarketandsellthePrincipal’sproductsorserviceswithintheterritoryof[Territory]duringthetermofthisAgreement.

4.Compensation

TheAgentshallbeentitledtoreceiveacommissionof[Percentage]percentofthenetsalesofthePrincipal’sproductsorserviceswithintheterritoryof[Territory],subjecttothefollowingconditions:

a.ThecommissionshallbecalculatedonamonthlybasisandpaidtotheAgentwithin[NumberofDays]daysoftheendofeachmonth;

b.Thecommissionshallbepaidonanetsalesbasis,whichshallexcludeanyreturns,allowances,ordiscountsgrantedbythePrincipaltoitscustomers;

5.ObligationsofPrincipal

a.ThePrincipalshallprovidetheAgentwithallnecessaryinformation,materials,andsupportrequiredforthemarketingandsaleofthePrincipal’sproductsorservices;

b.ThePrincipalshallensurethattheproductsorservicesofferedbytheAgentareofhighqualityandmeetthestandardssetforthbythePrincipal;

6.ObligationsofAgent

a.TheAgentshalluseitsbesteffortstomarketandsellthePrincipal’sproductsorserviceswithintheterritoryof[Territory];

b.TheAgentshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofitsdutiesunderthisAgreement;

7.Confidentiality

ThePrincipalandtheAgentagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtotheminconnectionwiththisAgreement.Suchconfidentialinformationshallinclude,butnotbelimitedto,tradesecrets,customerlists,marketingstrategies,andfinancialinformation.

8.Termination

a.ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeshallbegivenatleast[NumberofDays]dayspriortotheeffectivedateoftermination;

b.ThisAgreementmaybeterminatedbyeitherpartyintheeventofabreachofanymaterialtermorconditionhereofbytheotherparty,uponwrittennoticetothebreachingparty;

9.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

10.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePrincipalandtheAgentwithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,oftheparties.

5.Compensation

6.ObligationsofPrincipal

b.ThePrincipalshallensurethattheproductsorservicesofferedbytheAgentareofhighqualityandmeetthestandardssetforthbythePrincipal;

c.ThePrincipalshallhavetherighttoterminatethisAgreementintheeventofabreachofanymaterialtermorconditionhereofbytheAgentortheThirdParty.

7.ObligationsofAgent

a.TheAgentshalluseitsbesteffortstomarketandsellthePrincipal’sproductsorserviceswithintheterritoryof[Territory];

b.TheAgentshallcomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceofitsdutiesunderthisAgreement;

8.ObligationsofThirdParty

a.TheThirdPartyshallprovidetheAgentwiththesupportandresourcesasagreeduponinSection3;

b.TheThirdPartyshallnotengageinanyactivitiesthatmaydirectlyorindirectlycompetewiththeAgentorthePrincipal;

c.TheThirdPartyshallpromptlynotifythePrincipalofanybreachofanymaterialtermorconditionhereofbytheAgent.

9.违约及限制条款

a.TheAgentshallnotengageinanyactivitiesthatmaydirectlyorindirectlycompetewiththePrincipalortheThirdPartyduringthetermofthisAgreement;

10.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

11.EntireAgreement
